    Title: Trash Chute Cleaning Services
    Purpose: The University is seeking a qualified contractor to provide comprehensive trash
    chute cleaning services for multiple student housing facilities.

    1.0 Key Information
    You are receiving this Request for Proposal (RFP) to identify qualified suppliers capable of
    servicing the University of California, Riverside (UCR). Currently, we have the trash chutes
    cleaned at each residential housing property at least three times per year. Estimated annual
    spend is greater than $60,000. While the annual spend is under $100k, the overall contract of
    five years will exceed $100k.
    Important Labor & Wage Notice: Please note that this service has been deemed exempt from
    Article 5 / Policy 5402 (Wage Parity) requirements because it is a specialized service not
    currently performed by campus staff. This is also not a prevailing wage job.
    However, all bidding vendors must strictly comply with the UC Fair Work / Fair Wage Act
    requirements. Vendors must ensure these requirements are fully factored into their pricing
    structures and fully burdened hourly rates and must be prepared to certify that their staff are
    paid in accordance with UC Fair Wage minimums for the duration of the contract. The UC Fair
    Work / Fair Wage Act requirements, along with all other UC requirements including insurance,
    will be incorporated into the final agreement via the UC Terms and Conditions of Purchase.
    Mandatory Site Visit: There will be a site visit (job walk) on Friday, August 14 from 9:00 am to
    12:00 pm.
    2.0 Schedule of Events
    The University reserves the right to modify the below schedule of events and make changes to
    other provisions in this RFP.

    3.0 Contract Term and Pricing Structure
    The initial contract term shall be five (5) years.
    Pricing shall remain fixed during the first contract year.
    Beginning in Year 2, contract pricing may increase by 5% annually to account for inflation
    and increased operating costs, subject to the terms and conditions of the agreement.
    4.0 Scope of Services
    The contractor shall provide complete trash chute cleaning services, including but not limited to
    the following:

    Clean and sanitize the entire interior of each trash chute from the highest floor to the
    discharge room.
    Clean and sanitize all intake doors, frames, handles, hinges, and surrounding surfaces.
    Remove grease, food residue, odors, bacteria, mold, mildew, and debris from the chute
    system.
    Clean and sanitize the trash compactor room, hopper, and discharge area associated with
    each chute.
    Apply an environmentally friendly deodorizer and disinfectant after cleaning.
    Ensure all wastewater, debris, and waste generated during the cleaning process is
    properly contained and disposed of in accordance with all federal, state, and local
    regulations.
    Leave all work areas clean and ready for normal operation upon completion.
    5.0 Equipment Requirements
    The contractor shall provide all specialized equipment necessary to perform the services. The
    University will not provide equipment, water recovery systems, ladders, lifts, or cleaning
    supplies. Required contractor equipment includes:
    High-pressure hot water cleaning equipment.
    Rotary chute cleaning systems.
    Steam cleaning equipment, if applicable.
    Water containment and recovery systems.
    Odor control and sanitizing equipment.
    Personal protective equipment (PPE).
    All tools required to safely complete the work.
    6.0 Service Locations
    Services will be performed at the following Housing properties:
    Lothian Residence Hall
    Glen Mor Phase I
    Glen Mor Phase II
    ND-2 Apartments
    Aberdeen-Inverness
    Pentland Hills
    Note: Additional University Housing facilities may be added or removed during the contract

    term through mutual agreement.
    7.0 Deliverables
    Upon completion of each service, the contractor shall provide a service completion report
    containing the following information:
    Date and time of service.
    Property serviced.
    Technician(s) performing the work.
    Description of work completed.
    Photographs before and after cleaning (if requested).
    Documentation of any deficiencies or recommended repairs observed during service.

    Terms and Conditions of Purchase
    These Terms and Conditions of Purchase (“Terms and Conditions”) govern the provision of the equipment,
    materials, and supplies (“Goods”) and/or services (“Services”) furnished by Supplier (together, the “Goods
    and/or Services”) under the UC Purchase Order (“PO”) or agreement entered into by UC and Supplier
    (which, together with these Terms and Conditions and any other documents incorporated by reference,
    constitute the “Agreement”). As used herein, the term "Supplier" includes Supplier and its sub-suppliers at
    any tier, and “UC” refers to The Regents of the University of California, a corporation described in California
    Constitution Art. IX, Sec. 9, on behalf of the UC locations identified in the Agreement (each a “UC Location”).
    UC and Supplier individually will be referred to as “Party” and collectively as “Parties.” Any terms not
    defined in these Terms and Conditions will have the meaning ascribed to such term in any of the other
    documents incorporated in and constituting the Agreement. Supplier accepts all of the Agreement’s terms
    and conditions either in writing, by shipping any portion of the Goods, or performing any portion of the
    Services.
    If the Agreement refers to a proposal, then the terms of that proposal become part of the Agreement, but
    only to the extent the proposal terms specify the Goods and/or Services ordered, prices, and/or delivery,
    and to the extent that they are not inconsistent with the terms and conditions of the Agreement.
    Any additional terms that Supplier includes in an order form or other document not incorporated into the
    Agreement, or in any click-through, or other end user terms and conditions or agreements provided with
    any Goods and/or Services hereunder (“Additional Terms”), will not be binding on UC, even if use of such
    Goods and/or Services requires an affirmative “acceptance” of such Additional Terms before access is
    permitted. Any such Additional Terms will be of no force and effect, and are rejected by UC in their entirety,
    unless UC expressly agrees to such Additional Terms in writing as provided for in these Terms and
    Conditions.
    ARTICLE 1: TERM AND TERMINATION
    1.1 Term. The term of the Agreement is as set forth in the Agreement.
    1.2 Extension. The Agreement may be extended by written mutual agreement unless otherwise stated in
    the Agreement.
    1.3 Non-appropriation of Funding. UC’s obligation to proceed is conditioned upon the appropriation of
    state, federal and other sources of funds whether controlled by UC ("Funding") or not. UC will have
    the right to terminate the Agreement without damage, penalty, cost, or further obligation in the event
    that through no action or inaction of UC, Funding is not appropriated or is withdrawn.
    1.4 Termination for Convenience. UC may, by written notice stating the extent and effective date thereof,
    terminate the Agreement for convenience in whole or in part, at any time. The effective date of such
    termination shall be consistent with any requirements for providing notice specified in the
    Agreement, or immediate if no such terms are set forth in the Agreement. As specified in the
    termination notice, UC will pay Supplier as full compensation the pro rata Agreement price for
    performance through the later of the date that: (i) UC provided to Supplier in the notice of
    termination; or (ii) Supplier’s provision of Goods and/or Services will terminate.
    1.5 Termination for Cause. UC may by written notice terminate the Agreement for Supplier’s breach of
    the Agreement, in whole or in part, at any time, if any of the following apply:
    (a) Supplier refuses or fails to comply with the provisions of the Agreement or applicable law;
    (b) Supplier fails to make progress as to endanger performance within five (5) business days;
    (c) Supplier does not cure such failure within 15 business days;
    (d) Supplier fails to supply the Goods and/or Services in the manner or within the time specified in
    the written notice of termination or any written extension thereof; or
