Bid/proposal shall be submitted on the form furnished and in sealed envelope, and marked on the outside with the
item title, reference number and bidder’s name. Contract awarded pursuant to the Invitation to Bid or Request for
Proposals will be subject to provisions of the Town of Brookline By-Laws Article 4.4 Fair Employment Practices
with regard to Contracts, relating to non-discrimination in employment, and Article 4.8 Living Wage By-Law,
relating to wages paid to employees. The Town reserves the right to accept any bid/proposal in whole or in any
part, and to reject any or all bids/proposals if it shall be deemed in the best interest of the Town to do so.

REQUEST FOR PROPOSALS
PART 1
INSTRUCTIONS TO PROPOSERS
1.1 Overview and Background Information
The Town of Brookline, Massachusetts and the City of Newton, Massachusetts (herein “The
Municipalities”) seek proposals from qualified vendors (“Proposers” or “Contractors”) for residential
curbside trash and recycling collection and hauling; hauling and disposal for up to 130 tons of trash
per day from the Brookline Transfer Station; single stream recyclables processing; collection of bulky
items, large recyclable items (whitegoods), and mattresses/box springs; cart fleet services and
maintenance; dumpster services for Municipal buildings and select residential properties; residential
yard waste collection and hauling; and curbside organics collection to commence on July 1, 2025.
In this Request For Proposals (“RFP”) the Municipalities are seeking to solicit proposals that fulfill
each Municipality’s needs for the sustainable materials management services mentioned above. The
Municipalities will jointly select a single Proposer for a given service set forth in Section 1.2 of this
RFP. Newton and Brookline will separately enter 5-year contracts with the selected vendor(s)
pursuant to this RFP. The top priority for the Municipalities is excellent service. The RFP and
Proposals shall act as an umbrella for service terms, conditions, and pricing. Curbside collection
services for trash and recycling are similar for both Municipalities but have some nuances described
in Part 2: Specifications. Pricing for all services shall be delineated for each Municipality in Part 6:
Price Proposal Sheet and included within the same proposal. Separate collection trucks are expected
to be used for curbside trash and recycling collection for each Municipality, however, this is open for
discussion if a different arrangement is logistically feasible and beneficial to all parties. Operational
efficiency, creative innovation, and cost-effective services are highly encouraged within proposals.
For example, one route manager could oversee daily curbside collection services in both
Municipalities.
The awarding authority for this contract is the Select Board in Brookline and the Mayor in Newton
and the award of any contract is subject to budget appropriation. Basic background information
about Brookline and Newton (road miles, area, tonnage history, etc.) is included in Exhibit B.
Brookline owns a transfer station located at 815 Newton Street permitted for 130 tons of municipal
solid waste per day. Curbside trash collected in Brookline is dumped at the transfer station daily.
Brookline's current contract to haul and dispose of municipal solid waste will expire on June 30,
2025. This facility has a certified truck scale and a scale operator. A contractor may use the facility
for external municipal solid waste in exchange for a host fee for tonnage available after meeting the
needs of the Municipalities.
Newton has a disposal contract with Wheelabrator Millbury that expires on June 30, 2028. Between
July 1, 2028, and June 30, 2030 trash will be hauled to the Brookline Transfer Station. Newton would
like to receive proposals that address all three (3) of the scenarios below for trash hauling and

disposal between July 1, 2025, through June 30, 2028. Newton requests alternative proposals as
follows:
1) Trash collected curbside in Newton is hauled directly to Wheelabrator Millbury by individual
curbside collection trucks.
2) Trash collected curbside in Newton is hauled to the Brookline Transfer Station. The trash
collected from Newton is then aggregated into a separate truck at the Brookline Transfer
Station. The trash collected from Newton and the trash collected from Brookline may not be
aggregated or combined. The single truck with the trash collected from Newton is then
hauled to Wheelabrator Millbury.
3) Newton terminates the contract with Wheelabrator Millbury effective June 30, 2025. For
the duration of the new 5-year contract trash collected curbside in Newton is hauled to the
Brookline Transfer Station. The trash is aggregated with trash collected in Brookline and
disposed of according to the terms of the contract Brookline enters into for trash disposal
from Brookline’s transfer station with a Proposer selected through this RFP.
1.2 Overview of Services Requested
The Municipalities seek proposals for the following services:
1. disposal of up to 100 tons of trash per day from both Municipalities; allowance of hauling of
approximately 30-40 tons of daily trash capacity for communities other than Newton and
Brookline to Brookline’s transfer station for a host fee
2. 5-day collection of curbside residential trash
3. 5-day collection of curbside residential recyclables
4. recyclables processing at a materials recovery facility
5. curbside yard waste collection
6. dumpster collection services for municipal facilities, schools, and select Newton residential
properties
7. curbside collection of residential bulky items, whitegoods/large recyclable items, and
mattresses/box springs by appointment
8. cart services and maintenance for curbside trash and recycling carts including procurement of
carts and parts, repairs, deliveries, swaps, and removals; a proposal for this service is required if
a Contractor is submitting a proposal for curbside residential trash and/or recycling collection
services
9. the option to implement a new curbside organics (food waste) collection program, or other
innovative food waste diversion collection program
The Municipalities will consider proposals that include some or all the desired services listed herein.
1.3 General
(a) Length of Contract: The Municipalities request proposals from vendors to commence service on
July 1, 2025. The Municipalities seek proposals for a five (5) year contract that will expire on
June 30, 2030.

(c) Contract award is subject to the availability and appropriation of funds. The Municipalities shall
cancel the contract entered into if funds are not appropriated or otherwise made available to
support the continuation of performance hereunder at any time during the Term and any
extension thereof.
1.4 Exemption from Commonwealth of Massachusetts, General Laws Chapter 30B
A contract for the transportation, receipt, processing, or disposal of solid waste, recyclable or
compostable materials is exempt from the public bidding laws for the Commonwealth of
Massachusetts pursuant to M.G.L. c. 30B, §1(b)(30). In order to obtain qualified Contractors only,
the Municipalities have voluntarily undertaken this RFP. The Municipalities will select the
Contractor(s) that they believe serve(s) the best interest of the Municipalities and offer(s) the best
all-around package for the provision of services the Municipalities are seeking to obtain. The
Municipalities are free to negotiate with whatever firms they so choose in whatever manner they
believe is best suited to the Municipalitiesneeds.
By responding to this RFP, Contractor acknowledges that it is not submitting a formal bid pursuant
to M.G.L. Chapter 30B, §6. Although this RFP may resemble certain portions of M.G.L. c.30B, the
Municipalities are not bound by that statute. This format is being used not to comply with that
statute, but so that interested firms may provide a proposal(s) on equal footing and so that a more
direct comparison can be made by the Municipalities among the proposals. Furthermore, the
Municipalities reserve the right to offer a contract to a Proposer other than the lowest priced
proposer and to negotiate contract prices with any Proposer. The Municipalities also reserve the
right, in their sole discretion, to reject any and all proposals, or parts thereof, if it is in the
Municipalities’ interest to do so, waive any defect or irregularity in a proposal, and to cancel the
procurement at any time.

1.5 Timeline for Submission of Proposals
Any Proposer that desires to submit a proposal for the tasks specified in this RFP shall thoroughly
review and be familiar with the RFP and Instructions to Proposers, Specifications, Exhibits and
Contract (all included in this RFP) before submitting its Proposal. While the Municipalities have
made every effort to ensure that this information presented in this RFP is accurate, Proposers are
warned that they rely on this information at their risk and they are urged to verify any and all
information which they believe is material to their Proposal.
Proposers shall submit four (4) original, signed copies of the complete proposal. In addition, all parts
of the proposal shall be provided electronically in PDF form.

(a) Deadline: Sealed proposals are due by 10:00AM on April 10, 2024 at the Town of Brookline
Purchasing Division. The Procurement Officer, in his/her discretion, may refuse to consider a
Proposal that is not in his possession or in the possession of authorized representatives by the
above deadline. Each Proposal, consisting of two (2) submissions, separately sealed: 1) a
Technical Proposal, which shall be responsive to the RFP in every respect except the Proposer’s
price and (2) a separately sealed Price Proposal. Both submissions shall be labeled “PROPOSAL
Trash & Recycling Collection Services, shall be addressed and delivered to the following

(b) A Proposal must be signed as follows: (1) if the Proposer is an individual, by him/her personally;
(2) if the Proposer is a partnership, by name of the partnership, followed by the signature of

or (4) if the Proposer is a corporation, by an authorized officer, whose signature shall be
attested by the Secretary of the Corporation and the Corporation Seal affixed.
