Terms and Conditions
Bidders shall familiarize themselves with all provisions of the specifications and shall not at any time after
submitting bid, dispute any of the specifications or assert that there was any misunderstanding in regard to the
furnishing and delivering of the items called for in the proposal.
The Town of Greenwich reserves the right to issue addenda as needed on bids/proposals.
The Town of Greenwich reserves the right to reject any and all bids not deemed to be in the best interest of the
Town of Greenwich, or to accept that bid which appears to be in the best interest of the Town of Greenwich. The
Town of Greenwich reserves the right to waive any informalities in or reject any or all bids, or any part of any
bid.
References to a particular trade name or manufacturer's catalog or model number are made for descriptive
purposes to guide the Bidder in interpreting the requirements of the Town of Greenwich. They should not be
construed as, nor are they intended to exclude proposals on other types of materials, equipment and supplies.
However, the Bidder, if awarded a contract will be required to furnish the particular item referred to in the
specification or description unless a departure or substitution is clearly noted and described in the proposal.
Respondents shall provide one proposal and Bidders one bid price for each specified required line item with no
more than one total lump sum bid, unless allowed to do otherwise by the solicitation. Respondents shall provide
no more than one bid reply unless allowed by the solicitation. Bidders shall not include in their prices any
Federal or State taxes from which the Town of Greenwich is exempt.
The successful Bidder/s shall indemnify the Town of Greenwich against all losses, claims, actions and judgments
brought or recovered against the contractor or the Town of Greenwich. Any respondent that takes exception to the
insurance requirements set forth by the Town of Greenwich Risk Manager shall be deemed unresponsive.
No proposal shall be received from, or contract awarded to, any person, firm or corporation who is in default or
in debt to the Town of Greenwich for non-performance of any contract, or who is a defaulter as surety or
otherwise from any obligation to the Town of Greenwich.
Bids must be signed in ink by the vendor. No bids shall be made in pencil. Any bids showing any erasures or
alterations must be initialed by the Bidder in ink. Failure to sign and give all information requested in the
proposal may result in the bid being rejected.
Quantities as listed on the bid sheets are estimated for bidding purposes only. Award of contract shall be for
the quantities actually ordered as needed during the contract period. However, the Town of Greenwich reserves
the right to increase or decrease the quantities by 10%.
Unit prices quoted shall be net exclusive of all taxes, and must include all transportation, delivery and
unloading costs; fully prepaid F.O.B. destination in place inside delivery. Debris, if any, removed.
The Town of Greenwich reserves the right to make awards on an item by item, total or lump sum basis. Where an
award is made on an item by item basis, the unit price prevails. The Town reserves the right to make award in
best interest of its own operation. All awards are contingent upon certification by the Town Comptroller that
funds are available in appropriate accounts.
It is understood that prices shall hold firm and prevail for the actual quantities required or ordered as needed
during the life of the contract whether more or less than estimated quantities. Unit prices shall not be
subject to any increase during the life of the contract.
All deliveries are to be made within the time period specified in the bid proposal upon receipt of written
purchase order or authorized verbal requests except as may be otherwise arranged by Supplier and Purchaser.
Receipt of contract is not authority to ship. Emergency deliveries are to be made within twenty-four (24) hours
from receipt of a telephone request from the Town of Greenwich. All deliveries are to be made on business
weekdays between the hours of 9:00 A.M. and 4:00 P.M. except as may be otherwise arranged by the Supplier and
Purchaser.
In the event deliveries are not made as specified to a Town delivery point, the Town of Greenwich shall reserve
the right to purchase any such bid item on the open market and to charge any increase in price paid over the
current contract price to the account of the vendor.
All bids will be awarded or rejected within sixty (60) days of bid opening date or for the stated period of
validity, if different. Therefore, Bidder agrees that prices will remain firm for acceptance for that period.
Terms of payment to the Contractor shall be net/30 days after receipt of invoice and acceptance and approval of
the services by the Town of Greenwich.
The contractor will not discriminate against any employee or applicant for employment because of race, religion,
color, sex or national origin. The contractor, however, will take affirmative action to insure that minority
group members are employed and are not discriminated against during employment. Such actions shall include, but
not be limited to the following: employment, upgrading, demotion or transfer; recruitment or recruitment
advertising; layoff or termination; rates of pay or other forms of compensation; and selection of training,
including apprenticeship.
The contractor will, in all solicitations or advertisements for employees placed by or on behalf of the
contractor, state that all qualified applicants will receive consideration for employment without regard to
race, religion, color, sex or national origin. The contractor will send to each labor union or representative
of workers with which he has a collective bargaining agreement or other contract of understanding, a notice
advising the labor union or worker's representative of the contractors' commitments under this specification and
under rules, regulations and orders promulgated by the State.
"Affirmative Action" means procedures which establish hiring and employment goals, timetables, and practices to
be implemented, with good faith efforts, for minority group members.
"Minority Group Members" as identified in EEO-4 reports shall mean Black, Hispanic, Asian or Pacific Islanders,
American Indian, and Alaskan Natives.
The contractor or subcontractor offers and agrees to assign to the public purchasing body all right, title and
interest in and to all causes of action it may have under Section 4 of the Clayton Act, 15 U.S.C. Section 15, or
under Chapter 624 of the General Statutes of Connecticut, arising out of the purchase of services, property or
intangibles of any kind pursuant to a public purchase contract or subcontract. This assignment shall be made
and become effective at the time the public purchasing body awards or accepts such contract, without further
acknowledgment by the parties.

TRAFFIC CONTROL SIGNS AND MATERIALS
BACKGROUND
The Town of Greenwich Purchasing Department, on behalf of the Highway Division of the
Department of Public Works, is seeking bids to purchase Traffic Control Signs and Materials in
compliance with the Specifications of this Request For Bid (RFB).
BIDDER REPLY
Bidders shall respond to this Request for Bid (RFB) by completing the attached Reply Sheets. Bidders
shall indicate their pricing and all other required information on the Reply Sheets. The pricing on the
Reply Sheets shall be complete and shall include the costs of all shipping, delivery, installation, labor,
insurance, certificates, permits, and/or other prices pertaining to this procurement.
Bidders shall indicate their pricing and lead times (in days) on the Reply Sheets. For products not available
from the Bidder, the Bidder may write "no bid" on the corresponding price line(s). For products with Fixed
Agency Prices the Bidder shall indicate delivery lead time only. For Agency products not available from
the Bidder, the Bidder may write "no bid" on the corresponding lead time line(s).
Bidders shall not alter the Reply Sheets. Bidders that alter the Reply Sheets by changing quantities, sizes,
product names, product descriptions, etc. may be disqualified.
The awarded Vendor will be required to furnish the item on the Reply Sheets, unless a substitution is
formally approved in an addendum prior to the RFB deadline.
The pricing on the Reply Sheets shall be complete and shall include all shipping and inside delivery costs
to Greenwich, CT. Shipping terms are FOB Greenwich, Freight Prepaid, and Allowed. The term of the
Award will be one (1) year. All prices shall be held firm for the term of the Award.
GENERAL INFORMATION
The Commodity Award will have an initial term of one (1) year. In addition, there will be four (4) option
years that may be engaged through the mutual consent of both parties on an annual basis.
DELIVERY OF BIDS
Bids shall be delivered via USPS or commercial delivery service (UPS, FedEx etc.) to the Town
of Greenwich Purchasing Department, First Floor, Town Hall, 101 Field Point Road, Greenwich, CT
06830 by:
11:00 AM on Thursday, June 25th, 2026
The Purchasing Department is accepting hand delivered bids. Bids received after that date and time
will not be accepted and will be returned unopened to the Bidder. The Reply Sheets must be
completed and returned with the bid in a sealed envelope. Please clearly indicate RFB #7957
on the lower left-hand corner of the envelope.
PACKAGING
Each bid must be sealed to provide confidentiality of the information prior to the submission date and time.
Please note the RFB # on the outside of the package. The Town will not be responsible for premature
opening of bids that are not properly labeled.
PRICE GUARANTEE / DURATION OF BID
Bids will remain in effect for a minimum of ninety (90) days from the deadline for submission of the bid.

BID COSTS
The Bidder shall be responsible for all costs incurred in the development and submission of their bid. The
Town assumes no contractual obligation as a result of the issuance of this RFB, the preparation or
submission of a bid by a Bidder, or the evaluation of an accepted bid.
TAXES
The Town of Greenwich is exempt from the payment of taxes imposed by the Federal Government and/or
State of Connecticut, and such taxes shall not be included in the bid prices.
PAYMENTS
The Town of Greenwich shall make payment net thirty (30) days of receipt of invoice, submittal
of documentation, and acceptance of the products and/or services.
RESERVATION OF RIGHTS
The Town of Greenwich reserves the right to reject any and all bids not deemed to be in the best interest of
the Town, or to accept that bid which appears to be in the best interest of the Town. The Town reserves
the right to waive any and all informalities, or to reject any or all bids or any part of any bid.
CANCELLATION OF AWARD
If the Vendor fails to perform or observe any material term or condition of the bid/proposal or Award/
Contract and such failure continues for thirty (30) days after the Vendor's receipt of written notice, the
Town of Greenwich may cancel the Award/Contract without liability for cancellation or termination
charges.
MODIFICATION OR WITHDRAWAL OF BID PRIOR TO DEADLINE
A Bidder wishing to withdraw a bid prior to the deadline may do so by preparing a formal written
request on company letterhead. The person who signs the letter must be the same person who signed the
Reply Sheets. The Town will verify that the signature on the letter matches the signature on the Reply
Sheets.
The Town will also verify the request to withdraw the bid by calling the Bidder at the telephone number
provided on the Reply Sheets.
After the Town is satisfied that a request to withdraw a bid before the established deadline is valid, the
bid will be returned to the Bidder. The Bidder may then withdraw completely from the bidding process
or may modify the bid and resubmit before the deadline.
MODIFICATION OR WITHDRAWAL OF BID AFTER DEADLINE
If a bid security is required and a Bidder does not honor their bid for the specified time, the bid check shall
become the property of the Town; or, if a Bid Bond was furnished, the Bid Bond shall become payable to
the Town.

After the deadline, the submitted bids become the property of the Town and are valid offers to be
honored by the Bidder for sixty (60) days or longer, as specified in the Request for Bid.
Bidders who do not honor their bids for the sixty (60) day (or as specified) period, shall be disqualified.
ISSUANCE OF ADDENDA
The Town of Greenwich reserves the right to amend this solicitation by addenda. Addenda will be posted
to the Town's website (www.greenwichct.gov/bids) up to 48 hours in advance of the deadline. It is the
responsibility of the Bidder to check the Town's website for addenda, the Town will not provide
notification. If in the Town's opinion revisions are of such a magnitude, the deadline for this solicitation
may be extended in an addendum. In addition, addenda can change Specifications, Reply Sheets, and
times/dates for Pre-Bid Conferences, as well as deadlines for questions and submissions.

SPECIFICATIONS
GENERAL PROVISIONS
Vendor shall adhere to all Specifications within the RFB. Variations and qualifications of any nature
bearing on the ability of the Vendor to provide materials or services, in strict adherence to the
Specifications, shall be fully noted in the bid or an attached letter, and are subject to the approval of the
Town of Greenwich Highway Superintendent.
The source manufacturer for any and all materials shall be provided to the Town under the provisions of
the Commodity Award. Substitutions shall not be made unless approved in advance by the Highway
Superintendent.
The categories and "types" of traffic control signs listed on the Reply Sheets shall be provided in strict
conformance in every aspect of their design to the like signs specified and approved for use in the 2009
edition, or most current, of the Federal Manual on Uniform Traffic Control Devices (MUTCD) and the
most recent edition of the related Federal publication "Standard Highway Signs" as amended.
With regard to Town of Greenwich specific signs, such as certain guide and parking management signs
not found in the MUTCD, it shall be the responsibility of the Bidder to submit, if deemed necessary by
either party, artwork for approval by the Town prior to actual fabrication to assure acceptance when any
such sign is ordered.
SIGN FACE SHEETING
Sheeting, referred to herein, under this Award shall consist of Type I Engineer Grade Prismatic Reflective
Sheeting #3430 (referred to here as Prismatic Engineering), Type III High Intensity Reflective Sheeting
#3930 (referred to here as High Intensity), and Type IX Diamond Grade Reflective Sheeting #3990
(referred to here as VIP Grade). These specific grades of material and names associated with them are
consistent with products manufactured by the 3M Company.
While any like materials meeting the Specifications may be considered for purchase, the Bidder is advised
that the Town is substantially invested in inventory equipment, training and established procedures for the
fabrications, storage, deployment, renovation, modification, and maintenance of traffic and other types of
signs, both Vendor provided and fabricated in-house utilizing materials consistent in their handling and
fabrication characteristics with the 3M product line.
Awarded Bidder shall supply all items.
TECHNICAL ASSISTANCE REQUIREMENT
The Bidder supplying the retroreflective signs and material requirements shall provide the services of a
qualified technician for instruction and training at the Town's sign fabrication shop. Instruction shall
include but not be limited to training films, material application, equipment operation, silk screening
techniques, packaging, storage, and other proven sign shop practices, as they apply to the reflective
sheeting and signs supplied by the awarded Bidder, and to assure that the resulting signs can comply with
the applicable Specifications.
The Bidder shall provide the sign shop with competent technical service and product information,
including service on screen printing problems and the inks furnished or recommended by the Bidder for
the sheeting. The Bidder supplying the retroreflective sheeting shall provide technical assistance for the
recommended sheeting application equipment. The Bidder shall certify that trained personnel will be

available on a 48-hour notice to render such service to facilitate the manufacture of finished signs.
"Service" is understood to mean the capability of personnel as required. In addition, a Bidder's
representative shall be available on site within a 24-hour notice to assess and advise on any manufacturing
difficulty that arises.
ALUMINUM SIGN BLANKS
Aluminum sign blanks, as specified herein, shall be provided consistent with the following specification:
Newly fabricated .080 thick Anodized Aluminum alloy 6061-T6 Aluminum alloy 5052-H38 (ASTM B-
209), radius cornered, that is decreased and etched in accordance with the recommendations of the
sheeting manufacturer as set forth in the State of Connecticut, Department of Transportation, Standard
Specifications for Roads, Bridges and Incidental Construction, Form 816, 2004, or as may be amended to
date of bid.
ALUMINUM BLANK PUNCHING AND CONFIGURATION
Blank punching and configuration shall be in accordance with the 2009, or most current, release of the
Federal Manual on Uniform Traffic Control Devises and the related document "Standard Highway Signs"
as amended.
Care must be taken so that blank punching and configuration does not obstruct, resist, reduce or otherwise
impair legends or borders.
LEGENDS AND BORDERS
Unless specified otherwise, all signs provided shall have standard borders and all legends shall be in
conformance with the current edition of the Federal MUTCD and the current edition of the related
publication "Standard Highway Signs."
ABILITY AND EXPERIENCE OF BIDDER
An Award will not be made to any Bidder that does not have sufficient ability, resources, and experience
in this class of work to enable them to supply the materials, resources and support necessary to successfully
meet the requirements of this Award.
The Town may make such investigations as it deems necessary; and, the Bidder shall furnish the Town,
under oath if so required, all such information and data that the Town may request.
The awarded Bidder shall be located within a 40-mile radius of the Town.
GUARANTEE OF MATERIALS
All applicable guarantees and warrantees, including those conveyable from the manufacturer of the
materials to be provided, shall be provided by the Bidder in the course of conducting business with the
Town. Clearly indicate all guarantees and warranties on the Reply Sheets. Guarantees and warranties
indicated on the Reply Sheets shall become binding for the duration of the guarantee or warranty, without
regard to the duration of the Award, should it expire first.
The awarded Bidder guarantees that all materials supplied under this bid/Award shall be free from defects
and flaws and shall meet in every respect the stated and/or guaranteed performance Specifications for the
material by the manufacturer.

The Town reserves the right to reject any provided materials that do not conform to the description or
Specifications.
The awarded Bidder shall repair, correct or replace as required, promptly and without charge, any and all
materials that fail to meet the above guarantee or which in any way fail to be in strict conformance with
the terms, provisions and requirements of the bid/Award.
The inspection by the Town or any order, approval, or any order by the Town for the payment of money,
or any payment for the use, possession, or acceptance of the whole or any part of the material by the Town,
or any extension of time, or any other act or omission by the Town shall not constitute or be deemed to be
an acceptance of any defective material.
BID PRICES
All items provided under the terms of this Commodity Award shall be F.O.B. to the specified Town of
Greenwich facility. There shall not be a separate freight delivery charge for any delivery.
Bidder shall indicate if they hold a State of Connecticut Award/Contract. The Town reserves the right to
purchase materials utilizing the State of Connecticut Award/Contract. Awarded Vendor shall update the
Town if State of Connecticut Award/Contract is cancelled or awarded during the term of the Town's
Commodity Award.
All prices submitted shall remain in effect for the duration of the Commodity Award.
DELIVERY OF MATERIALS
Delivery of all goods ordered during the duration of the Commodity Award shall occur in the quantities
specified and within five (5) business days of the date the order is placed.
Failure to provide timely delivery will give cause to breach of the Award.
Partial shipments without prior approval will not be accepted.
All items including quantity shipped will be shown on a bill of lading/delivery receipt to be presented at
the time of delivery. Goods will not be accepted for delivery to the Town without such documentation.
A minimum of 24 hours' notice to the Town of Greenwich is required prior to acceptance of delivery by
calling the Highway Division at (203) 622-7763. Items shipped without such notice shall be at the
Vendor's risk, and the Town shall not be liable for any charges resulting from failure to provide such
notice.
All items shall state the standard method of delivery to be used for materials to be provided under the
terms of the Commodity Award.
If the proposed delivery method is deemed acceptable to the Town, the Bidder shall adhere to this method
for the duration of the Award unless variation is mutually agreed to.
