Description of Project

engagement and psychological safety.
Project Tasks
Provide a keynote address to supervisors emphasizing the importance of building a strong safety culture within a
workgroup, supervisor to employee engagement and psychological safety.
Responders are encouraged to propose additional tasks, activities, or goods above and beyond the scope of what is
requested in this Quick Call if they will substantially improve the results of this Project. Any costs associated with
these additional tasks, activities, or goods must be clearly marked and separated from costs associated with the
tasks, activities, or goods specifically requested under this Quick Call. Because cost is a factor in the evaluation of
submitted Proposals, failure to separate costs for additional tasks, activities, or goods may result in those costs being

Proposal Evaluation.

3.1 Project Understanding
The purpose of this section is for Responders to detail their understanding of the project. Responders must
clearly state their understanding of the project objectives, goals, and tasks to show or demonstrate their view
of the nature of the project. Responders should demonstrate their understanding by using their own words
rather than simply repeating what is listed in the Quick Call.
3.2 Experience and Qualifications.
The purpose of this section is for Responders to provide information detailing the background and experience
of the company and Project personnel. To do this, Responders must:
Provide an outline of their background and experience, with examples of similar work done.
List the personnel who will be working on this Project, specifically detailing their relevant training and
work experience.
If subconsultants are to be used on this Project, Responders must also outline the subconsultants'
background and experience, including examples of similar work done by each. Responders must also
provide a list of the subconsultants' personnel who will perform work on the Project, detailing their
training and work experience.
Qualification and experience of the firm should be demonstrated by the experience of the personnel
proposed. Note that no change in personnel assigned to the Project will be permitted without the
written approval of MnDOT's Project Manager.
3.3 Approach to Project
Responders must provide a detailed work plan, which must identify the major tasks to be accomplished.
Responders must be sure to not only describe what will be done but explain how each task will be
accomplished. These tasks will be used as a scheduling and management tool, as well as the basis for
invoicing. This section of Responder's Proposal must NOT include costs. If cost details are included in this
section, MnDOT may disqualify the Proposal as non-responsive. The detailed work plan must present:

If Responder submits information in response to this Quick Call that it believes to be trade secret materials,
as defined by the Minnesota Government Data Practices Act, Minnesota Statutes 13.37, Responder must
clearly mark all trade secret materials in its Proposal at the time the Proposal is submitted. MnDOT will not
consider Cost Proposal information submitted by Responder to be proprietary or trade secret material.
3.4 Cost Proposal
For purposes of completing the Cost Proposal, please be aware that MnDOT does not make regular payments
based upon the passage of time; it only pays for services performed or work delivered after it is
accomplished.
Submission. Responders must complete and submit both a PDF and Microsoft Excel version, in
separate electronic files, of its Cost Proposal. The Cost Proposal must be signed by an authorized
member of Responder's firm.
Open for Acceptance. The Cost Proposal must be open for acceptance until a contract is executed, the
RFP is cancelled, or 180 days after the due date and time of the RFP, whichever comes first. Cost
estimates included in the Cost Proposal must remain valid for the length of the Project.
Cost Breakdowns and Overhead Rates. Whether proposing a cost plus fixed fee, fixed hourly rate or
unit budget, responders must include a breakdown (labor, overhead, fixed fee and expenses) showing
how its budget was conceived and must utilize its current MnDOT-approved overhead rate, not to
exceed 175%. For the purposes of this Cost Proposal, Responders should utilize a fixed fee base of 9%
PLUS the appropriate overhead fixed fee additive identified in the following table:

Other additives pertaining to project schedule, duration, size, and risk, along with fixed fees, will be
determined/calculated utilizing MnDOT's Fixed Fee Rate Worksheet upon selection.
Content. Responders must include in its Cost Proposal a total Project cost along with the following:
3.4.4.1 A breakout of the hours by task for each employee;
3.4.4.2 Identification of anticipated direct expenses;
3.4.4.3 Identification of any assumptions made while developing this Cost Proposal; and
3.4.4.4 Identification of any cost information related to additional services or tasks - this should be
included in the Cost Proposal, but clearly identified as additional costs and not included in
the total Project cost.
Estimated Cost. MnDOT has estimated that the cost of this contract should not exceed $9,500.00.

SECTION 3 - TERMS AND CONDITIONS
1. Unenforceable Terms. As of July 1, 2025, certain terms are unenforceable in state contracts. See Minnesota Statutes
16C.05 subdivision 8.
1.1. A contract entered into by MnDOT will not contain a term that:
1.1.1. Requires the State to defend, indemnify, or hold harmless another person or entity, unless specifically
authorized by statute;
1.1.2. Binds a party by terms and conditions that may be unilaterally changed by the other party;
1.1.3. Requires mandatory arbitration;
1.1.4. Attempts to extend arbitration obligations to disputes unrelated to the original contract;
1.1.5. Construes the contract in accordance with the laws of a State other than Minnesota;
1.1.6. Obligates state funds in subsequent fiscal years in the form of automatic renewals as defined in
section 325G.56; or
1.1.7. Is inconsistent with Chapter 13, the Minnesota Government Data Practices Act.
1.2. If a contract is entered into that contains a term prohibited in paragraph (a), that term will be void and the
contract is enforceable as if it did not contain that term
2. Competitive Proposals. MnDOT desires open and fair competition in the award of its contracts. Any evidence of
collusion among Responders in any form designed to defeat competitive Proposals will be reported to the
Minnesota Attorney General for investigation and appropriate action.
3. Disposition of Proposals
3.1. Public Record. During the evaluation process, all information concerning the Proposals submitted will remain
nonpublic and will not be disclosed to anyone whose official duties do not require such knowledge. Once the
evaluation process is completed, which is defined by Minnesota Statutes 13.591 as occurring when MnDOT
has completed negotiating the contract with the Selected Responder, all materials submitted in response to
this Quick Call for Proposals will become public record.
3.2. Trade Secret Materials. If Responder submits information in its Proposal that it identifies as trade secret
materials, Responder must defend any action seeking release of those materials it believes to be trade secret,
and indemnify and hold harmless MnDOT, its agents, and employees, from any judgments or damages
awarded against MnDOT in favor of the party requesting the materials, and any and all costs connected with
that defense. This indemnification survives MnDOT's award of a contract. In submitting a Proposal in response
to this Quick Call for Proposals, Responder agrees that this indemnification survives as long as the trade secret
materials are in MnDOT's possession. MnDOT is required to keep all documents related to its contracts,
including responses to a Quick Call for Proposals, for a minimum of seven years.
4. Conflicts of Interest. If after award, an organizational conflict of interest is discovered, the Selected Responder must
make an immediate and full disclosure in writing to the Assistant Director of the Department of Administration's
Office of State Procurement. The disclosure must include a description of the action that it has taken or proposes to
take to avoid or mitigate such conflicts. If an organizational conflict of interest is determined to exist, MnDOT may,
at its discretion, cancel the contract. In the event the Selected Responder was aware of an organizational conflict of
interest prior to the award of the contract and did not disclose the conflict to the contracting officer, MnDOT may
terminate the contract for default. The provisions of this clause must be included in all subcontracts for work to be
performed similar to the service provided by the prime contractor, and the terms "contract," "contractor," and
"contracting officer" modified appropriately to preserve MnDOT's rights.
5. Contingency Fees Prohibited. Pursuant to Minnesota Statutes 10A.06, no person may act as or employ a lobbyist
for compensation that is dependent upon the result or outcome of any legislation or administrative action.

Contract Term Exceptions or Modifications. Much of the language in MnDOT's contract templates is required by
statute. If Responder takes exception to any of the terms, conditions, or language in the contract templates,
however, it must complete and sign the Exceptions to MnDOT's Terms and Conditions Form, found in Part B of this
Quick Call for Proposals, and submit it with its Proposal. Please Note: certain exceptions, or requests for exceptions,
that would cause any contract term to become unenforceable according to the statutory requirements described in
Section 3 below, may result in Responder's Proposal being disqualified from further review and evaluation. Only
those exceptions indicated on the Exceptions to MnDOT's Terms and Conditions Form as submitted will be available
for discussion or negotiation in the evaluation process. Current versions of contract templates may be found at

6. Nonresident Vendors. Nonresident vendors seeking to provide architecture, engineering, landscape architecture,
land surveying, geoscience, or certified interior design services as a contractor or subcontractor, as defined by
Minnesota Statutes section 326.02, must comply with the requirements of Minnesota Statutes Section 326.13.
MnDOT will comply with all reciprocity requirements as they apply to nonresident vendors pursuant to Minnesota
Statutes 16C.06, subdivision 7.
7. Targeted Group Business (TGB), Economically Disadvantaged (ED) Business and Veteran-Owned (VO) Small
Business Preference. To claim the TGB, ED or VO preference as described below, Responder must certify their
TGB/ED/VO status as part of its Proposal. Statutory requirements and documentation must also be met and
provided, respectively, by the Proposal due date and time to be awarded the preference. TGB, ED and VO
preferences are not cumulative, so a Responder that is certified in multiple programs will receive only up to a 12%
preference.
7.1. Preference to TGB and ED Businesses and Individuals
In accordance with Minnesota Rules, Part 1230.1810, Subpart B, and Minnesota Rules, Part 1230.1830,
certified TGB and certified ED businesses and individuals submitting proposals as prime contractors will
receive up to a 12% preference in the evaluation of their proposal. Eligible TGB and ED businesses must be
currently certified by the Office of Equity in Procurement (OEP) prior to the Proposal due date and time. For
information regarding certification, contact OEP at 651-201-2402 or procurement.equity@state.mn.us. For
TTY/TDD communications, contact the Helpline through the Minnesota Relay Services at 1-800-627-3529.
7.2. Preference to Veteran-Owned Small Businesses
Except when mandated by the federal government as a condition of receiving federal funds, MnDOT will
award up to a 12% preference, but no less than the percentage awarded to any other group under this
section, on state procurement to certified small businesses that are majority-owned and operated by
veterans. A small business qualifies for the veteran-owned preference when it meets one of the following
requirements: 1) The business has been certified by the Office of Equity in Procurement as being a veteran-
owned or service-disabled veteran-owned small business; or 2) The principal place of business is in Minnesota
AND the United States Department of Veterans Affairs verifies the business as being a veteran-owned or
service-disabled veteran-owned small business under Public Law 109-461 and Code of Federal Regulations
(CFR), title 38, part 74 (Supported By Documentation). See Minnesota Statutes 16C.19(d). Statutory
requirements and documentation must be met by the Proposal due date and time to be awarded the
preference.
8. Soliciting Responses from TGB Firms. In accordance with Minnesota Statutes 16C.16 (subdivision 6), 16C.19, and
161.321 (subdivision 2), a TGB participation goal of 0% has been established for this Quick Call. TGB certification is
administered by the Commissioner of Administration. To view a listing of certified TGBs, contact MnDOT's Office of

to read the Special Provisions, posted along with this Quick Call for Proposals, for information about how to meet

9. Soliciting Responses from Veteran-Owned Small Businesses. In accordance with Minnesota Statutes 16C.16
(subdivision 6a), 16C.19, and 161.321 (subdivision 2b), a VO small business participation goal of 0% has been
established for this Quick Call for Proposals. Veteran certification is administered by the United States Department

visit www.vetbiz.gov. Responders are directed to read the Special Provisions, posted along with this Quick Call for
Proposals, for information about how to meet VO participation goals.
10. Title VI Notice. MnDOT, in accordance with the provisions of Title VI of the Civil Rights Act of 1964 (78 Stat. 252, 42
United States Code [USC] 2000d to 2000d-4) and the Regulations, hereby notifies all Responders that it will
affirmatively ensure that, in any contract entered into pursuant to this advertisement, DBEs will be afforded full and
fair opportunity to submit Proposals in response to this Quick Call for Proposals and will not be discriminated against
on the grounds of race, color, or national origin in consideration for an award.
11. Insurance Requirements. A responder's proposal must clearly note any exceptions desired to insurance
requirements, or the responder will be deemed to have accepted such requirements and waived any request for
exception.
11.1. Insurance Certificates and Continuity of Coverage Required
The Selected Responder must provide a certificate of insurance showing that it has each type of insurance
coverage and limits required herein. The certificate must be filed with MnDOT's Authorized Representative
within 30 days of execution of the contract, and prior to commencing work under the contract. The Selected
Responder must maintain such insurance in full force and effect throughout the term of the contract.
11.2. Required Insurance
The Selected Responder will be required to maintain and furnish satisfactory evidence of the following
insurance policies:
11.2.1. Workers' Compensation Insurance. Except as provided below, the Selected Responder will be required
to provide Workers' Compensation insurance for all its employees and, in case any work is
subcontracted, will require its subcontractor(s) to provide Workers' Compensation insurance in
accordance with the statutory requirements of the state of Minnesota, including Coverage B,
Employer's Liability. Insurance minimum limits are as follows:
a. $100,000 - Bodily Injury by Disease per employee
b. $500,000 - Bodily Injury by Disease aggregate
c. $100,000 - Bodily Injury by Accident
If Minnesota Statutes 176.041 exempts the Selected Responder from Workers' Compensation
insurance requirements, or if such Responder has no employees in the state of Minnesota, it will be
required to provide a written statement, signed by an authorized representative, indicating the
qualifying exemption that excludes the Selected Responder from the Minnesota Workers'
Compensation requirements. If, during the contract, the Selected Responder becomes subject to the
Workers' Compensation Insurance requirements, the Selected Responder must then comply with such
requirements and must provide MnDOT with a Certificate of Insurance evidencing such coverage.
11.2.2. Commercial General Liability Insurance: The Selected Responder will be required to maintain
insurance protecting it from claims for damages for bodily injury, including sickness or disease, death
and for care and loss of services as well as from claims for property damage, including loss of use which
may arise from operations under the contract whether the operations are by the Selected Responder
or by a subcontractor or by anyone directly or indirectly employed by the Selected Responder pursuant
to the contract. Insurance minimum limits are as follows:
a. $2,000,000 - per occurrence
b. $2,000,000 - annual aggregate
c. $2,000,000 - annual aggregate - Products/Completed Operations
The following coverages must be included:
a. Premises and Operations Bodily Injury and Property Damage

b. Personal and Advertising Injury
c. Blanket Contractual Liability
d. Products and Completed Operations Liability
e. State of Minnesota named as an Additional Insured, to the extent permitted by law
11.2.3. Commercial Automobile Liability Insurance: The Selected Responder will be required to maintain
insurance protecting it from claims for damages for bodily injury as well as from claims for property
damage resulting from the ownership, operation, maintenance or use of all owned, hired, and non-
owned autos which may arise from operations under the contract, and in case any work is
subcontracted the Selected Responder must require the subcontractor to provide Commercial
Automobile Liability insurance. Insurance minimum limits are as follows:
a. $2,000,000 - per occurrence Combined Single limit for Bodily Injury and Property Damage
In addition, the following coverages must be included:
a. Owned, Hired, and Non-owned Automobile
11.2.4. Professional/Technical, Errors and Omissions, and/or Miscellaneous Liability Insurance. The Selected
Responder will be required provide coverage for all claims it may become legally obligated to pay
resulting from any actual or alleged negligent act, error or omission related to the Selected Responder's
professional services performed under the contract. Unless otherwise specified within this Quick Call,
the Selected Responder will be required to carry the following minimum limits:
a. $2,000,000 - per claim or event
b. $2,000,000 - annual aggregate
Any deductible will be the sole responsibility of the Selected Responder and may not exceed $50,000
without the written approval of MnDOT. If the Selected Responder desires authority from MnDOT have
a deductible in a higher amount, it will be required to make such request in writing, specifying the
amount of the desired deductible and providing financial documentation, acceptable to MnDOT, so
that MnDOT can ascertain the Selected Responder's ability to cover the deductible from its own
resources. MnDOT will treat such financial statements as non-public data to the extent permitted by
the Minnesota Government Data Practices Act.
The retroactive or prior acts date of coverage must not be after the effective date of the contract and
the Selected Responder must maintain such coverage for a period of at least three years following the
completion of work. If such insurance is discontinued, then extended reporting period coverage must
be obtained by the Selected Responder to fulfill this requirement.
11.2.5. Additional Insurance Conditions:
a. The Selected Responder's policy(ies) must be primary to any other valid and collectible insurance
available to MnDOT with respect to any claim arising out of the Selected Responder's performance
under the contract.
b. If the Selected Responder receives a cancellation notice from an insurance carrier affording
coverage herein, the Selected Responder agrees to notify MnDOT within five business days with a
copy of the cancellation notice, unless the Selected Responder's policy(ies) contain a provision that
coverage afforded under the policy(ies) will not be cancelled without at least 30 days advance
written notice to the MnDOT.
c. The Selected Responder is responsible for payment of contract related insurance premiums and
deductibles.
d. If the Selected Responder is self-insured, a Certificate of Self-Insurance must be attached.
e. The Selected Responder's policy(ies) will include legal defense fees in addition to its policy limits
with the exception of professional liability.

f. The Selected Responder must obtain insurance policy(ies) from insurance company(ies) having an
"AM BEST" rating of A- (minus); Financial Size Category (FSC) VII or better and authorized to do
business in the State of Minnesota.
g. An Umbrella or Excess Liability insurance policy may be used to supplement the Selected
Responder's policy limits to satisfy the full policy limits required by the contract.
11.3. Right to Terminate
MnDOT reserves the right to immediately terminate the contract if the Selected Responder is not in
compliance with the insurance requirements. MnDOT retains all rights to pursue any legal remedies against
the Selected Responder. All insurance policies must be open to inspection by MnDOT and copies of policies
must be submitted to MnDOT's Contract Administrator upon written request.
11.4. Insurance Certificates
The Selected Responder will be required to submit Certificate(s) of Insurance, acceptable to MnDOT, as
evidence of meeting the insurance requirements, prior to commencing work under the contract.
12. Plain Language and Accessibility Standards
12.1. Plain Language
Except for designs, plans, layouts, maps and similar documents, the Selected responder must provide all
deliverables in "Plain Language". Executive Order 14-07 requires the Office of the Governor and all Executive
Branch agencies to communicate with Minnesotans using Plain Language. As defined in Executive Order 14-07,
Plain Language is a communication which an audience can understand the first time they read or hear it. To
achieve that, the Selected Responder will take the following steps in the deliverables:
a. Use language commonly understood by the public;
b. Write in short and complete sentences;
c. Present information in a format that is easy-to-find and easy-to-understand; and
d. Clearly state directions and deadlines to the audience.
12.2. Accessibility Standards
Except for designs, plans, layouts, maps and similar documents, the Selected Responder agrees to comply with
the State of Minnesota's Accessibility Standard (https://mn.gov/mnit/assets/Stnd_State_Accessibility_ tcm38-
61585.pdf) for all deliverables under this contract. The State of Minnesota's Accessibility Standards entail, in
part, the Web Content Accessibility Guidelines (WCAG) 2.0 (Level AA) and Section 508 of the Rehabilitation
Act, as amended. The Selected Responder's compliance with the State of Minnesota's Accessibility Standard
includes, but is not limited to, the specific requirements as follows:
a. All videos must include closed captions, audio descriptions and a link to a complete transcript;
b. All documents, presentations, spreadsheets, and other material must be provided in an accessible format.
In addition, the Selected responder will provide native files in an editable format. Acceptable formats
include InDesign, Word, and Excel; and
c. All materials intended for downloading and printing such as promotional brochures, must be labeled as
such and the content must additionally be provided in an accessible format.
13. Proposal Withdrawal
13.1. Prior to the due date and time of the Quick Call for Proposals, a Responder may withdraw its Proposal by
notifying the Contract Administrator in writing of its desire to withdraw.
13.2. After the due date and time of this Quick Call for Proposals, a Responder may withdraw its Proposal only upon
showing that an obvious error exists in its Proposal. The showing and request for withdrawal must be made in
writing to the Contract Administrator within a reasonable time and prior to MnDOT's detrimental reliance on
the Proposal.
14. Rights Reserved. MnDOT reserves the right to:
14.1. Reject any and all Proposals received;
14.2. Waive or modify any informalities, irregularities, or inconsistencies in the Proposals received;
