New Castle County Sealed Bid and Proposal Solicitation
Introduction:
New Castle County's Department of Community Services No-Lead Program (also referred as the
"Lead Hazard Reduction and Healthy Homes Program") is seeking competitive sealed bids and
priced proposals for Subgrantee/Subrecipients for its Lead Hazard Reduction Grant. Interested
parties are asked to submit their bids and proposals to the New Castle County Purchasing
Division.

SECTION 1: GENERAL INFORMATION
1. Submission Deadline:
Proposals must be received before the Submission Deadline noted in the table on Page 1.
Submissions must include one (1) printed original and (1) hard copy.

3. Delivery Method:
3.1 Mail to the address above. Or use a carrier that guarantees delivery and provides
tracking. Vendor is fully responsible for delivery to the correct location by the due
date and time of the bid opening.
3.2 Deliver in person to the Government Center between 8 a.m. and 3:00 p.m. EST
on business days. Contact a member of the Administrative Services at 302-395-
5965 upon arrival or ask the Receptionist to contact the Purchasing Division.
3.3 Facsimile (fax) transmissions are unacceptable and will be rejected.
4. Bid Submission Instructions and Content Requirements:
4.1 Clearly display Bid 27S-204 Subgrantee/Subrecipients in the lower left quadrant
on the front of the sealed envelope.
4.2 Include completed Non-Collusion Statement/Signature Page and Authorized
Representative Procurement Affidavit signed and dated by the Authorized
Representative.
4.2.1 Failure to sign and return these documents could result in a bid
submission being rejected.
4.3 The Signature Page must include the company name, address, tax ID, and
contact information.
4.4 All bidders must provide copies of all necessary licenses required to perform the
work specified in this solicitation. Licenses must be issued by the appropriate
licensing authority prior to the execution of a contract or issuance of a purchase
order.
4.4.1 It is the responsibility of each bidder to ensure that their licenses are
current and valid throughout the bidding process and the duration of the
contract. Expired or suspended licenses may result in disqualification

from the bidding process or termination of the contract if discovered
post-award.
4.4.2 Bidders must hold all licenses that are relevant to the scope of work or
specifications outlined in the solicitation. This includes, but is not limited to,
professional licenses, business licenses, contractor licenses, specialized
licenses, and any specific permits required by local, state, or federal law.
4.4.3 Each bidder is responsible for understanding and identifying the specific
licenses and/or permits required to comply with section 4.4.2 of this
solicitation.
4.4.4 Copies of all required licenses must be submitted along with the bid
documents. Failure to include all necessary license documentation may
result in the bid being considered non-responsive.
4.4.5 Bidders are required to notify New Castle County immediately of any
changes to the status of licenses during the bidding process or contract
period. This includes renewals, suspensions, or revocations.
4.4.6 Compliance with all licensing requirements is mandatory. Bidders found
to be non-compliant may face penalties including, but not limited to,
disqualification from current and future solicitations, and legal actions
where applicable.
4.4.7 New Castle County reserves the right to verify the validity of any licenses
submitted as part of the bid documents at any time. Bidders may be
required to provide additional information or documentation to support
the validity of their licenses.
4.5 Bidders are asked to provide a brief statement on the Non-Collusion Statement
of how they heard about this solicitation opportunity.
4.6 By submitting a proposal, each bidder represents that has reviewed and will
comply with the New Castle County Code of Ethics, New Castle County Code
2.03.101-110 (the "Ethics Code"), throughout the solicitation process and during
the full term of any resulting contract, including any extensions or renewals.
4.6.1 Bidders shall refrain from offering, giving, soliciting, or accepting
anything of value to or from County officials or employees that would
violate the Ethics Code, and shall avoid any actions creating an
appearance that County decisions are influenced by factors other than
the merits.
4.6.2 Bidders shall not seek, obtain, disclose, or use confidential information
for private gain or to obtain an unfair competitive advantage in the

procurement process or during contract performance.
4.6.3 Bidders shall disclose with their proposal the identity of any County
officials or employees, or spouse, child, parent, step-parent or sibling of
the whole or half-blood of any County official or employee, who are
associated with the bidder or who hold a legal or equitable ownership of
more than five (5) percent in the bidder (more than one (1) percent in
the case of a corporation whose stock is regularly traded on an
established securities market). Bidders shall include a description of the
association or ownership of any person identified. If such association or
ownership becomes known after submission the bidder shall provide
written notice to the New Castle County Purchasing Division within three
(3) business days of discovery.
4.6.4 By submitting a proposal and signing the Procurement Affidavit, the
bidder certifies ongoing compliance with the provisions in Section 4.6.
4.6.5 Without limiting any other rights or remedies, the County may deem a
proposal nonresponsive or reject a proposal if the bidder fails to comply
with the provisions in Section 4.6. or may require that a bidder provide a
favorable opinion of the Ethics Commission before awarding a bidder a
contract if a bidder discloses any person with an association or
ownership of the bidder.
5. State of Delaware Business License
Within seven (7) days from receiving a notice of intent to award, the successful vendor
must either furnish the County with proof of a Delaware Business Licensure or initiate the

6. Bid Opening:
Bids must be submitted no later than the date and time specified in the date table on
Page 1. Attendees are welcome at the bid opening meeting scheduled at that time.
7. Award Criteria
7.1 Award, if any, will be made in conjunction with the Delaware Code, Subchapter
2, Chapter 69, Title 29, and the New Castle County Code 2.05.303, and
2.05.502.
7.2 This contract will be awarded to the responsible and responsive bidder(s)
offering the best value and meeting the bid's requirements. Award decisions will

be based on price and product evaluation.
7.3 New Castle County reserves the right to reject any or all bids and/or to make
awards in the manner most advantageous to the County, including multiple,
partial, or itemized awards in conjunction with the Delaware Code, Subchapter
2, Chapter 69, Title 29 and the New Castle County Code 2.05.303, and
2.05.502.
7.4 Receipt of a contract award does not guarantee any specific volume of orders
for services or products under the resulting contract.
7.5 The award will be made to the proposer who, in the County's sole judgment,
submits a proposal which best meets the terms, conditions, and required
evaluation criteria set forth in Attachment C of this solicitation. New Castle
County reserves the right to make multiple awards, partial awards, award by
types, award by sections, item by item, or lump sum total, whichever may be
most advantageous to New Castle County.
8. Proposal Evaluation and Selection Process
Based on the criteria established pursuant to the New Castle County Code, an evaluation
committee will be selected to read, screen, and rank in writing all proposals. The New
Castle County Chief of Technology and Administrative Services and requesting agency
shall have the right to negotiate with individual offerors after their proposals are ranked.
The Chief of Technology and Administrative Services shall establish procedures and
schedules for conducting negotiations. Disclosure of an offeror's price(s) to another and
any information derived from competing proposals is prohibited. The Chief of Technology
and Administrative Services shall issue a written request for best and final offer. The
request shall set forth the date, time and place for the submission of best and final offer.
New Castle County will issue a written request for best and final offer. The request must

Note: At any point in the negotiation process, New Castle County may, at their discretion,
terminate negotiations with any and all parties.
9. Evaluation Criteria
Proposals received by the requested deadline will only be evaluated on the criteria shown
in Attachment C.
10. Contract Terms:
10.1 The contract period will be from Date of Award to December 31, 2029 or until

funds are expended and/or until obligation is met.
10.2 Pricing must be company/firm for the length of the contract, including
extensions as applicable.
10.3 Payment Terms:
10.3.1 The purchase order/contract number must appear on all
correspondence, invoices, shipping papers and packages.
10.3.2 Modifications to any purchase order or contract are strictly prohibited
without prior written approval from the authorized representative of
New Castle County. Consequently, invoices submitted for any changes
that have not been previously authorized will not be eligible for
payment.
10.3.3 Invoices: Requests for payment shall be submitted via the program CRM
system - REHASPEC. If problems submitting via REHABSPEC, submit
invoice to New Castle County, Department of Community Services,
Healthy Homes Program, 77 Read's Way, New Castle, DE 19720. Attn:
FRANCHON DICKINSON, PROGRAM DIRECTOR.
10.4 Delivery Terms:
10.4.1 Any delivery associated with this purchase order or contract must be
F.O.B. (Free On Board) destination, unless specified otherwise in the
contract. This means that the vendor is responsible for all freight and
transportation costs and risks until the goods are delivered to the
specified destination. Any exceptions to this term must be clearly noted
and agreed upon in the contract.
10.4.1 Rejection of Non-Conforming Deliveries: New Castle County reserves the
right to reject and return, at the vendor's expense, any materials that
exceed the ordered quantity or are found to be defective.
10.4.2 Order Cancellation: The County may reject and/or cancel this order, or
any part of it, including installment deliveries, if there is a failure to ship
the order or any installment within the specified time frame, or if the
shipments do not meet the ordered quantities or quality standards.
10.4.3 Suspension or Cancellation Due to Unforeseen Events: Deliveries may be
suspended or canceled during occurrences such as strikes, labor
disturbances, secondary boycotts, fires, floods, or other circumstances
beyond practical control of New Castle County.
10.4.4 Guarantee of Quality: All goods and articles provided under this order
are guaranteed to be free from defects in material and workmanship and

must conform to the specifications stated or referenced in this
agreement.
10.4.5 Compliance with Laws: In fulfilling this order, the vendor must comply
with all applicable federal and state laws and regulations, including the
Fair Labor Standards Act. Any legal provisions required by these laws and
regulations are considered to be incorporated by reference into this
contract.
10.4.6 Acceptance of Terms: By accepting this purchase order/contract and
delivering to New Castle County, the vendor agrees to all terms and
conditions outlined herein without modification. Any additional terms or
conditions provided by the vendor during shipment or delivery are
deemed null and void and are not enforceable.
10.5 Contract Termination:
10.5.1 Termination for Convenience: This contract may be terminated by New
Castle County if funding appropriated by the New Castle County Council
becomes unavailable or is reduced. Additionally, the County may
terminate this contract at its discretion if the goods or services provided
are no longer needed, or if there is a shift in the County's priorities. In
any case of termination for convenience, the County will provide written
notice to the other party.
10.5.2 Termination for Cause: New Castle County reserves the right to terminate
this contract immediately if the other party fails to meet any of its
contractual obligations. This includes, but is not limited to, failure to
deliver goods or services as specified within the agreed timelines, non-
compliance with performance standards, or breach of any terms and
conditions stipulated in the contract. Upon determination that a breach
has occurred, New Castle County will provide written notice of
termination to the defaulting party. The County expects strict adherence
to all contract provisions and will enforce this clause rigorously in the
event of non-compliance.
10.6 New Castle County Code of Ethics; Conflict of Interest and Contracting
Restrictions:
10.6.1 The New Castle County Code of Ethics, New Castle County Code
2.03.101-110 et seq. (the "Ethics Code"), establishes minimum standards
for ethical conduct, financial disclosure, conflicts of interest, and related
prohibitions, and is administered by an independent Ethics Commission.
The Ethics Code includes, among other things: prohibitions relating to

conflicts of interest and the appearance of impropriety; restrictions on
representing private interests before the County; post-employment
restrictions; and rules governing confidential information, gifts,
solicitation, and code of conduct.
10.6.2 No County official or County employee, or his or her spouse, child,
parent, step-parent or sibling or any business with which the County
official or County employee or his or her spouse, child, parent, step-
parent or sibling is associated or who has a legal or equitable ownership
of more than five (5) percent (more than one (1) percent in the case of a
corporation whose stock is regularly traded on an established securities
market) shall enter into any contract with the County except for
employment contracts, unless the agreement is awarded following a
process of public notice and competitive bidding and there are no
circumstances that create an appearance of impropriety.
10.6.3 Exemptions to this requirement are allowed for contracts not exceeding
five hundred dollars ($500.00) annually, provided the terms are
negotiated at arm's length and there are no circumstances that create
an appearance of impropriety. This exemption also applies if the
subcontractor is the sole provider of the service or product, or there are
exigent circumstances, and there are no circumstances that create an
appearance of impropriety. A rebuttable presumption of a knowing and
willful violation of this section arises if a contract or subcontract is
awarded directly to a County official or employee or a spouse or child of
a County official or employee. This presumption can be contested with
appropriate evidence demonstrating compliance with ethical and
procedural standards.
10.6.4 The vendor shall ensure that any County official or employee who is
associated with the Business or who has a legal or equitable ownership
of more than five (5) percent (more than one (1) percent in the case of a
corporation whose stock is regularly traded on an established securities
market) timely files a statement with the Office of Human Resources
pursuant to New Castle County Code 2.03.104.C. and, if applicable, a
statement of financial disclosure with the Ethics Commission pursuant to
New Castle County Code 2.03.106-107.
10.6.5 The vendor shall provide written notice to the Procurement Division and
the Ethics Commission within three (3) business days of any suspected
or actual violation of the Ethics Code by its owners, officers, employees,
