The Operator is hereby granted the exclusive right (Work as a Prime Contractor) to manage, operate, and maintain the Facilities on behalf of the County throughout the Term hereof. Nothing herein shall vest in the Operator any rights of ownership in the Facilities. The Operator shall provide all Services, including full-time, continuous, and effective management, operation, and maintenance required for the operation of the Facilities 24 hours a Day and 365 Days each year and shall maintain Services to the County within accepted industry service Standards. These Services shall include, but are not limited to, the provision of supervision, administration, labour, transportation, tools, equipment, fuel, chemicals, and operational and maintenance staff necessary to manage, operate, and maintain the Facilities per Schedule "1."
The Operator shall establish a quality system and management plan to be submitted and approved by the County within 6 months of Contract Award and shall be responsible for all quality activities during all phases of the Agreement, as well as for operation and maintenance activities. The County may carry out quality audits to satisfy itself that quality management plan requirements are met.
