Said work is to be performed in accordance with the Contract Documents including the Bidding
Information, Contract forms, General and Supplemental Conditions, Drawings, Specifications and Addenda

Contract with the County, in the form and copy of the Contract annexed hereto, to provide all necessary
machinery, tools, apparatus and other means of construction, and to do all the work and furnish all the

take in full payment therefor the following unit and lump sum prices, to wit:
I. Adjustment Factors. Offeror bids two Adjustment Factors that will be applied against the
prices set forth in the Simplebid(TM) Unit Price Book. These Adjustment Factors will be used to
price out fixed price work orders by multiplying the Adjustment Factor by the Unit Prices and
quantities.
II. | Base Period 12 months from Notice of contract award or expenditure of the $2,500,000
maximum value of the contract, whichever occurs first.
Item 1- Unit work requirements to be performed during Normal Working Hours, defined as 6:00 am to 6:00
pm Monday through Friday excluding County Holidays, as ordered by the County in individual Job Orders
against the Contract.

County and its Board of Supervisors, officers, directors, employees and agents of County (collectively "County
Parties"), against any and all claims, demands, liability, judgments, awards, fines, mechanics' liens or other liens,
labor disputes, losses, damages, expenses, charges or costs of any kind or character, including attorneys" fees
(whether incurred by County attorneys or attorneys employed by County) and court costs (hereinafter collectively
referred to as "Claims"), related to Offeror's EXHIBIT-CONFIDENTIAL/PROPRIETARY.
4. Offeror waives any and all claims in law or equity and hereby releases the County Parties from any and all claims,
deductibles, self-insured retentions, demands, liability, judgments, awards, fines, mechanics' liens or other liens,
labor disputes, losses, damages, expenses, charges or costs of any kind or character, including attorneys' fees and
court costs, which arise out of or are in any way connected to Offeror's EXHIBIT-
CONFIDENTIAL/PROPRIETARY.
