GENERAL TERMS AND CONDITIONS
Section 1: Intent
It is the intent of the Village of Glencoe ("Village") to contract with a vendor ("Vendor") for all necessary labor,
expenses and materials to replace a rescue boat for the Village of Glencoe.
Section 2: Proposal Price
Proposal pricing must remain firm for the term of the agreement, and Proposers must propose a not-to-exceed
price. The not-to-exceed price shall be all-inclusive of all meetings, telephone calls, transportation, materials,
supplies, labor, equipment and any other costs required to fulfill the scope of work as identified herein. Proposers
must note any items which the Proposer cannot perform.
Section 3: Additional Information and Technical Questions
Proposers are invited to submit a letter of intent to Assistant Chief Financial Officer Margaret Schwarz at
mschwarz@villageofglencoe.org by April 10, 2026. Proposers submitting a letter of intent will receive a copy of all
questions and answers submitted by all proposers, and any subsequent amendments to this request for proposal.
Proposers should also submit questions via email to mschwarz@villageofglencoe.org by April 10, 2026 and
answers will be provided April 13, 2026. Any and all changes to these specifications are valid only if they are
included by written addendum from the Village to all Proposers.
Section 4: Silence of Specifications
The apparent silence of specifications as to any detail or apparent omission from a detailed description concerning
any portion of this document shall be interpreted as meaning that only the best commercial material or practice
shall prevail.
During the period beginning with the issuance of the solicitation document through the execution of the award
document, bidders are prohibited from all communications regarding this solicitation with Village staff, Village
consultants, Village legal counsel, Village agents, or elected officials. Any attempt by a bidder to influence a
member or members of the aforementioned may be grounds to disqualify the bidder from participation in this
solicitation.
Exceptions
* Written communications directed to the Assistant Chief Financial Officer, who serves as the Village's
Purchasing Coordinator.
* All communications occurring at pre-bid meetings.
* Oral presentations during finalist interviews, negotiation proceedings or site visits.
Section 5: Insurance, Hold Harmless and Indemnification
In addition to other standard contractual terms the Village needs, the Village will require the selected vendor to
comply with indemnification, hold harmless and insurance requirements as outlined below:
Vendor shall defend, indemnify and hold the Village, its officers, officials, employees and volunteers harmless
from any and all claims, injuries, damages, losses or suits including attorney fees arising out of or resulting from
the acts, errors or omissions of the Vendor in performance of this Agreement, except for injuries and damages
caused by the sole negligence of the Village.

The Vendor shall procure and maintain, for the duration of this agreement, insurance against claims for injuries
to persons or damages to property which may arise from or in connection with the performance of the work
hereunder by the vendor, his agents, representatives, employees or subcontractors. The cost of such insurance
shall be paid by the vendor. Insurance shall meet or exceed the following unless otherwise approved by the Village.
A. Minimum Levels of Insurance
1. Comprehensive or Commercial General Liability: $2,000,000 combined single limit per
occurrence for bodily injury, personal injury and property damage.
2. Automobile Liability: $1,000,000 combined single limit per accident for bodily injury and
property damage.
3. Worker's Compensation coverage as required by the Industrial Insurance Laws of the State of
Illinois.
B. Other Provisions
The policies are to contain, or be endorsed to contain, the following provisions:
1. General or Commercial Liability and Automobile Liability Coverages
a. The Village, its officials, employees and volunteers are to be covered as additional
insureds with respect to: liability arising out of activities performed by or on behalf of
the vendor; products and completed operations of the vendor; premises owned,
leased or used by the vendor; or automobiles owned, leased, hired or borrowed by
the vendor. The coverage shall contain no special limitations on the scope of
protection afforded to the Village, its officials, employees or volunteers.
b. The vendor's insurance shall be primary insurance with respect to the Village, its
officials, employees and volunteers. Any insurance or self-insurance maintained by
the Village, its employees or volunteers shall be excess of the vendor's insurance and
shall not contribute with it.
c. Any failure to comply with reporting provisions of the policies shall not affect
coverage provided to the Village, its officials, employees or volunteers.
d. Coverage shall state that the vendor's insurance shall apply separately to each insured
against whom claim is made or suit is brought, except with respect to the limits of the
insurer's liability.
2. All Coverages
a. Each insurance policy required by this clause shall state that coverage shall not be
canceled by either party except after thirty (30) days prior written notice has been
given to the Village.
3. Acceptability of Insurers
a. Insurance is to be placed with insurers with a current Bests' rating of A- or better, or
with an insurer acceptable to the Village.
4. Verification of Coverage
a. Vendor shall furnish the Village with certificates of insurance and copies of actual
insured endorsements affecting coverage required by this clause. The certificates and
endorsements for each insurance policy are to be signed by a person authorized by
that insurer to bind coverage on its behalf and shall name the Village, its officials,
employees and agents as "additional insureds" except for coverages identified above.
The certificates are to be received and approved by the Village before work
commences. The Village reserves the right to require complete, certified copies of all
required insurance policies at any time.

5. Subcontractors
a. Vendor shall include all subcontractors as insured under its policies or shall require
subcontractors to provide their own coverage. All coverages for subcontractors shall
be subject to all of the requirements stated herein.
6. Indemnification
a. Contractor shall, without regard to the availability or unavailability of any insurance,
either of Customer or contractor, indemnify, hold harmless, and defend Customer,
the District and all of their officials, employees, agents, and attorneys against
lawsuits, claims, demands, damages, liabilities, losses, and expenses, including
attorneys' fees, but only to the extent that such lawsuits, claims, demands, damages,
liabilities, losses and expenses arise from the negligent acts, errors or omissions or
wrongful misconduct of Contractor or Contractor's Service Personnel during the
performance of, or failure to perform, the Services or any part thereof,, except to the
extent caused by the negligence of Customer or the District. Notwithstanding
anything to the contrary herein, Contractor shall not be obligated to indemnify, hold
harmless or defend Customer, the District or their officials, employees, agents and
attorneys from and against any lawsuits, claims, demands, damages, liabilities, losses
and expenses arising out of any slips, trips or falls on or near the location of services,
except to the extent caused by sole and direct negligent acts, errors or omissions of
Contractor.
Section 6: Evaluation/Acceptance of Proposals
The Village intends to select a Vendor that furnishes satisfactory evidence that it has the requisite experience,
ability, resources and staffing to enable it to perform the scope of work successfully. In making the determination
as to whether to select a Vendor, the Village will consider the following factors (listed in no particular order):
1. Prior experience performing similar work.
2. Ability, capacity and skill to fulfill the services as specified.
3. References from prior or current clients.
4. Village's prior experience with Vendor, if applicable.
5. System reliability
Proposals submitted are offers only and the decision to accept or reject is a function of quality, reliability, capability,
reputation, and expertise of the Proposer.
The Village may accept the proposal that is, in its judgment, the best and most favorable to the interests of the Village
and to the public; reject the low price proposal; accept any item of any proposal; reject any and all proposals; or waive
irregularities and informalities in any proposal submitted or in the request for proposals process. The waiver of any
prior defect or informality shall not be considered a waiver of any future or similar defect or informality. Proposers
should not rely on, or anticipate, any waivers in submitting their proposals.

No Collusion
In submitting this proposal, the Proposer declares that the only person or party interested in the proposal as principals
are those named herein, and that the proposal is made without collusion with any other person, firm or corporation.
Engagement
The Proposer further understands and agrees that if their proposal is accepted, the individual will enter into an
engagement with the Village to provide the services with fifteen (15) days of receiving notice of the selection.
Payment
All payments for the Services will be made by the Village in conformance with the requirements of the Local
Government Prompt Payment Act (50 ILCS 505).
Confidentiality
Proposals and other documents submitted shall be examined to determine the validity of any written requests for
nondisclosure of proprietary or confidential information. After award of a contract, all responses, documents, and
materials submitted by the respondent pertaining to this RFP will be considered public information unless
otherwise determined by legal counsel. All data, documents and other information developed because of this
contractual agreement shall become the property of the applicable municipality. Based on the public nature of
RFP's, a respondent must inform the Village, in writing, of the exact materials in the submittal which it believes
are proprietary or confidential and should not be made part of the public record in accordance with the Illinois
Freedom of Information Act. The respondent will be financially responsible for all expenses of the municipality,
its public officials, consultants, employees, agents and representatives in defending the denial of access to such
material pursuant to a Freedom of Information Act request.

RESCUE BOAT REPLACEMENT
Section 1: Background
The Village of Glencoe is a mature community with a population of approximately 8,800. It is in the North Shore
region of northern Cook County along Lake Michigan, approximately 24 miles north of downtown Chicago. The
Village is bounded by the City of Highland Park to the north, the Village of Winnetka to the south, the Cook
County Forest Preserve District and Village of Northbrook to the west, and Lake Michigan to the east. The
Village is a home rule municipality which operates under the council-manager form of government. The Village is
a full-service community, with a consolidated Public Safety Department (police, fire and EMS); Public Works
Department that includes all public infrastructure management as well as building, zoning and planning
functions; Finance; Golf operations; as well as the functions of the office of the Village Manager/Clerk.
The Village of Glencoe requires professional services from reputable and experienced vendors to provide an
rescue boat for the Village as described in this request for proposals. The rescue boat Proposal shall include the
purchase, upfitting, delivery and training. The Village is providing specifications below and has provided
examples of qualified examples. The Village will select from proposals of either option A or option B based on
the Village's review of the proposer's history with the Village, qualifications, experience and cost. The Village is
comparing both options as it relates to the Public Safety Department's use, need and storage space.
The Village reserves the right to award the entire service package in whole or in part based upon its best interest
regarding price, convenience and professional references.
1. General Requirements
A. New, unused boat and trailer.
B. Proposal shall be for a complete, turn-key package including boat, engine, rigging, electronics,
emergency lighting/siren, trailer, installation, testing, and delivery.
C. Vendor should provide all labor, wiring, mounting, programming, and integration needed for the
systems specified herein.
D. Bidder shall list all deviations or exceptions from these specifications.
E. Or Approved Equal: The models referenced below are qualified examples; bidders may propose
an equal or better boat and trailer that meets all minimum requirements and the applicable
option requirements.
2. Qualified Boat Options (Bid One or Both)
A. OPTION A - Rigid Inflatable Rescue Boat (Qualified Example: Highfield Patrol 540)

a. Minimum 150 HP outboard engine.
b. Engine jack plate.
4. T-Top / Swim Platform
a. Swim platform with grab rails and ladder.
b. T-Top 94 inches from waterline (maximum).
C. Minimum Requirements - Applies to Either Option (A or B)
1. Console
a. Center-mounted console.
b. All controls and electronics shall be mounted securely and wired with marine-
grade materials.
2. Navigation / Electronics
a. Navigation/plotter package with a multi-function display, minimum 9-inch
screen.
b. FLIR M232 pan and tilt marine thermal night vision camera, including separate
9-inch display.
c. Mobile mounted Motorola APX4500 VHF radio provided by the Village. Vendor
to provide and mount antenna including antenna and all required
cable/mounting.
3. Emergency Equipment
a. LED emergency lights (red/blue) are installed on vessel.
b. White 360-degree scene lighting.
c. Portable spotlight.
d. Light controller including siren and loudspeaker with microphone.
4. Trailer
a. Trailer included and fitted to the boat provided.
b. Swing tongue required.
c. Storage length with boat on trailer and tongue folded: 22 ft (maximum).
d. Trailer should be roadworthy and include all required lighting and safety
equipment for legal transport.
e. Spare tire mounted to trailer.
5. Testing, Demonstration, Delivery

a. Vendor shall provide a test drive/water demonstration within 50 miles of
Glencoe, IL.
b. Vendor shall provide delivery to Glencoe, IL.
6. Miscellaneous Equipment
a. Provide one marine-grade fire extinguisher mounted in an accessible location.
b. Onboard battery charger / shore power inlet.
Overall Performance Measures
The Village requires an acceptance period of at least 30 days subsequent to the completion of the delivery.
During this 30-day period the equipment must perform without malfunction and in compliance with all
representations offered in the vendor's proposal. Should the equipment fail to perform satisfactorily, the 30-day
time frame for acceptance will start over until such time as the system performance is satisfactory for a period
of 30 consecutive days. Final payment (including any approved change orders) will be withheld, and the
warranty period will not begin, until system acceptance.
Section 3: Proposal Requirements
In order to adequately evaluate proposals, the following information is requested from all submitting vendors:
A. Company Background:
* Provide a title page that includes the following information: name of firm, local address,
telephone number, name and email address of contact person during the solicitation process,
and a brief history of the organization.
* A transmittal letter signed by a person authorized to engage the vendor in a contract must be
included in your proposal.
* A statement demonstrating the contractor's staff has the proven knowledge and experience in
equipping and delivering rescue boats
B. Proposed System Solution: Proposals will prepare a detailed Method of Approach to the Scope of Work
and how you will handle our current business during the equipment replacement.
C. Product Specifications and Technology Roadmap:
* Provide a detailed list of product specifications, description of integration, and summary of
features. Please include the expected product and service lifetime as well as scheduled and/or
opportunities for machine upgrades.
D. Proposed Schedule
The proposed schedule shall identify key design process and key decision points necessary to go live.
Please include information and a timeline from the point of contract awarded through implementation
and beyond. The anticipated start date is April 2025. The schedule shall include Village review time,
decision points, and any necessary product orders that need to be completed. The proposed schedule
submitted in the proposal will be finalized during contract negotiations. Contractor must indicate the
current workload of the contractor and its ability to commit required resources to meet the needs of the
Village.
E. Training, Preventative Maintenance and Support

Proposer shall provide a description of the training plan for the Village's responsible staff. Please include
information as to the type of training (on-site or remote), duration of training, training material
provided, and any other pertinent information.
F. Warranty
a. Provide a copy of the warranty on the proposed system or a narrative description of the provisions
of the warranty.
b. Factory-Trained Personnel - Indicate the number of service personnel in the area factory-trained to
maintain the proposed system, including the street address of the service location.
c. Qualified Personnel - Indicate the number of service personnel in the Village area qualified to
maintain the proposed system, including the street addresses of the service locations. This should
include factory-trained personnel, personnel trained by the vendor and all other individuals who can
perform technical services on the system.
d. Spare Parts - Provide a general listing of the spare parts available from each of these service centers.
e. Hourly Service Rates - Indicate the hourly rate the Village can expect for service not covered by
warranty or service contract for each of the proposed systems.
f. Maintenance Cost Escalation - Provide the rate at which the maintenance contract costs are
escalated including any contractual limits in escalation of costs.
g. Modification Lead-Time - Specify the amount of lead-time required for changes, additions, and
deletions.
h. Repair Response Times - Describe the expected and guaranteed response time.
i. Service Alternatives - Indicate the provisions for service and spare parts if your business terminates,
is subjected to a strike or shut down for any reason.
j. Default - State what recourse is available if the proposed system does not perform as quoted.
k. Performance of Maintenance - Clearly identify if the proposer or a third party will provide
maintenance services. The Village will require the right to reject any third parties or sub-contractors
under this agreement and in any event, proposer will be responsible for all maintenance services.
G. Cost Proposal
Vendor should provide a cost breakdown by feature or product. The pricing shall include, but not be
limited to, all items related to hardware purchase and installation, maintenance, data connection fees,
parts, support, initial warranty and extended warranty, site restoration, software subscriptions, system
set up, training, services, and all other required components. The cost proposal shall clearly identify
Capital costs (such as development, training, procurement, etc.), Ongoing costs (such as costs related to
maintenance services, software licensing, data connection fees) and Optional costs (such as additional
interfaces).
Financial Information - Detailed pricing information is needed on the system. Provide the following
financial data:
All proposals must include an itemized schedule of all equipment and software for the proposed system.
The pricing quoted must include all activities necessary for a complete, turn-key system, including, but
not limited to:
1. Complete installation, programming and testing of all system components and software.
2. On-site station reviews and determination of user requirements.
3. Cost detail for any non-standard features and optional items as detailed in the system specifications.
4. Any additional charges which apply for shipping and handling.
5. A recommended payment schedule must be included.

6. Maintenance costs for the system for Year 1 and for Years 2+, as configured. Please show each year
separately.
7. Vendor must be able to supply service on eight (8) hour notice, five (5) days a week at regular rates
and have service available on the weekends and holidays at prevailing overtime rates on call from
Village representatives. Village must be furnished with a telephone number where a service
technician can be contacted. All Vendors must provide a list of authorized repair and service
facilities of the manufacturer and their location located within two (2) hours of driving time of the
Village of Glencoe.
8. Please describe any Parts Labor Warranty included in the proposal.
9. For the purposes of this RFP, maintenance support should cover the entire system including the
software, hardware, etc. The Village will work with the selected vendor to customize the
maintenance arrangement.
10. Maintenance coverage shall also include software support, software updates and upgrades.
11. Clearly specify the warranty period for all hardware and software components.
H. Project Team and Experience
Provide five (5) references from clients for whom you have recently provided similar systems in the area.
Include a description of the project including the location, client, scope of work and equipment provided
by your firm.
