Purpose and Summary of Request


The Eagle County Air Terminal Corporation (“ECAT”) is a Colorado non-profit corporation formed by Eagle County in 1996 to construct and operate the commercial passenger terminal building to accommodate commercial airline services at the Eagle County Regional Airport (“EGE” or the “Airport”). ECAT desires to enter into non-exclusive Concession Agreement(s) for the purpose of providing first class, retail and food and beverage concessions in the terminal building. Concessionaire(s) shall provide to the traveling public and Airport users quality service and products at reasonable prices that reflect the high level of customer service and personality of the region. The term of a Concession Agreement is anticipated to be five years, with the possibility of one five-year extension. Services in the concession spaces are anticipated to commence by July 1, 2026. The award will be evidenced by ECAT, acting through the Eagle County Board of County Commissioners, approving and executing a Facilities Lease and Concession Agreement (“Concession Agreement”).

All respondents are required to attend a pre-proposal meeting and site visit on May 13, 2026 at 11:00 am at the Eagle County Regional Airport located at 0219 Eldon Wilson Road in Gypsum, CO. 2. Proposals must be received via email to Josh Miller, Deputy Director of Aviation at josh.miller@eaglecounty.us no later than 4:00 p.m. on June 5, 2026. Responsibility for timely submittal of proposals lies solely with the respondent. Any proposal received after this time will not be considered unless good cause is shown as determined by ECAT in its sole discretion. 3. Any question, interpretation or clarification regarding this RFP must be submitted in writing by email to David Reid, Director of Aviation, at david.reid@eaglecounty.us no later than 5:00 p.m. on May 22, 2026. About EGE
Eagle County Airport is classified by the FAA as a non-hub commercial service airport
averaging over 283,000 enplanements annually the past three years, with over 329,000 in 2025.
Peak season scheduled airline service, beginning in mid-December and ending in early April, is
provided by American Airlines, Delta Air Lines, United Airlines, and Alaska Airlines and
represents approximately 80% of the annual passenger traffic. Off-Season scheduled service
from early April through mid-December has traditionally been provided by American Airlines
and United Airlines.
The commercial passenger terminal is owned and operated by ECAT. It was constructed in 1996
and expanded in 2001, with another terminal expansion completed in December of 2019.
As of the winter season for 2025/26, EGE serves 16 major cities as seen below:

In addition to the airlines, on-site vendors presently serve guests and patrons with a broad range
of services. In the commercial terminal these services include seven rental car concessions, two
ground transportation concessions, and baggage delivery services.
Signature Aviation is a full-service fixed-base operator that handles all transient and much of the
tenant-based aircraft. Signature offers a wide array of services including fueling, self-fueling,
de-icing, catering, car rental, vehicle garages, hangar and ramp aircraft storage, customs, and
general aircraft maintenance. In addition, the Colorado Air National Guard operates a
high-altitude helicopter training facility at EGE.
Concession Spaces
Five concession spaces are available for lease pursuant to this RFP: a pre-security space, a
concession manager's office, a warehouse storage area, a post-security retail area, and a
post-security restaurant concession space.
The terminal building offers a pre-security space of approximately 1,170 square feet, which can
be operated as a cafe/retail space with additional seating area.
The concession manager's office area is approximately 140 square feet, and the warehouse
storage area with garage access to the loop roadway for deliveries is approximately 650 square
feet.

The post security restaurant concession space includes a full commercial kitchen and bar area of
approximately 4,120 square feet. Post-security retail/storage has an area of approximately 530
square feet.
Refer to Exhibit B attached hereto for depictions of each concession space available for lease.
Concessionaire shall be responsible for all costs associated with the existing kitchen equipment
set forth on Exhibit C (the "Kitchen Equipment"), including the repair, maintenance, and
replacement of such Equipment. Additionally, the cafe' furniture (the "Furniture") will be the
responsibility of the Concessionaire including the repair, maintenance, and replacement, and
Furniture as indicated in the required walk thru. ECAT will maintain ownership of all Kitchen
Equipment and Furniture. Ownership of any/all equipment purchased in addition to the Kitchen
Equipment and Furniture shall be retained by the Concessionaire.
Additive bid concepts for layouts and locations beyond what is described in this document will
be considered (mobile/kiosk locations, etc.); however, each proposal must include proposed use
of the identified concession spaces.
Term of Agreement
The term of any Concession Agreement shall commence on approximately July 1, 2026, and
continue for a five-year term, with the possibility of one five-year extension. The term shall be
more specifically defined in the Concession Agreement.
Compensation
Compensation to ECAT for use of each concession space will be the greater of (a) a sum equal to
a percentage of Concessionaire's gross revenues or (b) a minimum annual guarantee ("MAG").
The proposed MAG will assist in determining proposal selection.
Successful respondents additionally will be subject to rent payments for occupied space at the
Airport's current rate.
Annual Gross Revenue data for the incumbent Concessionaire for the previous five years is
shown in Exhibit A.
Title VI Solicitation Notice
Eagle County and the Eagle County Air Terminal Corporation, in accordance with the provisions
of Title VI of the Civil Rights Act of 1964 (78 Stat. 252, 42 U.S.C. 2000d to 2000d-4), 28 CFR
50.3, and 49 CFR Part 21, hereby notifies all bidders that it will affirmatively ensure that any
contract entered into pursuant to this advertisement, all contractors will be afforded full
opportunity to submit bids in response to this invitation and will not be discriminated against on
the grounds of the owner's race, color, national origin, sex, creed, age, or disability in
consideration for an award.

Instructions to Proposers
1. All respondents are required to attend a pre-proposal meeting and site visit on May 13,

3. Any question, interpretation or clarification regarding this RFP must be submitted in

5:00 p.m. on May 22, 2026. Responses, if any, will be issued by addenda posted to
www.eaglecounty.us. Please call to verify receipt of your questions. No additional questions will

by ECAT in its sole discretion. Oral interpretations shall be of no force and effect.
4. Any contact initiated by any respondent with any County official or Airport
representative other than the Airport representatives listed above concerning this RFP is
prohibited. Any such unauthorized contact may cause the disqualification of the respondent from
this RFP. Information obtained from an unauthorized officer, agent, or employee of Eagle County
or any other person shall not affect the risks or obligations assumed by the successful respondent
or relieve it from fulfilling any of the terms and conditions of the Concession Agreement.

ECAT reserves the right to extend or modify any dates if needed.
6. ECAT reserves the right, in its sole discretion, to reject any and all proposals submitted in
response to this RFP, to waive or not waive informalities or irregularities in proposals received or
RFP procedures. ECAT also reserves the right to re-advertise or to otherwise provide the services
as determined by ECAT to be in its best interest and to accept any portion of the proposal
deemed to be in the best interests of ECAT. Additionally, ECAT reserves the right to further
negotiate cost, terms or conditions of any proposal determined by ECAT to be in its best
interests.
7. ECAT may, at its sole discretion, modify or amend any and all provisions herein. If it
becomes necessary to revise any part of the RFP, addenda will be provided through posting on

award of an agreement.
8. All proposals will be reviewed by a selection committee and any other review as
determined to be necessary. Respondents may be asked to supplement their initial proposals
with additional written material. ECAT may short-list respondents based upon an evaluation of
the written submittals. ECAT may arrange for in-person interviews with the short-listed
respondents for a detailed presentation. ECAT will notify respondents of their status after the
review period.
9. The selected proposal(s) will be the one considered the most advantageous to the County,
the Airport and its users. The selection committee shall consider the following criteria in its
review of proposals. Each of the six criteria listed below is weighted based on the importance to
ECAT, with one being of lowest importance and four being of highest importance.

The selection committee shall make a recommendation to the Director of Aviation, who shall
identify and notify the best apparent respondent. The best apparent respondent shall be requested
to sign the Concession Agreement, which shall then be presented to ECAT, acting through the
Eagle County Board of County Commissioners.
10. Respondents are encouraged to clearly identify any proprietary or confidential data or
information submitted with the proposal. Regardless of whether or not so marked, ECAT will
endeavor to keep that information confidential, separate, and apart from the proposal.
Notwithstanding the foregoing, respondent acknowledges that ECAT may be required to release
the information in accordance with state or federal statute or order of the court, including, but not
limited to, the Colorado Open Records Act.
11. ECAT will not pay for any information requested herein, nor is it liable for any costs
incurred by the respondent in connection with its response to this RFP.
12. No work shall commence nor shall any invoices be paid until the successful respondent
has entered into a fully executed agreement with ECAT and provides the requested proof of
insurance. The apparent successful respondent assumes all risk and ECAT shall bear no

responsibility or liability to the respondent prior to the approval and execution of a Concession
Agreement.
13. No telephone or oral proposals will be accepted.
14. Respondent(s) who submit a proposal are responsible for becoming fully informed
regarding all circumstances, information, laws, and any other matters that might, in any way,
affect the respondent's role and responsibilities. Any failure to become fully knowledgeable shall
be at the respondent's sole risk. ECAT assumes no responsibility for any interpretations made by
respondents on the basis of information provided in this RFP or through any other source.
15. All respondents must include a fully executed Proposal Form attached as Exhibit D with
their proposal.
16. ECAT reserves the right to award an agreement to the respondent that demonstrates the
best ability to provide the required products and services based upon ECAT's evaluation of the
selection criteria.
17. Upon identification by ECAT of the apparent successful respondent, ECAT will give the
successful respondent the first right to sign the Concession Agreement In the event that the
apparent successful respondent refuses to sign the Concession Agreement in the form presented,
ECAT may enter into negotiations with one or more of the remaining respondents. ECAT may
choose to discard all proposals and re-issue another RFP. The Concession Agreement shall be
satisfactory to ECAT in its sole discretion.
18. The successful respondent(s) shall comply with the following insurance language which
shall be included in the Concession Agreement to be awarded unless otherwise agreed to in
writing by ECAT:
"Concessionaire agrees to provide and maintain at Concessionaire's sole cost and expense, the
following insurance coverage with limits of liability not less than those stated below:
a. Types of Insurance.
i. Workers' Compensation insurance: as required by law.
ii. Automobile Liability covering any auto, or if Concessionaire has no
owned autos, hired and non-owned autos, with limit of no less than $1,000,000 per accident for
bodily injury and property damage.
iii. Commercial General Liability (CGL) covering CGL on an "occurrence"
basis, including products and completed operations, property damage, bodily injury and personal
& advertising injury with limits no less than $2,000,000 per occurrence. If a general aggregate
limit applies, either the general aggregate limit shall apply separately to this project/location or
the general aggregate limit shall be $4,000,000.

iv. Professional Liability (Errors and Omissions) Insurance appropriate to
Concessionaire's profession, with limit no less than $2,000,000 per occurrence or claim,
$2,000,000 aggregate.
v. Cyber Liability Insurance, with limits not less than $2,000,000 per
occurrence or
claim, $2,000,000 aggregate. Coverage shall be sufficiently broad to respond to the duties and
obligations as is undertaken by Concessionaire in this agreement and shall include, but not be
limited to, claims involving infringement of intellectual property, including but not limited to
infringement of copyright, trademark, trade dress, invasion of privacy violations, information
theft, damage to or destruction of electronic information, release of private information,
alteration of electronic information, extortion and network security. The policy shall provide
coverage for breach response costs as well as regulatory fines and penalties as well as credit
monitoring expenses with limits sufficient to respond to these obligations.
vi. Property Insurance: Concessionaire shall maintain not less than
$1,000,000 Legal
Liability Coverage on all real property being leased, including improvements and betterments
owned by ECAT, and shall name ECAT as a loss payee. Concessionaire shall also provide
property insurance on all personal property and betterments and improvements contained within
or on the leased premises. The policy must be written on an "all risks" replacement cost basis,
excluding earthquake and flood, with no more than a ninety (90) percent co-insurance
requirement, and Concessionaire shall name ECAT as a loss payee for its interest in the property.
vii. Interruption of Business Insurance: Concessionaire shall, at its sole cost
and expense, maintain business interruption insurance by which the minimum monthly rent will
be paid to ECAT for a period of up to one (1) year if the premises are destroyed or rendered
inaccessible by a risk insured against by a policy of standard fire and extended coverage
insurance, with vandalism and malicious mischief endorsements.
b. Other Requirements. The insurance policies are to contain, or be endorsed to
contain, the following provisions:
i. Additional Insured Status. ECAT, its officers, officials, employees, and
volunteers are to be covered as additional insureds on the CGL and Professional Liability policy
with respect to liability arising out of work or operations performed by or on behalf of the
Concessionaire including materials, parts, or equipment furnished in connection with such work
or operations. Coverage can be provided in the form of an endorsement to the Concessionaire's
insurance.
ii. Primary Coverage. For any claims related to this Agreement, the
Concessionaire's insurance coverage shall be primary and non-contributory as respects ECAT, its
officers, officials, employees, and volunteers. Any insurance of self-insurance maintained by
ECAT, its officers, officials, employees, or volunteers shall be excess of the Concessionaire's
insurance and shall not contribute with it. This requirement shall also apply to any Excess or
Umbrella liability policies.

iii. Umbrella or Excess Policy. The Concessionaire may use Umbrella or
Excess Policies to provide the liability limits as required in this Agreement. The Umbrella or
Excess policies shall be provided on a true "following form" or broader coverage basis, with
coverage at least as broad as provided on the underlying Commercial General Liability
insurance.
iv. Notice of Cancellation. Each insurance policy required above shall
provide that coverage shall not be canceled, except with notice to ECAT.
v. Waiver of Subrogation. Concessionaire hereby grants to ECAT a waiver
of any right to subrogation which any insurer of said Concessionaire may acquire against ECAT
by virtue of the payment of any loss under such insurance. Concessionaire agrees to obtain any
endorsement that may be necessary to affect this waiver of subrogation, but this provision applies
regardless of whether or not ECAT has received a waiver of subrogation endorsement from the
insurer.
vi. Self-Insured Retentions. Self-insured retentions must be declared to and
approved by ECAT. ECAT may require the Concessionaire to purchase coverage with a lower
retention or provide proof of ability to pay losses and related expenses within the retention. The
policy language shall provide, or be endorsed to provide, that the self-insured retention may be
satisfied by either the named insured or ECAT.
vii. Acceptability of Insurers. Insurance is to be placed with insurers
authorized to conduct business in the state of Colorado with a current A.M. Best's rating of no
less than A:VII, unless otherwise acceptable to ECAT.
viii. Verification of Coverage. Concessionaire shall furnish ECAT with
original certificates and amendatory endorsements or copies of the applicable policy language
effecting coverage required by this Section []. All documents are to be received and approved by
ECAT before work commences. However, failure to obtain the required documents prior to the
work beginning shall not waive Concessionaire's obligation to provide them. ECAT reserves the
right to require complete, certified copies of all required insurance policies, including
endorsements required by these specifications, at any time. A certificate of insurance consistent
with the foregoing requirements is attached hereto as Exhibit [].
ix. Subcontractors. Concessionaire shall require and verify that all
subcontractors maintain insurance meeting all the requirements stated herein, and Concessionaire
shall ensure that ECAT is an additional insured on insurance required from subcontractors.
x. Special Risks or Circumstances. ECAT reserves the right to modify these
requirements, including limits, based on the nature of the risk, prior experience, insurer,
coverage, or other special circumstances.
