1 INFORMATION AND INSTRUCTIONS
1.1 INVITATION TO PROPOSE
The City of Pasco, Washington, (City) City Manager's Office is soliciting Proposals from qualified businesses,
entrepreneurs, or entities interested in purchasing and activating a City-owned building, 122 & 124 S 4th Street,
located in the downtown area.
The complete RFP and full scope of work may be obtained via the City website - http://www.pasco-
wa.gov/Bids.aspx. It is the sole responsibility of the Proposer to obtain any RFP updates or addenda from the
City's website.
Responses shall be submitted electronically. One electronic copy, including attachments, shall be transmitted to
Samantha McCanse at mccanses@pasco-wa.gov. Email Subject shall be: 'RFP - PURCHASE & ACTIVIATION
OF 122 & 124 S 4TH AVE' with a maximum size of 20mb. The due Friday, July 17, 2026 no later than 2:00pm.
Technical questions regarding the scope of this project should be put in writing and directed to Samantha
McCanse at mccanses@pasco-wa.gov, no less than three (3) working days prior to the time that submittals are
due.
The City of Pasco, in accordance with the provisions of Title VI of the Civil Rights Act of 1964 (78 Stat. 252,42
U.S.C. 2000d to 2000d-4) and the Regulations, hereby notifies all proposers that will affirmatively ensure that any
contract entered into pursuant to this advertisement, disadvantaged business enterprises will be afforded full and
fair opportunity to submit proposals in response to this invitation and will not be discriminated against on the

1.2 INTENT OF THE CITY
The objective of this is to identify a buyer who will not only acquire the property but also establish a use that
contributes to a vibrant, pedestrian-oriented downtown environment. The City seeks a proposal that enhances
economic vitality, supports local businesses, and aligns with the City's vision for a welcoming and active downtown
district.
This RFP is not a contractual offer, nor does it obligate the City to sell the property. Any proposed transaction is
subject to negotiation of a Purchase and Sale Agreement and approval by the Pasco City Council. The contents of
this RFP and the selected proposer's submittal may be used as the basis for negotiating final terms and may be
incorporated, in whole or in part, into any resulting agreement.
1.3 QUESTIONS
Any explanation desired by a Prosper regarding the meaning or interpretation of the RFP, or any part thereof, must
be submitted in writing (via email) and directed to Samantha McCanse at mccanses@pasco-wa.gov, no less than
three (3) working days prior to the time that submittals are due.
Any interpretation made will be in the form of an addendum to the RFP, issued by the City and will be posted to the
City Website - http://www.pasco-wa.gov/Bids.aspx. It is the sole responsibility of the Proposer to obtain any RFP
updates or addenda. Please include "RFP - Purchase & Activation of 122 & 124 S 4th Ave" in the subject line for
all emails and correspondence related to this project.
1.4 SUBMISSION PROCEDURES
For consideration, Proposers are required to submit an electronic copy of their Proposal. Failure to provide the
submittal in the appropriate manner will result in disqualification. Hard-copy or fax submittals are not permitted and
will not be accepted. One electronic copy, including attachments, shall be transmitted to Samantha McCanse at
mccanses@pasco-wa.gov. Receipt time of submittal will be considered the time-stamp of the incoming email
created automatically by the City's email server. Proposers are encouraged to submit the Proposals with adequate
time for the email to be processed by the City's email server.

1.5 LATE SUBMITTALS AND MODIFICATIONS
Submittals and modifications thereof received after the stated time of closing will not be considered. The City is not
responsible for late deliveries. In accordance with the Due Date from Section 1.4 of this RFP, the time of closing
will be determined per the Pacific Time Clock at http://www.time.gov/.
1.6 WITHDRAWAL OF SUBMITTALS
Submittals may be withdrawn by written request up to one (1) hour after the stated time of closing, as mentioned
above. Determination of the one-hour grace period shall be calculated based on the same reference as identified
in Section 1.5.
1.7 CONDITIONS AFFECTING THE PROPERTY AND PROPOSAL
Before submitting a Proposal, each Proposer is advised to:
1) Examine this RFP documents thoroughly. Review and be familiar with this request.

2) Conduct due diligence of the property. Familiarize themselves with the condition of the property, including
any physical, legal, or operational factors that may affect the purchase, improvement, or use of the property.
3) Ensure familiarity with applicable laws and regulations. Be aware of all federal, state, and local laws,
ordinances, codes, and regulations that may in any manner affect the purchase, ownership, use,
renovation, or operation of the property and proposed business.
4) Carefully correlate observation with the Proposal. Ensure that all findings, assumptions, and conditions
identified by the Proposer are reflected in their submitted Proposal.
1.8 EXPLANATIONS FOR PROPOSERS
There are ten (10) pages in this RFP, including the cover sheet, table of contents and body, excluding appendices.
Each is sequentially numbered in the bottom right corner of the page (Pages 1-10). Appendix A retained its
independent numbering system (A1. It is the responsibility of the Proposer to ensure that all pages are included.
If any pages are missing, the Proposer should immediately request a copy of the missing page(s) by emailing the
City. Please write "RFP - Purchase & Activation of 122 & 124 S 4th Ave" in the subject line. It is the responsibility
of the Proposer to procure missing pages; submittals based on incomplete information will not be granted exception
for any faults deriving thereof.

1.10 FORMAT OF SUBMITTALS
To assist in the evaluation process, submittals shall conform to the following:
1) The submittal shall be limited to a maximum of 15 pages.
2) All pages will be counted toward the page total, except for the front cover, back cover, tab pages, financial
statements (if included), and the cover letter. The cover letter shall be limited to a maximum of two (2)
pages.
3) All pages shall be 812" x 11".
4) Font shall be "Arial" no smaller than "10 point". The body of this RFP is written in "Arial 10-point" as
example.
5) Margins on all edges should be a minimum of 0.75-inches.

1.11 BASIS FOR SELECTION
A. General
The selection process will be based on the overall quality and feasibility of the proposed use, as well as the
Proposer's demonstrated experience and ability to successfully operate and maintain a business consistent
with the City's objectives. For the purposes of this RFP, relevant experience includes owning, operating, or
managing businesses similar in scope and scale to the proposed use.
Additionally, the Proposer must demonstrate the ability to successfully implement the proposed concept,
including securing necessary financing, completing any required improvements, and opening and operating the
business within a reasonable timeframe. The City will also consider the Proposer's ability to collaborate
effectively with City staff and comply with applicable regulations and requirements.
B. Selection Committee
The Selection Committee will be made up of City selected individuals and may include the City Representatives
listed in Section 1.9 of this RFP.
C. Evaluation Process
The Selection Committee will review all Proposal submittals and evaluate responses based on the criteria provided
in this RFP. The City intends to select the Proposer whose Proposal best aligns with the City's objectives for the
property and represents the greatest overall benefit to the community. Submittals will be scored based on the
Evaluation Criteria set forth in Section 3.2 of this RFP. The City reserves the right to make a selection based solely
on the information contained in the written submittals.
The City further reserves the right to interview selected Proposers or request additional information to assist in
determining the most advantageous Proposal. Should the City elect to conduct interviews, shortlisted Proposers
will be evaluated based on the criteria outlined in Section 3.3 of this RFP. The City may make a selection based on
any combination of written submittals and interview evaluations.
The recommendation of the Selection Committee shall be forwarded for consideration in accordance with City
procedures. The selected Proposer will be notified in writing by the City, and no other method shall be considered
official notification.
The City reserves the right to reject any or all Proposals. If the City elects to proceed with a selected Proposer, the
City will enter into negotiations to finalize the terms and conditions of a Purchase and Sale Agreement and any
related documents, in the best interest of the City. The primary objective of negotiations is to ensure the selected
Proposal delivers the greatest overall value and aligns with the City's goals for the property.
If an agreement cannot be reached with the selected Proposer within a reasonable timeframe, the City reserves the
right to terminate negotiations and initiate negotiations with the next highest-ranked Proposer.

2.2 PROPERTY DESCRIPTION
Constructed in 1944, this property is located in the heart of Downtown Pasco in a highly visible and active area.
The site is situated adjacent to the Pasco Specialty Kitchen and directly across from the Pasco Farmers Market
and Peanuts Park, making it well-positioned for uses that benefit from pedestrian activity and community
presence.
The building offers flexibility for a variety of uses and may be demised into up to three suites. It features three
separate entrances along 4th Avenue, as well as multiple rear access points with alley access and loading areas,
supporting a range of operational needs.
2.3 UTILITIES & INFRASTRUCTURE
The property is served by standard municipal utilities, including water, sewer and electrical services.
2.4 CONDITION
No representations or warranties are made as to zoning, structural integrity, physical condition, environmental
condition, construction, workmanship, materials, habitability, fitness for a particular purpose, or merchantability of
all or any part of the Property.
2.5 CITY OBJECTIVES
The City seeks proposals that advance the following objectives:
* Activate the downtown environment with an engaging, publicly accessible ground-floor use
* Increase pedestrian activity during both daytime and evening hours
* Support a diverse and resilient local economy
* Complement and strengthen existing downtown businesses
* Contribute to a safe, attractive, and welcoming downtown
* Align with City Council goals related to economic vitality and community identity
2.6 PREFERRED AND DISCOURAGED USES
A. Preferred Uses
The City encourages proposals that include:
* Restaurants, cafes, bakeries, or similar food-based uses
* Retail establishments, particularly locally owned or unique concepts
* Arts, cultural, or entertainment uses
* Mixed-use concepts with active ground-floor commercial
B. Conditionally Supported Uses
The following may be considered if they contribute to downtown activity:

* Office uses with customer-facing components
* Personal services (e.g., salon, fitness, wellness)
C. Discouraged or Prohibited Uses
The City reserves the right to reject proposals that include uses that do not support an active, pedestrian-
oriented downtown environment, including but not limited to:
* Check casing, payday lending, or similar financial services
* Auto-oriented uses
* Storage-focused or warehouse-type uses
* Uses with limited public interaction
* Uses resulting in inactive, opaque, or closed street frontage
2.7 MULTI-PROPERTY PROPOSAL
The City is concurrently issuing Requests for Proposals for multiple City-owned properties. Proposers may, at
their option, submit proposals for one or more of these properties.
Proposals that include a coordinated or comprehensive approach to the development, activation, or operation of
multiple City-owned properties will receive additional scoring consideration as part of the evaluation process.
Such proposals will be evaluated based on the extent to which they demonstrate a cohesive vision, operational
efficiency, and enhanced community benefit across multiple sites.
The City reserves the right to evaluate proposals individually or in combination with other proposals submitted by
the same Proposer, as determined to be in the best interest of the City.
3 SELECTION CRITERIA
3.1 SUBMITTAL REQUIREMENTS
At a minimum, the following items shall be included in the Proposal. The Selection Committee will perform a review
of submitted Proposals based on the point distribution provided in this section.
After the Due Date, submittals received by the City will be provided to the Selection Committee for evaluation. Each
submittal will be reviewed by the Selection Committee and scored based upon requirements set forth in this Section.
Those requirements, and the scoring below, establish the evaluation criteria herein.

* Explanation of how the business contributes to downtown vibrancy
B. SITE USE AND ACTIVATION PLAN

3.2 EVALUTATION CRITERIA

E. Financial capacity and feasibility experience in Washington State and/or the Pacific Northwest.
F. Proven ability to maintain confidentiality and handle sensitive recruitments with professionalism.
G. Purchase Price
3.3 INTERVIEW PROCESS
Following a review of the submitted Proposals, the City may establish specific requirements and content for
interviews to further aid in evaluating the Proposer's qualifications and proposed business concept. The selection
team may prepare a list of standard questions for all interviewed Proposers. Additional questions may be
developed based on each Proposer's submittal to clarify or expand upon the information provided.
Following selection of a Proposer, the City will enter into negotiations with the selected Proposer to finalize the
terms of a Purchase and Sale Agreement and any related documents. If an agreement cannot be reached with
the selected Proposer, the City reserves the right to terminate negotiations and initiate negotiations with the next
