PART I - PROJECT INFORMATION
Section 1.01 About Ventura Housing
Ventura Housing was organized in 1949 to provide decent, safe, and affordable housing
in a suitable environment for families who could not otherwise afford standard private
housing. Its programs are administered locally in accordance with federal and state law,
under an Annual Contributions Contract (ACC) with the U.S. Department of Housing and
Urban Development (HUD), with general supervision and program guidance provided
through the HUD Los Angeles Field Office.
Ventura Housing is responsible for the development of low-income rental projects, the
implementation of financing to promote low-income housing production, the management
of publicly owned and assisted housing, the operation of rent-subsidy programs, and the
rehabilitation of existing housing stock. Ventura Housing serves the areas of the City of
Ventura. Its seven-member Board of Commissioners, appointed by the Ventura City
Council, establishes policy, long-term goals, and direction.
Section 1.02 Overview
Ventura Housing is requesting proposals from qualified, California-licensed real estate
brokers to provide professional real estate marketing and brokerage services under
a term contract. The initial assignment is the sale of six (6) scattered-site properties
(nine units) being repositioned out of Ventura Housing's public housing portfolio under
HUD's Section 18 Disposition program. Ventura Housing may also assign, at its sole
option, the purchase, marketing, and sale of additional residential properties that
Ventura Housing or its affiliated entities identify for disposition or acquisition (see Section
1.05). Ventura Housing intends to make an award on a "Best Value" basis - meaning it
will consider factors in addition to price in making its award decision - to the responsible
firm whose proposal is most advantageous to Ventura Housing. A detailed Scope of
Services is provided in Section 1.05, and a full Project Description for the initial
assignment is provided in Exhibit A.
Section 1.03 Project Description
Ventura Housing's Board of Commissioners has authorized (Resolution 26-13) the
disposition of six (6) scattered-site residential properties (ten units) under HUD's Section
18 Disposition program - the HUD program that allows a public housing agency to
dispose of scattered units that are obsolete or no longer cost-effective to maintain as
public housing. The properties are single-family and duplex homes located at scattered
sites throughout the City of Ventura, and will be sold vacant, at a minimum of Fair Market
Value to private-sector buyers on the open market, with no affordability or resale
restriction. Preference will be given to First Time Home Buyers. Each property has
already been appraised by a State-certified appraiser, which establishes the Fair Market
Value for the disposition. Consistent with Section 18 program guidelines, the net sale
proceeds will be reinvested in Ventura Housing's future development of affordable
housing.

Section 1.04 Funding Requirements
This procurement is conducted under HUD's Section 18 Disposition program and relates
to Ventura Housing's public housing program. As a recipient of HUD financial assistance,
Ventura Housing applies Section 3 of the Housing and Urban Development Act of 1968
(24 CFR Part 75) to its procurements to the greatest extent feasible, and its Procurement
Policy requires every offeror on a competitive-proposal solicitation to submit a Section 3
Strategy Statement.
The selected Contractor shall comply with the federal requirements and HUD non-
construction forms summarized below. HUD-5369-B and HUD-5369-C are attached as
Attachments A and B.

Section 1.05 Scope of Services
Ventura Housing intends to award a term contract for real estate marketing and brokerage
services, covering the initial assignment below and any additional assignments Ventura
Housing elects to make during the term.
Initial Assignment: Section 18 Disposition (Six Properties)
Ventura Housing is seeking a qualified real estate broker with extensive familiarity with
the City of Ventura real estate market to list and sell six (6) scattered-site properties (nine
units) being removed from its public housing portfolio under the HUD Section 18
Disposition program. The properties will be sold at a minimum of Fair Market Value on
the open market. Each property has already been appraised by a State-certified
appraiser, which establishes the Fair Market Value for the disposition.
The selected Broker shall:

(a) Perform a market analysis (broker price opinion) for each property and advise
Ventura Housing on pricing and market positioning consistent with the State-
certified appraisal and HUD Section 18 Fair Market Value requirements.
(b) Develop and execute a marketing and sales strategy for the scattered-site
portfolio, including listing each property on the area Multiple Listing Service
(MLS) and marketing to prospective buyers.
(c) Work with designated Ventura Housing staff to negotiate sales with buyers and
prospects.
(d) Work from the completed State-certified appraisals to ensure listing prices and
accepted offers are consistent with the appraised Fair Market Value and
applicable HUD disposition requirements, and coordinate any updated valuations
the disposition may require.
(e) Coordinate real estate transaction closings, including escrow and title.
(f) Handle all other customary activities and services associated with residential real
estate transactions.
(g) Coordinate work with Ventura Housing in light of resident relocation; resident
relocation is the responsibility of Ventura Housing under the Section 18 process
and is not part of this scope.
(h) Provide monthly written reports to Ventura Housing detailing the status of each
property and each transaction in progress.
(i) Maintain files sufficient to document compliance with program policies and HUD
regulations, make reports and files available to Ventura Housing staff upon
request, and ensure Ventura Housing receives all original file content.
(j) Make presentations at public meetings (including Board of Commissioners
meetings) as required.
(k) Inspect the Property and provide recommendations regarding repairs,
maintenance, improvements, updates, or cosmetic enhancements that may
reasonably increase marketability, sale price, or net proceeds from the sale,
including identification of items that should be completed before listing and those
that may be sold in their current condition. Broker's recommendations shall be
advisory only and based on Broker's professional judgment and market
experience.
Additional Assignments (at Ventura Housing's Option)
During the contract term, Ventura Housing and/or its affiliated entities may, at their
sole option, assign the selected Broker the purchase, marketing and sale of additional
residential properties (such as single-family homes and duplexes) identified for
disposition. Each additional assignment will be authorized in writing by Ventura
Housing and performed under the same terms, conditions, and commission structure
established by this procurement. Exercising this option is a right of Ventura Housing
and does not obligate Ventura Housing to assign any additional properties.

General Broker Responsibilities: The following responsibilities apply to all
engagements regardless of service type.
* All costs incurred during proposal preparation and submission are borne solely
by the Respondent. Ventura Housing will not reimburse proposal costs under any
circumstances.
* The Broker shall be solely responsible for all direct costs incurred in performance
of the scope, including travel, lodging, postage, shipping, reproductions, and
subcontracts, unless expressly stated otherwise in the scope.
* All project communications shall be directed in writing to the Ventura Housing
Project Manager identified on the cover page. No other Ventura Housing staff
may be contacted during the RFP without written authorization.
* The Broker shall maintain all required licenses, certifications, and insurance
throughout the term of the contract. Lapses in required coverage is grounds for
contract termination.
* All work products, reports, and deliverables produced under this contract shall
become the property of Ventura Housing upon delivery and acceptance.
* The Broker shall not assign or subcontract any portion of the work without prior
written consent of Ventura Housing.
Section 1.06 Broker Qualifications
Respondents to this RFP shall have the following qualifications:
Licensed and in good standing with the California Department of Real Estate
(DRE).
Active participation in the area Multiple Listing Service (MLS).
An excellent reputation in the real estate community.
Knowledge of the local real estate market, with experience in affordable housing
and in residential and, where applicable, multi-family properties.
Knowledge in the use of all public real estate records.
Special qualifications and requirements. The selected firm shall demonstrate
knowledge and experience in the following:
Real estate principles and practices as required by applicable federal regulations
and state and local codes.
All valid certifications and/or licenses required by federal, state, and local law,
held at the time of submittal and throughout the contract term.
Strong preference will be given to respondents who can demonstrate five (5)
years of active experience as a California-licensed real estate agent or broker
within the preceding seven (7) years.
Strong marketing skills, as evidenced by sales records.

Intent to Respond. Firms intending to respond to this request are encouraged to submit
a brief email to the contact above by the date in Section 2.02 with the subject line " Broker
RFP- Intent to Respond." All questions, responses, and addenda will be distributed to
firms that submit an Intent to Respond. Submitting one is encouraged but does not
obligate the firm to respond, and failure to submit one will not disqualify a proposal.

Section 2.03 Required Proposal Contents
Proposals shall be submitted as a single PDF document containing all of the following
items in the order listed. Failure to include required items may result in the proposal being
deemed non-responsive.

Experience Relevant experience listing and selling property in the City of
Ventura (please describe sales in the last 6 and 12 months -
sale price, date, days on market, and whether sold at, above, or
below list). Affordable-housing and HUD-related experience.
Resumes of key personnel. State whether the firm is a Section 3,
minority-owned, or women-owned business.
3 Project Approach & Your marketing and sales strategy for a scattered-site residential
Methodology portfolio, demonstrated understanding of a Section 18 Fair
Market Value disposition, and a sample marketing plan or
materials prepared for similar work.
4 Project Schedule Your capacity to list and sell up to ten properties over the
contract term, key milestones, and demonstrated availability to
meet Ventura Housing's deadlines.
5 Fee Proposal Your proposed compensation structure, stated clearly and
completely: listing-side commission rate, any cooperating-broker
split, whether you contemplate single-agency or dual-agency
transactions (and the disclosure you would provide), and any
other anticipated costs. Ventura Housing will evaluate fee
proposals on a best-value basis.
6 References Three (3) client references with similar scope. Organization,
contact name, phone, and email. Note: do not list Ventura
Housing staff as references.
7 Legal / Judgment Disclose any indictment, conviction, or civil judgment involving
Disclosure fraud or misconduct in the past 3 years.
8 HUD-5369-C Required. Complete, execute, and submit the form attached as
Attachment B.
9 Section 3 Strategy Section 3 Strategy Statement Required of all offerors. Disclose
Statement the firm's strategy to comply with the Section 3
training/employment and/or contracting preference (24 CFR Part
75/135).
10 Form of Listing A copy of the firm's standard listing agreement (and any
Agreement standard addenda) that Ventura Housing would execute for each
property, so Ventura Housing can review the firm's standard
terms in advance. Identify any terms the firm considers non-
negotiable.
11 Evidence of Insurance A current certificate of insurance, or a letter from the firm's
insurer or licensed insurance broker, showing the firm carries -
or can obtain upon award - the coverages and limits required in
Section 4.02
12 Section 3 Business For any proposer claiming a Section 3 Business Preference,
Preference Certification submit the certification attached as Attachment C with
(optional) supporting documentation.

PART III - SELECTION
Section 3.01 Evaluation Criteria & Scoring of Qualifications
All proposals that pass the threshold review will be evaluated by a review committee using
the standard scoring matrix below. Ventura Housing reserves the right to adjust point
weights for project-specific circumstances with Director approval; any adjustments will
be disclosed by addendum before the submission deadline.

Section 3.02 Selection Process and Criteria
(a) Threshold Review
Prior to scoring, Ventura Housing will conduct a threshold review to confirm: (1) the
submittal is complete and in the required format; and (2) the respondent is not subject to
active federal, state, or local debarment. Proposals failing threshold review will not be
evaluated.
(b) Evaluation & Award
A review committee will score all proposals passing threshold review using the matrix in
Section 3.1. Following scoring, Ventura Housing expects to immediately negotiate with
the highest-ranked respondent on contract terms and final pricing. If negotiations fail for
any reason, Ventura Housing may proceed to negotiate with the next-ranked respondent.
Ventura Housing reserves the right to: request oral presentations or additional information
from any respondent before final selection; consider information about a firm beyond

what was submitted in the response; and award to the respondent deemed most
advantageous to Ventura Housing regardless of fee alone.
PART IV - CONTR ACT & TERMS
Section 4.01 Contract Type
The selected respondent will be engaged through individual, property-by-property listing
agreements. Ventura Housing will execute a separate listing agreement for each of the 6
properties, and for any additional property assigned during the engagement, using the
selected firms negotiated form of listing agreement at the commission and terms
established through this RFP and the respondent's proposal.
The initial engagement period shall be 3 years. Ventura Housing may, at its sole
discretion, extend the agreement upon mutual written agreement. Time is of the essence.
The selected respondent must hold all applicable state and local licenses required to
perform the scope of work throughout the engagement period.
Section 4.02 Insurance
Before commencing work, the selected Contractor shall furnish Ventura Housing with
certificates of insurance evidencing the minimum coverage below. Full insurance
requirements, endorsement language, carrier rating requirements, and Additional
Insured designations are outlined in Exhibit B. In the event of any conflict between the
summary table below and Exhibit B, the requirements outlined in Exhibit B shall prevail.
