ADDENDUM NO. 2

RFQ 2025-23 QUESTIONS AND RESPONSES

Q.1 Can the County confirm that the terms and conditions of an eventual contract, in addition

to the scope and fee, will or will not be subject to negotiation by the County with the top-

ranked proposer?

A.1 In accordance with Addendum No. 1 to RFQ 2025-23, the County will enter into

negotiations with the top-ranked proposer on January 5, 2026. The terms and conditions of the

resulting contract, including the scope and fee, may be subject to negotiation. At this time, the

County cannot guarantee or dismiss any potential outcomes of these discussions.

Q.2 Page 5 of the Intent and General Information document indicates the project is funded by

a grant from the Florida Department of Emergency Management (FDEM). Can the County

provide proposers a copy of the grant agreement?

A.2 This document is available upon request by submitting an email to

bnowak@mywakulla.com.

Q.3 Section 9.1 Definitions defines a Proposal Bond. Can the County confirm whether such a

proposal bond is or is not applicable to this RFQ?

A.3 Per Section 9.6.2, Bond Requirements – Performance and Payment Bonds are not

applicable.

Q.4 Article 15 of the sample contract includes indemnification obligations. Would the County

consider modifying this provision for consistency with the verbiage contained in Section

725.08, Fla. Stat. (indemnification by design professionals) in connection with design services

rendered? The statute states that "defend" verbiage is void as against public policy.

A.4 Refer to Form 15 – Comments on Proposed Contract. Any comments included on this form

regarding the contract documents will be forwarded to the County Attorney’s Office for review.

The County’s acceptance of submitted comments does not guarantee any revisions to the

contract documents. Comments not included on this form will not be considered.
