PROCESS EQUIPMENT
CHOPPER PUMPS
The Town of Westerly RI is seeking Sealed Bids for supply of Chopper Pumps to be used at
the Town's Wastewater Treatment Facility. Bids will be received until 2:00 PM, local time,
May 21, 2026, at the office of the Purchasing Department, 2nd Floor Office, Westerly Town
Hall, 45 Broad Street, Westerly, RI 02891, at which time the bids will be opened and
publicly read aloud in the Town Council Chambers starting at 2:05 PM local time. Any Bids
received after the specified time will not be considered.
Contract documents will be available on the Town website and will be uploaded/advertised at
the following websites:

Bid must be submitted on the prescribed Bid Form and the Successful Bidder will be
required to furnish the additional bond(s) and insurance prescribed in the Bidding
Documents.
The Town of Westerly, as a recipient of federal grant funds, requires that the Bidder
complies with all Federal and State flow-down requirements prescribed in the Bidding
Documents.
Prospective Bidders are asked to attend a non-mandatory Pre-Bid Conference at 10:00 am on
May 7, 2026.
The Town reserves the right to reject any and all Bids or parts thereof, or to waive
irregularities in the Bids received, and to accept the Bid or parts thereof deemed to be most
favorable to the best interest of the Town.

INSTRUCTIONS TO BIDDERS
1. DEFINED TERMS
1.1. Terms used in these Instructions to Bidders have the meanings indicated in the General
Conditions and Supplementary Conditions. Additional terms used in these Instructions to
Bidders have the meanings indicated below:
1.1.1. Issuing Office-The office from which the Bidding Documents are to be issued
and where the bidding procedures are to be administered.
1.1.2. Owner - The Town of Westerly RI. The term "Town" and "Owner" are used
interchangeably throughout the documents.
1.1.3. Supplier-The equipment manufacturer and authorized representative furnishing
the products and services specified. The term "Vendor" and "Supplier" are used
interchangeably throughout the documents.
2. COPIES OF BIDDING DOCUMENTS
2.1. A complete set of the Bidding Documents has been uploaded to the Town website and
may also be found on the following websites:

2.2. Complete sets of Bidding Documents shall be used in preparing Bids. Neither Town nor
Engineer assumes responsibility for errors or misinterpretations resulting from use of
incomplete sets of Bidding Documents.
2.3. Drawings bound in the Bidding Documents are reductions of originals. Amount of
reduction is indicated by a note or scale bar on Drawing.
2.4. Town, in making copies of Bidding Documents made available on the above terms, do
so only for the purpose of obtaining Bids for the Work and do not authorize or confer a
license or grant for any other use.
3. QUALIFICATIONS OF BIDDERS
3.1. In order to perform public work, Bidder prior to award of Contract or as otherwise
required by the jurisdiction, shall hold or obtain such licenses as required by State Statutes,
and federal and local Laws and Regulations.
3.2. To demonstrate Bidder's qualifications to perform the Work, Bidder shall submit written
evidence such as financial data, previous experience, present commitments, and such other data

as may be called for. Bidder is advised to carefully review those portions of the Bid Form
requiring representations and certifications.
4. PREBID CONFERENCE
4.1. A non-mandatory Prebid conference will be held at the date and time indicated in the
Invitation to Bid at the at the Wastewater Treatment Facility located at 87 Margin
Street, RI 02891. Representatives of Owner and Engineer will be present to discuss
the Project. Bidders are encouraged to attend and participate in the conference. Owner
will transmit to prospective Bidders of record such Addenda as considered necessary
in response to questions arising at the conference. Oral statements may not be relied
upon and will not be binding or legally effective.
5. INTERPRETATIONS AND ADDENDA
5.1. All questions about the meaning or intent of the Bidding Documents are to be submitted
to Owner in writing, by emailed to the Purchasing Agent at ecardillo@westerlyri.gov.
Interpretations or clarifications considered necessary by Owner in response to such questions
will be issued by Addenda emailed to all parties recorded by the office issuing documents as
having received the Bidding Documents. Questions received less than 8 calendar days prior
to the date for opening of Bids may not be answered. Only questions answered by Addenda
will be binding. Oral and other interpretations or clarifications will be without legal effect.
5.2. Addenda may also be issued to clarify, correct, or change the Bidding Documents as
deemed advisable by Owner.
6. BID SECURITY
6.1. Bid security is not required.
7. CONTRACT TIMES
7.1. The Town of Westerly (Town) entered into a Consent Agreement with the RI
Department of Environmental Management (RIDEM) to make treatment process upgrades to
achieve lower effluent nutrient limits and improve the state of repair at the Westerly
Wastewater Treatment Facility. Subsequent to entering into that agreement the Town
partnered with Jacobs Project Management Co. to design the necessary treatment upgrades
and prepare construction documents satisfying the terms of the Consent Agreement. The RI
DEM issued an Order of Approval, based on those construction documents, requires the
Town to complete construction of the WWTF upgrades by October 20, 2028, and meet the
new effluent permit limits by January 20, 2029.
7.2. To meet the conditions of the Consent Agreement the process equipment must be
fabricated and delivered to the Plant Site as detailed in Section 01 11 00, Summary of Work.

8. LIQUIDATED DAMAGES
8.1. The Town is subject to a penalty in the amount of $1,000.00 per day for each
consecutive calendar day thereafter October 20, 2028, that Substantial Completion is not met.
8.2. The Town is subject to a penalty in the amount of $1,000.00 per day for each
consecutive calendar day thereafter January 20, 2029, that the new effluent limits as
stipulated in the Consent Agreement are not met.
9. SUBSTITUTE AND "OR-EQUAL" ITEMS
9.1. When the name of a manufacturer, a brand name, or manufacturer's catalogue number
is issued as the bid standard in describing an item followed by "Or Equal" this description is
used to indicate quality, performance and other essential characteristics of the article
required.
9.2. If bidding on other than the make, model, brand or sample specified, but equal thereto,
bidder must so state by giving the manufacturer's name, catalogue number and any other
information necessary to prove that the intended substitution of a commodity is equal in all
essential respects to the bid standard. Bidder must prove to the satisfaction of the Town of
Westerly or by person or persons designated by him, that his/her designated substitute is
equal to the bid standard: otherwise, his/her bid will be declared "No Bid" insofar as the item
in question is concerned.
10. EMPLOYMENT REQUIREMENTS
10.1.1. Contractor shall not discriminate against any employee or applicant for employment
because of race, religion, color, sex, national origin, age, disability, or other basis prohibited
by state law relating to discrimination in employment, except where there is a bona fide
occupational qualification reasonably necessary to normal operation of Contractor.
Contractor agrees to post in conspicuous places, available to employees and applicants for
employment, notices setting forth provisions of this nondiscrimination clause.
11. WAGE RATES (FOR ON SITE CONSTRUCTION/LABOR SERVICES)
11.1. Bid prices must reflect adherence to the provisions of State Labor Laws concerning
payment of prevailing wages (see RI General Laws Sec. 37-13-1 et seq. as amended). The
rates of pay set forth in these provisions are the minimums to be paid during the life of the
Contract. Bidders shall inform themselves as to the local labor conditions such as the length
of workday and workweek, overtime compensation, health and welfare contributions, labor
supply, and prospective changes or adjustments of rates.

12. DISADVANTAGED BUSINESS ENTERPRISE (FOR ON SITE
CONSTRUCTION/LABOR SERVICES)
12.1. Pursuant to R.I. Gen. Laws 37-14.1 et seq. and the regulations promulgated thereto,
all state contracts and procurements are required to make a good faith effort to award 15% of
their total dollar value to MBE/WBE certified firms.
13. SALES AND USE TAXES
13.1. Owner is exempt from Rhode Islandstate sales and use taxes on materials and
equipment to be incorporated in the Work. Said taxes shall not be included in the Bid.
14. PAYMENT TERM
14.1. Payment terms are net 30 days.
15. INSURANCE AND INDEMNIFICATION (FOR ON SITE
CONSTRUCTION/LABOR SERVICES)
15.1. Within ten (10) business days of the award or notice, or prior to the start of work,
whichever comes first, the contractor will provide, pay for, and maintain in full force and
affect the insurance outlined here for coverage's at not less than the prescribed minimum
limits of liability. Such coverage is to remain in force during the life of the contract and for
such additional time as may be required, and will cover the contractor's activities, those of
any and all subcontractors, or anyone directly or indirectly employed by any of them, or by
anyone for whose acts any of them may be liable.
15.2. Certificates of Insurance: The contractor will give the owner a certificate of insurance
completed by a duly authorized representative of their insurer certifying that at least the
minimum coverage's required here are in effect and specifying that the liability coverage's
are written on an occurrence form and that the coverage's will not be canceled, non-renewed,
or materially changed by endorsement or through issuance of other policy(ies) of insurance
without thirty (30) days advance written notice to: Town of Westerly, 45 Broad Street,
Westerly, Rhode Island, 02891 Attn: Purchasing Agent. Failure of the owner to demand such
certificate or other evidence of full compliance with these insurance requirements or failure
of the owner to identify a deficiency from evidence provided will not be construed as a
waiver of the contractor's obligation to maintain such insurance.
15.3. Insurer Qualification: All insurance will be provided through companies authorized to
do business in the State of Rhode Island and considered acceptable by the owner, with an
A.M. Best Rating of A-/VIII.
15.4. Additional Insured: To the extent commercially available at no additional cost, the
policy or policies providing insurance as required, with the exception of professional liability
and workers' compensation, will defend and include the owner and owner's architects,
directors, officers, representatives, agents, and employees as additional insureds on a primary
basis for work performed under or incidental to this Contract.

15.5. Retroactive Date and Extended Reporting Period: If any insurance required here is to
be issued or renewed on a claims-made form as opposed to the occurrence form, the
retroactive date for coverage will be no later than the commencement date of the project and
will state that in the event of cancellation or nonrenewal, the discovery period for insurance
claims (tail coverage) will be at least 36 months.
15.6. Subcontractors' Insurance: The contractor will cause each subcontractor employed by
contractor to purchase and maintain insurance of the types specified below. When requested
by the owner, the Contractor will furnish copies of certificates of insurance evidencing
coverage for each Subcontractor.
15.7. Waiver of Subrogation: The contractor will require all insurance policies in any way
related to the work and secured and maintained by the contractor to include clauses stating
each underwriter will waive all rights of recovery, under subrogation and otherwise, against
owner, architect, and all tiers of contractors or consultants engaged by them. The contractor
will require of subcontractors, by appropriate written agreements, similar waivers each in
favor of all parties enumerated in this section.
15.8. Indemnification/Hold Harmless: The contractor shall indemnify, defend, and hold
harmless the owner and, if applicable, the engineer and their agents and employees from and
against all claims, damages, losses and expenses, including attorney's fees of counsel
selected by the owner, arising out of or resulting from the performance of the work and /or
the supplying of materials, provided that any such claim, damage, loss or expense (a) is
attributable to bodily injury, sickness, disease or death, or to injury to or destruction of
tangible property including the loss of use resulting therefrom, and (b) is caused in whole or
in part by any negligent act or omission of the contractor, any subcontractor, anyone directly
or indirectly employed by any of them or anyone for whose acts any of them may be liable,
regardless of whether or not they are caused in part by a party indemnified hereunder.
15.9. Insurance Limits and Coverage:
15.9.1. To the extent applicable, the amounts and types of insurance will conform to the
minimum terms, conditions and coverages of Insurance Services Office (ISO) policies,
forms, and endorsements.
15.9.2. If the contractor has self-insured retention's or deductibles under any of the
following minimum required coverage's, the contractor must identify on the certificate of
insurance the nature and amount of such self-insured retention's or deductibles and
provide satisfactory evidence of financial responsibility for such obligations. All self-
insured retention's or deductibles will be the Contractor's sole responsibility.
