PUBLIC NOTICE is hereby given that the following Ordinance was submitted in writing, introduced, read by title and passed on first reading at a meeting of the Township Committee of the Township of Millburn, in the County of Essex on Tuesday, March 3, 2026. The ordinance will be considered for final passage and adoption at the public hearing held at a special meeting beginning at 7:00 p.m. on Tuesday, March 17, 2026 at the Millburn Education Center, 434 Millburn Avenue, Millburn, New Jersey when and where or at such time and place to which said meeting may be adjourned, all persons interested will be given an opportunity to be heard concerning said ordinance. ORDINANCE 2738-26
ORDINANCE REPEALING RESOLUTION 20-035 PERMANENTLY DISBANDING AND DISOLVING CEDA AND CREATING SECTION 2-40 OF THE MILLBURN TOWNSHIP CODE TO AND CREATING THE CULTURAL DIVERSITY COMMITTEE
WHEREAS, the Advisory Committee on Culture, Engagement, Diversity and Arts ("CEDA") was reconstituted by the Township Committee of the Township of Millburn (the "Township Committee") via Resolution 20-035 on January 7, 2020; and
WHEREAS, CEDA was created to assist local cultural organizations highlight programs that recognize and showcase diversity in culture and arts in the Township of Millburn (the "Township"), assist with requests for visual art placement in the Township, and share the rich background of the Township while seeking to be a resource for diversity needs within the community; and
WHEREAS, the Resolution requires CEDA to select a chairperson from among its members, submit annual written reports to the Committee, and keep minutes of meetings; and
WHEREAS, it has come to the Township Committee's attention that CEDA has been chronically deficient in its record keeping and organizational duties; and
WHEREAS, the Township Committee finds it necessary to disband CEDA and wishes to create a new Cultural Diversity Advisory Committee under an ordinance to promote diversity in cultural arts in the Township while ensuring compliance with organizational and record keeping requirements; and
NOW, THEREFORE, BE IT ORDAINED by the Township Committee of the Township of Millburn, County of Essex, State of New Jersey as follows:
Section 1.
The Advisory Committee on Culture, Engagement, Diversity, and Arts as created by Resolution 20-035 is hereby permanently disbanded and dissolved in its entirety and such Resolution is hereby revoked in its entirety.
Section 2.
The Cultural Diversity Committee ("CDC") is hereby created under Township of Millburn Code § 2-40.
Section 3.
Township of Millburn Code §2-40 is hereby enacted and reads as follows:
Section 2-40 CULTURAL DIVERSITY ADVISORY COMMITTEE
§ 2-40.1 Findings
The Millburn Township Committee hereby finds that a Cultural Diversity Committee should exist to promote the community's wide variety of faiths and philosophies and that embracing the community's diversity will create a more cohesive and welcoming community.
§ 2-40.2 Establishment; Membership; Organization

There is hereby established a committee to be known as the Cultural Diversity Committee ("CDC"). The CDC shall consist of seven (7) or more voting members that will be appointed by a simple majority vote of the Township Committee. One (1) of the voting members shall be a member of the Township Committee and the remaining members shall be compromised of resident volunteers.

Initially, the Township Committee shall appoint seven (7) members to the CDC pursuant to the following terms:

Three (3) resident members shall be appointed to four-year terms.

Two (2) resident members shall be appointed to three-year terms.

One (1) resident member shall be appointed to a two-year term.

One (1) Township Committee member shall be appointed to a one-year term.

After the appointment of the initial CDC members, the Township Committee may appoint additional resident voting members to the CDC by a simple majority. Such additional appointments shall be for one-year terms and may be renewed annually on or around the reorganization meeting of the Township. All subsequent appointments of Township Committee members shall be for one-year terms.

A vacancy occurring on the CDC other than by expiration of a term shall be filled by appointment by the Township Committee for the remainder of the unexpired term in the same manner as the original appointment.

All members of the CDC shall serve without compensation.

All members shall be selected on the basis of their qualifications, fitness and desire to fulfill and advances the objectives and purposes of the CDC as defined herein.

All members of the CDC shall disclose any conflicts of interest or potential conflicts of interest in accordance with the Local Government Ethics Law, N.J.S.A. 40A:9-22.1 et seq.

The Township Committee shall have the discretion to remove any member of the Advisory Committee for cause.
§ 2-40.3 Township Committee Selection of Officers

On an annual basis, the Township Committee shall select by simple majority, a Chairperson from among the CDC's voting members whose duties shall be to fix meeting dates, conduct meetings, and arrange the activities and functions of the CDC so the business shall be accomplished in an orderly and productive fashion.

On an annual basis, the Township Committee shall select by simple majority, a Vice Chairperson from among the CDC's voting members, whose duties are to assist the Chairperson or preside over meetings in the absence of the Chairperson.

On an annual basis, the Township Committee shall select by simple majority, a Secretary from among CDC's voting members, whose duties shall be to record the minutes of all meetings and to submit all agenda and meeting minutes to the Municipal Clerk's Office for record keeping in accordance with the procedures set forth in § 29-40.5.
§ 2-40.4 Functions
The functions of the CDC shall include, but not be limited to, the following:

Sharing the rich background of our community and seeking to be a resource for diversity needs within the community;

Assisting local organizations in highlighting programs that recognize the diversity in culture in the Township; and

Assisting with requests for visual art placement in the Township.
§ 2-40.5 Meetings; Actions; Recordkeeping

The CDC shall at a minimum host quarterly meetings. These meetings may be held in person, via ZOOM, or both, but shall be advertised on the Township's website and calendar. CDC may schedule any additional meetings it deems necessary.

In order to conduct official business, a quorum of the established voting membership shall be present at the meeting. A quorum shall be five (5) voting members.

The CDC will not be governed by the Open Public Meetings Act. The meeting place and time shall be such as may be determined by the CDC and shall be open to all members of the public.

The CDC shall keep records, agendas, and minutes of its meetings and activities and shall make an annual report on or before December 1 of each year. This report shall be submitted to the Municipal Clerk's Office for dissemination to the Township Committee.
Section 4. If any part of this ordinance is adjudged invalid, such judgment shall not affect the remainder of the ordinance.
Section 5. All ordinances inconsistent with this ordinance are hereby repealed to the extent of such inconsistency.
Section 6. This ordinance shall take effect immediately upon final passage and publication as prescribed by law.
