Theownerisseekinganenergy-efficient,sustainablefacility.TheprojectmustalsobecapableofearningLEED
Certificationattheowner'sdiscretion,butonlyuponissuanceofanexecutedchangedirectiveandtheowner's
acceptanceofadditionalcost.TheadditionalcostfortheDesign-BuildertosecureLEEDCertificationmustbe
includedintheDesign-Builder'sproposalresponse.Theworkwillbeincorporatedintotheprojectuponreceiptof
anexecutedchangedirectivefromtheowner.
1.1.5TheOwner'sbuildinginformationmodelingrequirementsfortheProject,ifany:
(Identifybelow,orinanattachedexhibit,theOwner'sbuildinginformationmodelingrequirementsforthe
Project,suchastherequirementthattheDesign-BuilderprovideamodelforsubsequentusebytheOwneror
sharemodelswiththeOwner'sConsultantsandSeparateContractors.Ifthepartiesagreeuponprotocolsfor
transmissionof,useof,andrelianceoninformationordocumentationindigitalform,thenidentifyandattachthat
document.)
TheDesign-Buildermustprovidebuildinginformationmodelingthroughouttheproject'sduration.Modelsharing
mustbeaccessibletoalldesignparticipants,programmanagers,andtheowner.Themodelandimplementation
planshallcomplywithAIAE242-2024,AIAG203-2022,andAIAG204-2022,attachedhereto. Themodelshall
bestoredontheOwner'scloud-basedstorageplatformbutmaintainedbythedesign-builder.Therecordmodel
shallbetransferredtotheownerfortheowner'sexclusiveuseuponcompletionoftheproject,andupdatedbythe
design-builderwhennecessary,duringthewarrantyperiod.
1.1.6TheOwner'sbudgetfortheWorktobeprovidedbytheDesign-Builderissetforthbelow:
(ProvidetheOwner'stotalbudgetfortheDesignServices,ConstructionWork,relatedservices,andreasonable
contingencies,requiredtofulfilltheDesign-Builder'sobligationsundertheDesign-BuildDocumentsfollowing

1.4 Definitions
1.4.1 Architect.TheArchitectisapersonorentityprovidingDesignServicesfortheDesign-Builderforallora
portionoftheWorkandislawfullylicensedtopracticearchitectureintheapplicablejurisdiction.TheArchitectis
referredtothroughouttheDesign-BuildDocumentsasifsingularinnumber.
1.4.2 Confidential Information.ConfidentialInformationisinformationcontainingconfidentialorbusiness
proprietaryinformationthatisdesignatedas"confidential."
1.4.3 Consultant.AConsultantisapersonorentityprovidingservicesfortheDesign-Builderforalloraportion
oftheWorkandisreferredtothroughouttheDesign-BuildDocumentsasifsingularinnumber.IftheConsultant
providesprofessionalservices,theConsultantshallbelawfullylicensedtoprovidesuchservices,asrequiredby
theapplicablejurisdiction.
1.4.4 The Contract.TheDesign-BuildDocumentsformtheContract.TheContractrepresentstheentireand
integratedagreementbetweenthepartiesandsupersedespriornegotiations,representations,oragreements,either
writtenororal.TheContractmaybeamendedormodifiedonlybyaModification.TheDesign-BuildDocuments
shallnotbeconstruedtocreateacontractualrelationshipofanykindbetweenanypersonsorentitiesotherthan
theOwnerandtheDesign-Builder.
1.4.5 Contract Time.ContractTimeistheperiodoftimeidentifiedintheDesign-BuildAmendment,measured
fromthedateforCommencementoftheConstructionWork,includingauthorizedadjustments,establishedasthe
periodfortheDesign-BuildertoachieveSubstantialCompletionoftheWork.
1.4.6 Subcontractor.ASubcontractorisapersonorentityperformingalloraportionoftheconstruction,
requiredinconnectionwiththeWork,fortheDesign-Builder.EachSubcontractorshallbelawfullylicensed,if
requiredinthejurisdictionwheretheProjectislocated.
1.4.7 Day.Theterm"day"asusedintheDesign-BuildDocumentsshallmeancalendardayunlessotherwise
specificallydefined.
1.4.8 Design-Build Documents.TheDesign-BuildDocumentsconsistofthisAgreementbetweenOwnerand
Design-Builder(hereinafter,thisAgreement),otherdocumentslistedinthisAgreement,andModificationsissued
afterexecutionofthisAgreement,allofwhichformtheContractandareasfullyapartoftheContractasif
attachedtothisAgreementorrepeatedherein.AModificationis(1) awrittenamendmenttotheContractsigned
bybothparties,includingtheDesign-BuildAmendment,(2) aChangeOrder,or(3) aChangeDirective.The
Design-BuildDocumentswillalsoincludetheDrawings,Specifications,andotherdocumentslistedinArticleB.3
oftheDesign-BuildAmendmentandConstructionDocumentsreviewedandapprovedbytheOwner.Ifanything
intheotherDesign-BuildDocuments,otherthanaModification,isinconsistentwiththisAgreement,this
Agreementshallgovern.
InadditiontothisAgreementanditsExhibits,theDesign-BuildDocumentsinclude:
1. AnyfullyexecutedDesignBuildAmendmentandattachedexhibits,
2. TheCity'sRFP,includingallExhibitsattachedthereto,
3. TheDesign-Builder'sProposalandclarificationsthatwereincorporatedintotheDesign-Build
DocumentsbytheCity,and
4. TheDrawings,Specifications,andotherdocumentssetforthintheDesign-BuildAmendment.
1.4.9 Design-Builder.TheDesign-BuilderisthepersonorentityidentifiedassuchinthisAgreementandis
referredtothroughouttheDesign-BuildDocumentsasifsingularinnumber.Theterm"Design-Builder"means
theDesign-BuilderortheDesign-Builder'sauthorizedrepresentative.
1.4.10 Guaranteed Maximum Price.TheGuaranteedMaximumPriceisthemaximumsumthattheOwneris

consumer,use,andsimilartaxesfortheWorkprovidedbytheDesign-Builderthatarelegallyenacted,whetheror
notyeteffective,atthetimetheDesign-BuildAmendmentisexecuted.CostswhichwouldcausetheGuaranteed
MaximumPricetobeexceededshallbepaidbytheDesign-BuilderwithoutreimbursementbytheOwner.
1.4.10.1 Contract Sum.TheContractSumistheCostoftheWorkplustheDesign-Builder'sFee.TheContract
SumisguaranteedbytheDesign-BuildernottoexceedtheGuaranteedMaximumPriceestablishedbytheDesign-
BuildAmendment.
1.4.10.2 Cost of the Work.TheCostoftheWorkshallmeancostsnecessarilyincurredbytheDesign-Builder
intheproperperformanceoftheWorkandincludesthecostoftheConstructionWorkandcompensationfor
DesignServicestobeperformedafterexecutionoftheDesign-BuildAmendment.
1.4.10.2.1TheCostoftheWorkshallincludeonlytheitemsidentifiedasCoststobeReimbursedinSection
2.3.2ofthisAgreement.
1.4.10.2.2Where,pursuanttotheDesign-BuildDocuments,anycostissubjecttotheOwner'spriorapproval,
theDesign-Buildershallobtainsuchapprovalinwritingpriortoincurringthecost.
1.4.10.2.3CostsshallbeatratesnothigherthanthestandardratespaidattheplaceoftheProject,exceptwith
priorapprovaloftheOwner.
1.4.11 Work."Work"means(a)PreconstructionServices,(b)otherservicesrequiredoftheDesign-Builder
duringtheDesignPhase,(c)DesignServicesperformedduringtheDesignPhase,(d)DesignServicesperformed
duringtheConstructionPhase,and(e)ConstructionWorkrequiredbytheDesign-BuildDocuments.
1.4.11.1 Design Services."DesignServices"aretheprofessionalservices,includingthoseservicesthatare
renderedbyarchitectsandengineers,whicharerequiredtofulfilltheDesign-Builder'sobligationsunderthe
Design-BuildDocuments.DesignServicesdonotincludeprofessionalorotherservicesnecessarytosupport
ConstructionWorkwhichareprovidedbySubcontractorsengagedbytheDesign-Builder.
1.4.11.2 Construction Work."ConstructionWork"istheconstructionandservicestosupportconstruction

1.4.13 Instruments of Service.InstrumentsofServicearerepresentations,inanymediumofexpressionnow
knownorlaterdeveloped,ofthetangibleandintangiblecreativeworkperformedbytheDesign-Builder,
Subcontractors,Architect,orConsultantsundertheirrespectiveagreements.InstrumentsofServicemayinclude,
withoutlimitation,studies,surveys,models,sketches,drawings,specifications,andothersimilarmaterials.

1.5TheOwnerandDesign-BuildermayrelyontheOwner'sCriteriasetforthinArticle 1.IftheOwner's
CriteriamateriallychangeafterexecutionofthisAgreement,theOwnerandtheDesign-Buildershallexecutea
ModificationtoadjusttheProjectschedule,theDesign-Builder'sservices,andtheDesign-Builder's
compensation.TheOwnershalladjusttheOwner'sbudgetinSection 1.1.6andtheOwner'santicipateddesign
andconstructionmilestones,asnecessary,toaccommodatematerialchangesintheOwner'sCriteria.
1.6TheDesign-BuilderacceptstherelationshipoftrustandconfidenceestablishedbythisAgreementand
covenantswiththeOwnertoexercisetheDesign-Builder'sskillandjudgmentinfurtheringtheinterestsofthe
Owner;tofurnishefficientconstructionadministration,managementservices,andsupervision;tofurnishatall
timesanadequatesupplyofworkersandmaterials;andtoperformtheWorkinanexpeditiousandeconomical
mannerconsistentwiththeOwner'sinterests.TheOwneragreestofurnishandapprove,inatimelymanner,
informationrequiredbytheDesign-BuilderandtomakepaymentstotheDesign-Builderinaccordancewiththe
requirementsoftheDesign-BuildDocuments.
1.7ScopeofServicesandOwner'sCriteria
1.7.1GeneralTheProjectconsistsofthecompletedesignandconstructionofTBD,asapprovedbytheOwner.
Anypriorreferencestoadifferentsquarefootagearesuperseded.TheDesign-Builder'spricing,schedule,
performanceobligations,andGuaranteedMaximumPriceareexpresslybasedonthissquarefootage.
TheDesign-Buildershallfurnishandbefullyresponsibleforallprofessionaldesignservices,preconstruction
services,constructionservices,labor,materials,equipment,tools,supervision,qualitycontrol,coordination,and
projectmanagementnecessarytoplan,design,permit,construct,commission,anddelivertheProjectin
accordancewiththisAgreementandtheContractDocuments.
1.7.2ContractDocumentsIncorporatedbyReference
TheWorkshallbeperformedinaccordancewiththefollowingdocuments,eachincorporatedbyreferenceand
madepartofthisAgreement:
a. CityofSouthFultonRequestforProposalsRFP(number)andalladdenda,incorporatedfortechnical
requirementsonly,
b. DrawingsandSpecificationsidentifiedin1.7.3,
c. ProjectmilestonesandschedulerequirementssetforthintheapplicableExhibit,and
d. ApprovedcostproposalandGMPdocumentationincorporatedelsewhereinthisAgreement.
Intheeventofconflict,thisAgreementanditsExhibitscontrol.

1.7.3DrawingsandSpecifications
TheDrawingsandSpecificationsformingpartoftheWorkshallbethoseidentifiedintheDrawingsand
SpecificationsIndexincorporatedintothisAgreement.RevisionstotheDrawingsandSpecificationsshallnot
modifytheScopeofServicesortheGuaranteedMaximumPriceunlessapprovedbytheOwnerthroughaduly
executedChangeOrderinaccordancewiththisAgreement.
1.7.4Design-BuilderResponsibilities
TheDesign-Buildershall:
a. PrepareandsubmitSchematicDesign,DesignDevelopment,andConstructionDocumentsinaccordance
withtheapprovedProjectschedule
b. ObtainwrittenOwnerapprovalpriortoprogressiontoeachsubsequentdesignphase
c. Secureallrequiredpermits,approvals,andinspections
d. Provideprojectandconstructionmanagement,constructionadministration,scheduling,costcontrol,
qualitycontrol,safetyoversight,andcoordinationwithutilitiesandagencies
e. Furnishalllabor,equipment,andmaterialsrequiredforconstruction
1.7.5SpecialRequirements
a. Sustainability:
TheDesign-BuildershalldesignandconstructtheProjectincompliancewithapplicableenergycodes,
sustainabilityrequirements,andOwnerpoliciesasincorporatedelsewhereinthisAgreement.
b. SafetyandSiteLogistics:
TheDesign-BuildershallmaintainOSHAcompliance,sitesecurity,trafficcontrol,andsafetyfencing
throughouttheProject.
c. CommissioningandTraining:
CommissioningservicesshallbeprovidedbytheDesign-BuilderthroughanindependentCommissioning
Agent.TheDesign-BuildershallincorporatecommissioningrequirementsintotheProjectSpecifications
andfullycooperatewiththeCommissioningAgent,includingprovidingaccess,documentation,testand
balancereports,systemverificationresults,andcorrectiveactionsasrequired.Allcommissioning
documentationshallbesubmittedpriortoSubstantialCompletion.
1.7.6CloseoutDeliverables
AtProjectcloseout,theDesign-Buildershallsubmitalldocumentationrequiredtoevidencecompletionofthe
Work,including:
a. AllwarrantiesinaccordancewiththisAgreement.
b. Executedlienwaiversfromsubcontractorsandsuppliers.
c. ReconciledGMPaccountingandfinalcostdocumentation.
d. CompleteprojectcloseoutpackageincludingOandMmanuals,testingandinspectionreports,as-built
andred-lineddrawings,certificatesofoccupancy,punchlists,approvedchangeorders,contingencylogs,
CADandBIMfiles,andtestandbalancereports.
e. Bondandsuretycloseoutdocumentation,includingconsentofsuretytofinalpayment.
1.7.7AssumptionsandExclusions
NoassumptionsorexclusionsshallapplyexceptasexpresslylistedintheGMPorcostexhibitsincorporatedinto
thisAgreement.Anyassumptions,exclusions,qualifications,orclarificationscontainedinproposals,
correspondence,orotherdocumentsnotexpresslyincorporatedareofnoforceoreffect.
1.7.8PerformanceStandard
TheServicesandWorkdescribedinthisSectionarecontractualrequirements,notaspirations,andshallbe
performedinaprofessionalandworkmanlikemannerconsistentwiththestandardofcareapplicabletodesign-
buildprojectsofsimilarsizeandcomplexity.
ARTICLE 2 COMPENSATION AND PROGRESS PAYMENTS
2.1 Compensation for Work Prior To Execution of Design-Build Amendment
2.1.1FortheDesign-Builder'sDesignPhaseBasicServices,theOwnershallcompensatetheDesign-Builderas
follows:
