CLARIFICATION:
Section G Hold Harmless Agreement of the insurance requirements in the Specification Package has
been revised to read as follows:
G. HOLD HARMLESS AGREEMENT
1. Other Than Liability Exposures
The Contractor, architect, engineer, land surveyor or consulting firm, to the fullest extent permitted by law, shall
indemnify, hold harmless, and defend the City of Huntsville, its elected and appointed officials, employees, agents and
specified volunteers against all claims, damages, losses and expenses, including, but not limited to, attorney’s fees,
caused by, arising out of or resulting from or in connection with the performance of the work, provided that any such
claim, costs, damage, loss or expense (1) is attributable to personal injury, including bodily injury, sickness, disease or
death, or to injury to or destruction of tangible property, including loss of use resulting there from and (2) is caused by,
in whole or in part, any active or passive negligent act or omission of the contractor, architect, engineer, land surveyor
or consulting firm, or any of their subcontractors, sub consultants, or anyone directly or indirectly employed by any of
them or anyone for whose acts they are legally liable. Such obligation should not be construed to negate, abridge, or
otherwise reduce any other right or obligation of indemnity which would otherwise exist as to any party or person
described in this paragraph.
2. Liability
The Contractor agrees that as respects to negligent acts, errors, or omissions in the performance of services,
to indemnify and hold harmless the City of Huntsville, its agents and their officers, representatives, employees, and
specified volunteers from and against any and all claims, demands, losses and expenses including, but not limited to
attorney’s fees, liability, or consequential damages of any kind or nature resulting from any such negligent acts, errors,
or omissions of the Contractor or any of their sub-consultants directly or indirectly employed by them or anyone directly
or indirectly employed by them or anyone for whose acts they are legally liable.
3. Indemnity
In claims against any person or entity indemnified under this Paragraph by an employee of the Contractor,
any one directly or indirectly employed by them or anyone for whose acts they may be liable, the indemnification
obligation under this Paragraph shall not be limited by a limitation on amount or type of damages, compensation or
benefits payable by or for the Contractor or a Subcontractor under workers’ compensation acts, disability benefit acts
or other employee benefit acts.
Addenda will only be emailed to those bidders who attend and have signed in at the pre-bid meeting.
All addenda, as well as other project information, are available for downloading on Engineering’s
website at www.huntsvilleal.gov/engineeringbids. Acknowledgement of receipt/download from
website of addenda is mandatory using Attachment “C” located in the Specifications and
attachment must be submitted with bid package. Failure to do so shall be cause for rejection of the
bid. It is the responsibility of all bidders to refer to the website for any updates. The attached pre-
bid meeting minutes, all addenda and attachments for the above-referenced project will become
part of the contract documents.
