Introduction
Nassau Health Care Corporation (“NHCC”) is soliciting proposals from qualified law firms with
demonstrated expertise in supporting long-term care operations, including skilled nursing,
rehabilitation, and post-acute care programs at our A. Holly Patterson Extended Care Facility. The
selected firm will under the direction of NHCC General Counsel provide timely, high-quality, and
cost-effective legal counsel to ensure all regulatory, compliance, and operational matters are
managed effectively and in compliance with the relevant laws, regulations and industry standards
while advancing NHCC’s goal of being recognized as having an extended care facility model of
innovation and quality of care.
Proposal Requirements
Proposals must comply with all instructions outlined in this RFP. Submissions that are incomplete
or fail to meet the specified requirements will be rejected without review. Any contract awarded as a
result of this RFP will supersede all prior contracts, bids, or Group Purchasing Organization (GPO)
agreements related to the specified services.
Communication Guidelines
All written communications regarding this RFP - including email correspondence - must clearly
reference the RFP title and number in the subject line to ensure proper handling.

I. GENERAL INFORMATION
A. Background
Nassau Health Care Corporation (“NHCC”), also known as the NuHealth System, is a New York
State public benefit corporation established under the Public Authorities Law. NHCC operates:
Nassau University Medical Center (NHCC): A 530-bed tertiary care teaching hospital.
A. Holly Patterson Extended Care Facility (AHP): A 589-bed skilled nursing facility.
Community Health Practices (CHP): Operated in partnership with Long Island FQHC, Inc.,
a non-profit, consumer-driven organization serving the region’s most vulnerable
populations.
NHCC is committed to delivering high-quality care, advancing medical education, and serving as
the safety-net health system for Nassau County residents.
Nassau University Medical Center (NHCC): Founded in 1935, NHCC is the County’s primary
source of advanced medical care. Its 19-story tower houses the region’s premier Level I Trauma
Center and serves as a hub for medical education through affiliations with the New York Institute of
Technology College of Osteopathic Medicine, the New York College of Pediatric Medicine, the
American University of the Caribbean School of Medicine, and the Donald and Barbara Zucker
School of Medicine at Hofstra/Northwell.
A. Holly Patterson Extended Care Facility (AHP): Nationally recognized as a model for skilled
nursing services, AHP provides innovative, patient-centered care that addresses residents’ physical,
emotional, and social needs in a supportive, healing environment.
Community Health Practices: NHCC’s community-based centers deliver comprehensive,
accessible, and preventive care to underserved communities across Long Island, ensuring every
resident has access to a trusted “medical home.”
B. Proposal Overview
Nassau Health Care Corporation (“NHCC”) seeks proposals from experienced law firms to provide
support to NHCC’s General Counsel in providing legal representation and advisory services
supporting NHCC’s extended care facility, A. Holly Patterson Extended Care Facility. Proposals
should clearly outline the firm’s capabilities, staffing, relevant experience, case management
approach, technology platforms, and cost structure.
NHCC’s objectives are to ensure high-quality, cost-effective legal representation; maintain
compliance with all applicable laws and standards; promote accountability and efficiency; and
strengthen coordination between NHCC General Counsel and outside counsel.
The initial contract term will be two (2) years beginning on or about January 1, 2026, with annual
renewals thereafter, subject to termination provisions. NHCC may award contracts in whole or in
part to one or more firmsor make no awardbased on the best interests of the organization.

II. SPECIFICATIONS OF THE SERVICES
A. Scope of Work / Requested Services
This section defines the minimum scope, deliverables, and performance expectations for legal
services. Nassau Health Care Corporation (“NHCC”) seeks to establish a panel of pre-qualified law
firms to provide non-exclusive, as-needed legal support for its extended and long-term care
operations. Proposers should demonstrate how their firm will meet or exceed NHCC’s needs
through effective, timely, and cost-efficient legal counsel that ensures compliance, promotes
accountability, manages risk, and supports NHCC’s mission and operational objectives.
B. Purpose and Overview
The purpose of this Request for Proposals (“RFP”) is to engage experienced and responsive legal
counsel to support NHCC General Counsel and leadership in promoting compliance, efficiency, and
transparency. Proposers should describe how their firm will deliver expert legal counsel specifically
for NHCC’s long-term care facility - A. Holly Patterson Extended Care Facility - including its
skilled nursing, rehabilitation, and post-acute care programs. The selected firm will support NHCC
General Counsel in ensuring all regulatory, compliance, and operational matters are managed
effectively, consistent with federal and state requirements, while assisting NHCC General Counsel
and leadership in engaging constructively with regulators, community stakeholders, and the public
to advance its reputation as a model of innovation and quality care.
C. Scope of Services
The selected firm will work under the direction of NHCC General Counsel and serve as a strategic
legal partner, providing counsel that strengthens compliance, governance, and operational
performance across its extended and long-term care programs. The firm will anticipate and mitigate
legal, operational, and reputational risks, support leadership in achieving regulatory and operational
objectives, and enhance NHCC’s reputation for quality and innovation.
The firm’s expertise will span multiple legal domains, outlined in the following Legal Practice
Focus Areas, which describe the core areas of counsel and advisory support expected. Proposers
should also highlight additional strategies or capabilities that add measurable value to NHCC’s A.
Holly Patterson Extended Care Facility’s legal and operational effectiveness.
Legal Practice Focus Areas
1. Regulatory & Licensing Compliance
Support NHCC’s extended and long-term care facility commitment to remain fully compliant
with all regulatory and licensure requirements, proactively addressing potential violations
and supporting timely renewals or approvals, including, but not limited to:.
CON applications, amendments, and renewals.
State and federal licensure and certification compliance.
OMIG audit response and oversight.
Development and review of internal compliance policies consistent with HIPAA, CMS,
and other applicable laws.
2. Operations & Risk Management

Provide experienced legal counsel to support safe, efficient, and compliant facility
operations and mitigate organizational risk, including, but not limited to:
Contract drafting and negotiation for vendors, staffing, and service providers.
Guidance on patient care policies, resident rights, and governance.
Support for incident response, internal investigations, and compliance reviews.
Counsel on staff credentialing, employment, and disciplinary matters relevant to extended
and long-term care operations.
Support with guardianship representation or hearings.
3. Community & Regulator Relations
Assist NHCC’s Board of Directors, General Counsel and leadership in engaging with
regulators, payors, and community stakeholders to reinforce its reputation for quality and
compliance and with strategic planning, including, but not limited to:
Representation in communications and meetings with oversight agencies.
Advice on transparency, public reporting, and reputation management.
Guidance on community outreach and partnership initiatives aligned with compliance
goals.
4. Audit & Investigation Support
Provide representation and oversight during internal and external audits, investigations, or
inquiries to protect NHCC’s A. Holly Patterson Extended Care Facility compliance posture
and reduce operational disruption, including, but not limited to:
Response and preparation for OMIG, CMS, and DOH audits.
Support for internal reviews and documentation readiness.
Counsel on corrective actions and compliance remediation plans.
5. Ongoing Advisory & Training
Deliver proactive legal guidance, updates, and training to NHCC leadership and A. Holly
Patterson Extended Care Facility staff to ensure continued compliance and awareness of
evolving requirements, including, but not limited to:
Regular briefings or legal bulletins on regulatory developments.
Training sessions for executives, administrators, and compliance officers.
Recommendations on emerging long-term care trends and best practices.
D. Deliverables & Reporting
1. Periodic updates on regulatory or legal changes affecting extended and long-term care
operations.
2. Written legal opinions, memoranda, or compliance guidance as requested.
3. Attendance and counsel during key regulatory or stakeholder meetings.
4. Summary reports of audits, investigations, or other significant legal matters.
E. Desired Qualifications
1. Demonstrated experience representing long-term care or post-acute providers.
2. Proven expertise in CON, licensure, HIPAA, OMIG, and CMS regulations.
3. Established record of effective regulatory representation and engagement.
4. Ability to provide timely, practical, and cost-efficient legal counsel aligned with NHCC’s
goals for its A. Holly Patterson Extended Care Facility.

I. PROPOSAL PROCESS AND REQUIREMENTS
Proposal Submission
NHCC invites qualified Proposers to submit proposals for the services described in this RFP.
Proposals must conform to the requirements set forth herein; non-conforming proposals may be
disqualified.
The RFP is available through the designated NHCC contact office and may also be downloaded via
the “Doing Business with NuHealth” link at www.numc.edu.

Note:
Both hard and electronic copies of the proposal must be received by the NHCC Contact
Person no later than 4:00 p.m. on the specified due date.
Submission of an electronic copy does not replace or fulfill the requirement to submit hard
copies by the stated deadline.
Incomplete submissions, including missing required documents or electronic media, may
result in disqualification.
The selected Proposer will enter into negotiations with NHCC regarding contract terms. If
agreement cannot be reached within a reasonable time, NHCC may reject that Proposer and begin
negotiations with others.
Proposals should be clear, concise, and responsive to the RFP. Extraneous materials (e.g., binders,
promotional items) are discouraged.
