INVITATION TO BID
INSTRUCTIONS AND REQUIREMENTS
These instructions and requirements are standard for all Invitations to Bid (ITB) issued by the
Town of Madison/Madison Public Schools ("ToM/MPS"). ToM/MPS may delete, supersede or
modify any of these standard instructions for a particular ITB. The ITB package will describe
additional or modified instructions if needed. "Vendor" is used in this document to describe any
company or individual providing a Bid in response to this ITB.
1. Bids must be signed by an authorized representative of the vendor with the authority to bind
the vendor to the terms of the ITB and with the acknowledgment that the Bid is made with full
knowledge of and agreement with the general specifications, conditions and requirements of
this ITB.
2. Submit Bid package in a sealed envelope marked with the vendor's name and address
in the upper lefthand corner. Bid number, name, opening date and opening time must be
marked in the lower lefthand corner.
3. Bids received later than date and time specified will not be considered. Amendments to, or
withdrawals of, Bids received later than the date and time set for Bid opening will not be
considered.
4. After the opening of the Bid, no Bid can be withdrawn for a period of ninety (90) days.
5. The right is reserved to purchase either by option or the total of options indicated, split awards
and act as it seems in the best interest of ToM/MPS.
6. It is the vendor's responsibility to check the Town of Madison website AND the State DAS
website for changes to the ITB prior to the Bid opening. The respondent will be held
to the Bid as submitted, the terms and conditions in the ITB Package, inclusive of all addenda.
7. MPS does not illegally discriminate on the basis of sex, sexual orientation, race, religion, national
origin, color, creed, ancestry, age, gender (including pregnancy, childbirth and related medical
conditions), gender identity or gender expression (including transgender status), marital status,
familial status, military service and veteran status, physical or mental disability, protected
medical condition as defined by applicable state or local law, genetic information, or any other
characteristic protected by applicable federal, state, or local laws and ordinances.
8. ToM/MPS reserves the right to waive any formalities in Bids received; to reject any and all
Bids, to waive technical defects and to make such award, including accepting a Bid, although not
necessarily the lowest cost Bid, as it deems to be in the best interest of ToM/MPS.

9. ToM/MPS may withhold acceptances of work and payment thereof when it is determined that said
work or materials do not meet the specified requirements. Payment will not be made until
corrections are made which are acceptable to ToM/MPS officials and/ or their authorized agents.
10. ToM/MPS may make such investigation as deemed necessary to determine the ability of the
respondent to fully perform all contractual duties. The respondent shall furnish ToM/MPS
with all such information and data including references of similar projects conducted for other
school systems as may be required for that purpose. ToM/MPS reserves the right to reject any
Bid if the respondent fails to satisfactorily convince ToM/MPS that he/ she is properly qualified
by experience and has the facilities to carry out the obligations of the contract or ITB
Requirements. Conditional Bids will not be accepted.
11. Specifications cannot be relieved by anyone other than an assigned agent for ToM/MPS. All
changes must be in writing, signed by agent.
12. The successful vendor will be required to provide proof of insurance as outlined in the
"Insurance Requirements" form included with the ITB.
13. All prices must be F.O.B. delivered unless otherwise specified.
14. ToM/MPS will not award any work to any company or individual who owes delinquent tax to the
Town of Madison. Vendors certify by virtue of their signature on the Pricing sheet that neither
the respondent nor any business or corporation which the respondent owns an interest in is
delinquent in tax obligations to the Town. Verification will be made prior to award.
15. Any contract or agreement entered into as a result of this ITB process that spans multiple fiscal
years shall contain the following "funding out" or "non-appropriation" clause: The Town of
Madison and Madison Public Schools ("ToM/MPS") reserves the right to terminate this agreement/
contract, without penalty, at the end of each fiscal year in the event a funding source relied upon
to pay the cost of the agreement/contract does not contain an allocation for the services and/or
products contained in this agreement/contract. ToM/MPS will provide notice of termination at
least sixty (60) days prior to the end of the fiscal year.
16. In the event of a dispute with respect to contract terms and conditions, this Invitation to Bid and
all of its terms and conditions, including but not limited to insurance and indemnification
requirements, takes precedence over all other agreements.

INSURANCE REQUIREMENTS
Bidder shall agree to maintain in force at all times during the contract the following minimum coverages
and shall name the Town of Madison, Madison Board of Education, and State of Connecticut as an
Additional Insured on a primary and non-contributory basis to all policies except Workers Compensation
and Professional Liability. All policies should also include a Waiver of Subrogation. Insurance shall be
written with Carriers approved in the State of Connecticut and with a minimum AM Best's Rating of "A-"
VIII.In addition, all Carriers are subject to approval by the Town of Madison & Madison Board of
Education.

If any policy is written on a "Claims Made" basis, the policy must be continually renewed for a minimum
of two (2) years from the completion date of this contract. If the policy is replaced and/or the retroactive
date is changed, then the expiring policy must be endorsed to extend the reporting period for claims for
the policy in effect during the contract for two (2) years from the completion date.

Original, completed Certificates of Insurance and Endorsements for all policies, naming the Town
of Madison, Madison Board of Education, and State of Connecticut as Additional Insured, must be
presented to the Town of Madison prior to contract issuance. Bidder agrees to provide
replacement/renewal certificates at least 60 days prior to the expiration date of the policies. The
"Hold Harmless" indemnification endorsement of the insurance shall include the interest of the
municipality and the State of Connecticut. The Contractor and Subcontractors and other interests
shall be so named.

Locker and Toilet Room Renovations
at the Town Campus Gym Facility
The Town of Madison (ToM) is seeking proposals from qualified and experienced commercial general contractors to
construct renovations/improvements to the Locker Room and Toilet Room areas of the Town Campus Gym facility,
located at 4 Campus Drive, Madison, CT. Renovations/improvements consist of flooring, wall tile, toilet partitions,
plumbing fixtures and accessories, shower stall rebuilds/replumbing, painting, minor electrical, and other associated
work.
Background
The Madison Town Campus Gym is an approximately 13,000 square foot facility that includes a full gymnasium, fitness
center, and group exercise class space that hosts public programming year-round. The Town has received a grant
administered by the State Department of Economic and Community Development (DECD) to supplement local Capital
Improvement Funds to finance this project. The intent of the project is to modernize the look and feel of the Women's
Toilet Room, Women's Locker Room shower area, as well as the Men's combined locker room/shower area. The facility
(other than the toilet/locker rooms) will remain operational during this project, requiring contractors to utilize extra
caution, compartmentalize work spaces, and mitigate noise/disturbance to adjacent areas. Portable toilets will be
provided (by others) for building users, so contractors can disrupt water service as-needed throughout the project
duration.
Project Manual for this project consists of the following:
* Specifications dated February 21, 2025, developed by Antinozzi Associates, Inc
* Construction Drawings dated February 28, 2025 developed by Antinozzi Associates, Inc.
* All forms, appendices, and information contained in or referenced to in this ITB 26-1128, including future
addenda.
This project is being partially funded by the State of Connecticut Department of Economic and Community
Development, so the resultant contract is subject to state minimum spending allocation and contract compliance
requirements- details in "Other Considerations" section.
Lump-sum, fixed price bids shall be for a "Turn-Key" project consisting of all project activities per the Project Manual and
Construction Drawings.

Bid Package
Contractors must provide the all of the following items in their bid package:

3. Pricing submitted using "Appendix A- Pricing"
4. Completed required submittal forms provided in this Invitation to Bid, including a fully completed "Notification
to Bidders/Contract Compliance Monitoring Report"
5. Proof of "Prequalification" by the State of Connecticut Department of Administrative Services (DAS)
Other Considerations
* Contractor must maintain principal place of business within (60) miles of the Madison Public Schools
Facilities Building at 284 Green Hill Road, Madison, CT.
* Contractors must be pre-qualified by the State of Connecticut Department of Administrative Services
(DAS) to bid on a contract or perform work pursuant to a contract for the construction,
reconstruction, alteration, remodeling, repair, or demolitions of any public building or any other
public work by the state or municipality.
* On-site construction must start on August 31, 2026 and be substantially complete (available for
unobstructed use) by September 28, 2026. Full completion by October 9, 2026.
* Resultant contract will commence upon the date of official award to the contractor. This will allow for
pre-construction activities (prior to actual start date of construction) to take place such as ordering of
materials, etc.

* Work authorized under any contract executed as a result of this Invitation to Bid is expected to reach
the thresholds requiring prevailing wages, so contractors should shall using prevailing wage rates
supplied in "Appendix C" of this ITB.
* The contractor who is selected to perform this State project must comply with CONN. GEN. STAT.
4a-60, 4a-60g, and 46a-68b through 46a-68f.
State law requires a minimum spending allocation goal of twenty-five (25%) percent of the state-funded portion
of the contract for award to subcontractors holding current certification from the Connecticut Department of
Administrative Services ("DAS") under the provisions of CONN. GEN. STAT. 4a-60g. (25% of the total state-funded
value with DAS-certified Small Businesses and 6.25% of the total state-funded value with DAS-certified Minority-,
Women-, and/or Disabled-owned Businesses.) The contractor must demonstrate good faith effort to meet the
spending allocation goals. The state funded portion of this contract is $129,394
* Edited versions of AIA Document A104- 2017 "Standard Abbreviated form of Agreement Between
Owner and Contractor" and AIA Document A201-2017 "General Conditions of the Contract for
Construction" will form the basis of the contract between ToM and the contractor. Sample versions
of these agreements are included in this bid package as "Appendix D."
* Contractors and all subcontractors must be properly licensed by the State of Connecticut
* The Madison Building Department will waive the local building permit fees for this project, however
they will charge/collect the State of Connecticut mandated "education fee" of $0.26 for every $1,000
of total construction value. Contractors are responsible to carry the cost of the education fee in their
bids.
* A Bid Bond in the amount of 10% of the contract value must be supplied with all bids in order to be
considered.
* Payment (Labor and Materials) and Performance Bonds will be required for the full contract amount,
and must be provided before commencement of any project work.
* The Town of Madison and Madison Public Schools are exempt from Connecticut Sales Tax. Do not include
sales tax in any pricing submitted.
Selection Process
DECD Selection Language: As used in this section, "lowest responsible and qualified bidder"
means the bidder whose bid is the lowest of those bidders possessing the skill, ability and
integrity necessary to faithfully perform the work based on objective criteria considering past
performance and information. Bidders will be reviewed and assessed to ensure that they
possess the skill, ability and integrity necessary to faithfully perform the work and the bidder
that is "lowest, responsible and qualified" will be selected to do the work ("Selected Bidder")
The award shall be made to the bidder (1) whose bid meets the requirements, terms and
conditions contained in the bid specifications and (2) is deemed to meet the criteria identified
below among those bidders possessing the skill, ability and integrity necessary for faithful
performance of the work (the "Selected Bidder"). To be considered as a Selected Bidder, the

bidder must have submitted all of the required information identified in the bid specifications.
Unless otherwise required by law, the Town of Madison/Madison Public Schools reserves the
right to award the bid to a Selected Bidder that is not the lowest bidder. In such instance, the
reason for the selection shall be documented and preserved by the ToM/MPS or as may be
required by law.
In determining the Selected Bidder the following criteria will be considered, as
applicable:
(1) The ability and capacity of the bidder to perform the work based on an
evaluation of the character, integrity, reputation and experience of the bidder.
Consideration shall be given to previous work performed by the bidder for the
Board or for other agencies, including the quality and degree of satisfaction with
the work performed.
(2) The financial resources of the bidder and the bidder's ability to secure any
required bonds and/or insurance.
(3) Compliance by the bidder with all applicable federal, state and local laws,
including any licensing requirements.
(4) Delivery or completion time.
(5) Cost and/or considerations of additional value included in the proposal.
(6) Involvement in litigation.
The Town of Madison/Madison Public Schools reserves the right to reject any or all bids in whole
or in part. Any or all bids may be rejected if there is any reason to believe that collusion exists
among the bidders. Individual bids may be rejected for irregularities of any kind, including,
without limitation, alteration of form, additions not called for, conditional bids, incomplete bids,
and unexplained erasures.
