1. PRICE CHANGES: If changes have been made to the bid price, ensure the changes have been initialed by the person signing the bid.
2. PRICING: Validate that mathematical calculations are correct. In the event of errors, the unit price governs.

I. DEFINITIONS:
Whenever used in this solicitation or in the contract documents, the following terms have the meanings
indicated, which are applicable to both the singular and plural and the male and female gender thereof:
1. Application Fee: A one-time fee to be paid for by a entity/business requesting to participate in the
program to cover the costs related to application review, criteria review, sign design, and site plan.
2. Asset Type: Individual components of a sign that are assessed and given an individual rating apart from
the whole. For all signs, reference to a structure includes structure, posts, foundation, and hardware as
an asset type; reference to a panel includes background panel and/or overlay panel including all bracing
with supplemental plaques attached; and each separate sign panel is an individual asset type. A Logo
plate is also an individual asset type.
3. Bid: The documents submitted in response to this IFB, including the technical proposal, supplements,
and pricing schedule as requested.
4. Bidder: Any entity or person submitting a bid in response to this IFB.
5. Commonwealth Transportation Board (CTB): A board that oversees transportation projects and
initiatives for the Commonwealth of Virginia.
6. Consumer Price Index for All Urban Consumers (CPI-U): Economic table as determined by The
Bureau of Labor Statistics of the U.S. Department of Labor, the principal Federal agency responsible
for measuring labor market activity, working conditions, and price changes in the economy
7. Contract: An agreement enforceable by law, between two (2) or more competent parties, to do or
not to do something, not prohibited by law, for consideration. When used in this solicitation, an
agreement executed by VDOT and the Bidder selected to be the Contractor to provide the goods or
services described in this IFB.
8. Contract Administrator: VDOT individual appointed as the IDSP Program Manager or designee
authorized by the Agency to be the Contract Administrator for the Contract established pursuant
to this IFB. The Contract Administrator may further designate specific authorities or duties to
designees.
9. Contractor: The Bidder awarded the Contract to provide the described Scope of Work inclusive
of its personnel, employees, and subcontractors.
10. Customer: Business, individual, organization, or entity that has a sign in one or more of the sign
programs known as the IDSP. Also referred to as participant.
11. Department: The Virginia Department of Transportation, an agency of the Commonwealth of
Virginia, is referred to as “Department” or “VDOT”.
12. Department of Historic Resources (DHR): An agency of the Commonwealth of Virginia with a
mission to foster, encourage, and support the stewardship of Virginia’s significant historic
architectural, archaeological, and cultural resources.

13. External Users: Entities or individuals who do not participate in managing the IDSP but are interested
in utilizing the services of the program, such as existing sign participants / customers or potential
customers, stakeholders, such as DHR.
14. Financial Manager: VDOT personnel or designee responsible for the administration of the program
budget and financial planning.
15. Historical Marker or “marker”: A cast metal sign panel associated with programs administered by
DHR.
16. Internal Users: VDOT staff that participate in the management and oversight of the IDSP.
17. Live Data: Information accessible by users performing and/or monitoring work in the field and/or in
the office through system applications (Apps), dashboards or other means, in real time as work is
conducted, updating system data, making information available to all users immediately or as soon as
a connection to the internet is available through wireless devices or computers.
18. Management System: An integrated support portal for operating the program, providing live data
organized in a geospatial platform with workflows for asset and customer relationship management
using business intelligence to enhance communication and collaboration between various
stakeholders, while providing transparency for performance monitoring and auditing needs.
19. Miss Utility: A one-call notification center that notifies subscribing facility/utility owner-members of
a proposed excavation.
20. Notice to Proceed: A written notice given by the Owner to the Contractor fixing the date on which
the task order time will commence for the Contractor to begin the prosecution of the work in
accordance with the requirements of the Contract documents.
21. Owner: The Commonwealth of Virginia, i.e., an agency, institution, or department, with whom the
Contractor has entered into a Contract and for whom the work or services is to be provided.
22. Outcomes: The description of the condition or state of a Contract required asset or program item
during the Contract term.
23. Participant Agreement: Agreement or contract between a business or entity participating in the
IDSP and the VDOT statewide Contractor.
24. Portal: The an integrated support capability that will perform as the IDSP Management System
providing for operating the program, providing live data organized in a geospatial platform with
workflows for asset and customer relationship management using business intelligence to enhance
communication and collaboration between various stakeholders, while providing transparency for
performance monitoring and auditing needs.
