235),"DebarmentandSuspension."SAMExclusionscontainsthenamesofpartiesdebarred,suspended,orotherwise

ArticleIII-DeliveryTerms
3.1 Thisisan"IndefiniteQuantityBid"pursuanttoSection3119(i)(2)ofthe2GARProcurementRegulations.Thequantities
reflectedareestimatedrequirementsprojectedwithinatwelve(12)monthperiod.Theseamountsmayincreaseduring
thetermofthisbid.However,regardlessofthefluctuationsofquantities,thisbidshallbesubjecttotheavailabilityof
funds.
3.2 Delivery.
Ninety(90)daysuponreceiptofpurchaseorder.Scheduletimeandquantitywillbecoordinatedbetweenthesuccessful
bidderandtherequestingdepartmentonanas-neededbasis.Partialdeliverieswillnotbeaccepted.Allrequirements
specifiedmustbeprovidedandinstalled.

3.3 ContractPeriod.
The term of this contract is for a period of one (1) year on an as-needed basis upon availability of funds. Within this
contractperiodofone(1)yearthecontractshallbereviewedevery6monthssupportedbyawrittendeterminationfor

DepartmentofMilitaryAffairsisrequiredtoorderitsactualrequirementsduringtheone(1)yearperiodfromtheawarded
bidder.2GARDiv.4,3119(i)(3);5G.C.A.5235.Theonlyexemptionstothisactual-requirementsassertionaboveare:
A)whentheagency'sProcurementOfficerapprovesafindingthatthesupplyorserviceavailableunderthecontractwill
not meet a nonrecurring, a special need of the procuring agency; or B) when supplies are procured incidental to the
GovernmentofGuam'sownprogramsasmaybeavailablethatcansatisfytheneed.
3.4 AdditionalRequirement.
IfotheragencieswithintheGovernmentofGuamhavethesamerequirements,theeffectivepriceofsaid bidshallbe
usedasaconfirmedprice.Thisadditionalrequirementshallnotexceedthetermofthisbid.
3.5 FundingStatusandIDIQIntention.
The usingagency mayreceiveadditionalfundingforsimilarpurchasein thenearfuture andthusintends to utilize an
IDIQrequirement(s)contract.
3.6 Thegovernmentisinneedofanindefinitequantity("IDIQ")contractbecause,althoughexpected,additionalfundsfor
similar and/or identical items is not at this time definite and it would expend unnecessary government resources to
publish,solicit,andanalyzeanadditionalIFBsimplybecauseoftheconfirmedinfluxoffundingwithinthisone(1)-year
IDIQperiod.Otherformsofcontractwillnotsufficebecausetheyarenottheofficialmethodforpurchasingadditional

ArticleIV-InvoicingandPayment
4.1 Invoicing.
The Awardee shall submit an accurate invoice referencing the applicable Contract Number and Purchase Order. Each
invoice must include a description of goods or services, quantities, and pricing consistent with the approved contract
terms.
4.2 Payment.
Paymentshallbemadewithinthirty(30)daysafterreceiptandacceptanceofgoodsand/orservicesingoodconditionat
thedesignateddeliverylocation.

tobedefectiveinmaterial,workmanship,performance,orotherwisedonotconformwiththespecifications,theGovernment

28. [ ]MOTORVEHICLESAFETYREQUIREMENTS:TheGovernmentwillonlyconsiderBidsonmotorvehicleswhichcomplywith
therequirementsoftheNationalTrafficandMotorVehiclesafetyActof1966(PublicLaw89-563)andCleanAirActasamended
(Public Law 88-206), that are applicable to Guam. Bidders shall state if the equipment offered comply with these
aforementionedFederalLaws.
29. [ ]SAFETYINSPECTION:AllmotorvehiclesdeliveredunderthiscontractmustpasstheGovernmentofGuamVehicleInspection
beforedeliveryatdestination.
30. [X]GUARANTEE:
a. GuaranteeofVehicleTypeofEquipment:
The successful bidder shall guarantee vehicular type of equipment offered against defective parts, workmanship, and
performance,foraperiodofnotlessthanone(1)yearafterdateofreceiptofequipment.Biddershallalsoprovideservice
totheequipmentforatleastone(1)year.Servicetobeprovidedshallinclude,butwillnotbelimitedtotuneups(change
ofsparkplugs,contactpointsandcondensers)andlubrication(changeofengineandtransmissionoil).Allpartsandlabor
shallbeattheexpenseofthebidder. Allpartsfounddefectiveandnotcausedbymisuse,negligenceoraccidentwithinthe
guaranteeperiodshallberepaired,replaced,oradjustedwithinsix(6)workingdaysafternoticefromtheGovernmentand
without cost to the Government. Vehicular type of equipment as used in this context shall include equipment used for
transportationasdifferentiatedfromtractors,backhoes,etc.
b. GuaranteeofOtherTypeofEquipment:Thesuccessfulbiddershallguaranteeallothertypesofequipmentoffered,except
thosementionedin30a,above,againstdefectiveparts,workmanship,andperformanceforaperiodofnotlessthanthree
(3) months after date of receipt of equipment. Bidder shall also provide service to the equipment for at least three (3)
months. All parts found defective within that period shall be repaired or replaced by the Contractor without cost to the
Government.Repairs,adjustmentsorreplacementsofdefectivepartsshallbecompletedbythecontractorwithinsix(6)
workingdaysafternoticefromtheGovernment.
c. CompliancewiththisSectionisaconditionofthisBid.

adjustmentshallbemadeandthecontractmodifiedinwritingaccordingly.Anyadjustmentincontractpricemadepursuantto
