(Executive Orders 12549 and 12689)-A contract award (see 2 CFR 180.220) must not be made to parties listed on the
governmentwideexclusionsintheSystemforAwardManagement(SAM),inaccordancewiththeOMBguidelinesat2CFR
180 that implement Executive Orders 12549 (3 CFR part 1986 Comp., p. 189) and 12689 (3 CFR part 1989 Comp., p. 235),
"DebarmentandSuspension."SAMExclusionscontainsthenamesofpartiesdebarred,suspended,orotherwiseexcludedby
agencies,aswellaspartiesdeclaredineligibleunderstatutoryorregulatoryauthorityotherthanExecutiveOrder12549.The
Awardee certifies that neither it nor its principals are presently debarred, suspended, proposed for debarment, declared

ArticleIII-DeliveryandWarranty
6. This is an "Indefinite Quantity Bid" pursuant to Section 3119(i)(2) of the 2 GAR Procurement Regulations. The quantities
reflectedareestimatedrequirementsprojectedwithinatwelve(12)monthperiod.Theseamountsmayincreaseduringthe
termofthisbid.However,regardlessofthefluctuationsofquantities,thisbidshallbesubjecttotheavailabilityoffunds.

7. Delivery.
Sixty(60)daysuponreceiptofpurchaseorder.Scheduletimeandquantitywillbecoordinatedbetweenthesuccessfulbidder
andtherequestingdepartmentonanas-neededbasis.Partialdeliverieswillnotbeaccepted.Allrequirementsspecifiedmust
beprovidedandinstalled.
8. ContractPeriod.
Thetermofthiscontractisforaperiodofone(1)yearonanas-neededbasisuponavailabilityoffunds.Withinthiscontract
period of one (1) year the contract shall be reviewed every 6 months supported by a written determination for continued

TheGuamEnergyOfficeisrequiredtoorderitsactualrequirementsduringtheone(1)yearperiodfromtheawardedbidder.

9. AdditionalRequirement.

10. FundingStatusandIDIQIntention.
Theusingagency may receiveadditionalfunding for similar purchasein thenear futureand thusintendsto utilize an IDIQ
requirement(s)contract.
Thegovernmentisinneedofanindefinitequantity("IDIQ")contractbecause,althoughexpected,additionalfundsforsimilar
and/oridenticalitemsisnotatthistimedefiniteanditwouldexpendunnecessarygovernmentresourcestopublish,solicit,

formsofcontractwillnotsufficebecausetheyarenottheofficialmethodforpurchasingadditionalidenticalitemsatthesame

11. Warranty.
TheAwardeeshallprovideaminimumwarrantyofnotlessthanthirty-six(36)monthsforlaborandmaterials,commencing

12. Invoicing.
TheAwardeeshallsubmitanaccurateinvoicereferencingtheapplicableContractNumberandPurchaseOrder.Eachinvoice
mustincludeadescriptionofgoodsandservices,quantities,andpricingconsistentwiththeapprovedcontractterms.
13. Payment.
Paymentshallbemadewithinthirty(30)daysafterreceiptandacceptanceofgoodsand/orservicesingoodconditionatthe

27. [X]INSPECTION:Allsupplies,materials,equipment,orservicesdeliveredunderthiscontractshallbesubjecttotheinspection
and/ortestconductedbytheGovernmentatdestination.Ifinanycasethesupplies,materials,equipment,orservicesarefound
tobedefectiveinmaterial,workmanship,performance,orotherwisedonotconformwiththespecifications,theGovernment
shallhavetherighttoreject theitemsorrequirethattheybecorrected.Thenumberofdaysrequiredforcorrectionwillbe
determinedbytheGovernment.
28. [ ]MOTORVEHICLESAFETYREQUIREMENTS:TheGovernmentwillonlyconsiderBidsonmotorvehicleswhichcomplywith
therequirementsoftheNationalTrafficandMotorVehiclesafetyActof1966(PublicLaw89-563)andCleanAirActasamended
(Public Law 88-206), that are applicable to Guam. Bidders shall state if the equipment offered comply with these
aforementionedFederalLaws.
29. [ ]SAFETYINSPECTION:AllmotorvehiclesdeliveredunderthiscontractmustpasstheGovernmentofGuamVehicleInspection
beforedeliveryatdestination.
30. [X]GUARANTEE:
a. GuaranteeofVehicleTypeofEquipment:
The successful bidder shall guarantee vehicular type of equipment offered against defective parts, workmanship, and
performance,foraperiodofnotlessthanone(1)yearafterdateofreceiptofequipment.Biddershallalsoprovideservice
totheequipmentforatleastone(1)year.Servicetobeprovidedshallinclude,butwillnotbelimitedtotuneups(change
ofsparkplugs,contactpointsandcondensers)andlubrication(changeofengineandtransmissionoil).Allpartsandlabor
shallbeattheexpenseofthebidder. Allpartsfounddefectiveandnotcausedbymisuse,negligenceoraccidentwithinthe
guaranteeperiodshallberepaired,replaced,oradjustedwithinsix(6)workingdaysafternoticefromtheGovernmentand
without cost to the Government. Vehicular type of equipment as used in this context shall include equipment used for
transportationasdifferentiatedfromtractors,backhoes,etc.
b. GuaranteeofOtherTypeofEquipment:Thesuccessfulbiddershallguaranteeallothertypesofequipmentoffered,except
thosementionedin30a,above,againstdefectiveparts,workmanship,andperformanceforaperiodofnotlessthanthree
(3) months after date of receipt of equipment. Bidder shall also provide service to the equipment for at least three (3)
months. All parts found defective within that period shall be repaired or replaced by the Contractor without cost to the
Government.Repairs,adjustmentsorreplacementsofdefectivepartsshallbecompletedbythecontractor withinsix(6)
workingdaysafternoticefromtheGovernment.
c. CompliancewiththisSectionisaconditionofthisBid.
31. [X] REPRESENTATION REGARDING ETHICS IN PUBLIC PROCUREMENT: The bidder or contractor represents that it has not
knowinglyinfluencedandpromisesthatit willnotknowinglyinfluencea Governmentemployeetobreachanyoftheethical

oneormoreofthefollowing:
(A)Drawings,designs,orspecifications,ifthesuppliestobefurnishedaretobespeciallymanufacturedfortheterritoryin

(C)placeofdelivery.
(2)AdjustmentsofPriceorTimeforPerformance.Ifanysuchchangeorderincreasesordecreasesthecontractor'scostof,or
the time required for performance of any part of the work under this contract, whether or not changed by the order, an
adjustmentshallbemadeandthecontractmodifiedinwritingaccordingly.Anyadjustmentincontractpricemadepursuantto

aclaimforanadjustment.Laternotificationshallnotbarthecontractor'sclaimunlesstheterritoryisprejudicedbythedelay

(4)ClaimsBarredAfterFinalPayment.Noclaimbythecontractorforanadjustmenthereundershallbeallowedifnoticeisnot
givenpriortofinalpaymentunderthiscontract.
(5) Other Claims not Barred. In the absence of such a change order, nothing in this clause shall be deemed to restrict the
contractor'srighttopursueaclaimarisingunderthecontractifpursuedinaccordancewiththeclauseentitled,"ClaimsBased
onaProcurementOfficer'sActionsorOmissions,NoticeofClaimClause',orforbreachofcontract."

(l)OrdertoStopWork.TheProcurementOfficermay,bywrittenordertothecontractor,atanytime,andwithoutnoticetoany
surety,requirethecontractortostopalloranypartoftheworkcalledforbythiscontract.Thisordershallbeforaspecified
periodnotexceeding90daysaftertheorderisdeliveredtothecontractor,unlessthepartiesagreetoanyfurtherperiod.Any
suchorder
shallbeidentifiedspecificallyasastopworkorderissuedpursuanttothisclause.Uponreceiptofsuchanorder,thecontractor
shallforthwithcomplywithitstermsandtakeallreasonablestepstominimizetheoccurrenceofcostsallocabletothework
