1. RepresentationRegardingGratuitiesandKickbacks
Thebidder,offeror,orcontractorrepresentsthatithasnotviolated,isnotviolating,andpromisesthatitwillnotviolatethe
prohibition against gratuities and kickbacks set forth in 11206 (Gratuities and Kickbacks) of the Guam Procurement
Regulations."
2. RepresentationRegardingContingentFees
Thecontractor representsthat it hasnot retained a person to solicit or securea territorial contract upon an agreement or
understanding for a commission, percentage, brokerage, or contingent fee, except for retention ofbona fideemployeesor
bonafideestablishedcommercialsellingagenciesforthepurposeofsecuringbusiness.
3. Representation Regarding Ethical Standards for Government Employees and Former Government Employees
The bidder, offeror, or contractor represents that it has not knowingly influenced and promises that it will not knowingly
influenceagovernmentemployeetobreachanyoftheethicalstandardssetforthin5GCAChapter5Article11(EthicsinPublic
Contracting)oftheGuamProcurementActandinChapter11oftheGuamProcurementRegulations.
4. RestrictionAgainstContractorsEmployingConvictedSexOffendersFromWorkingatGovernmentofGuamVenues
(1) no person providing services on behalf of the contractor has been convicted of a sex offense under the provisions of
Chapter 25 of Title 9 GCA or an offense as defined in Article 2 of Chapter 28, Title 9 GCA, or an offense in another
jurisdictionwith,ataminimum,thesameelementsassuchoffenses,orwhoislistedontheSexOffenderRegistry;and
(2) ifanypersonprovidingservicesonbehalfofthecontractorisconvictedofasexoffenseundertheprovisionsofChapter
25ofTitle9GCAoranoffenseasdefinedinArticle2ofChapter28,Title9GCAoranoffenseinanotherjurisdictionwith,
ataminimum,thesameelementsassuchoffenses,orwhoislistedontheSexOffenderRegistry,thatsuchpersonwill
be immediately removed from working at said agency and that the administrator of said agency be informed of such
withintwenty-four(24)hoursofsuchconviction.
ArticleII-DeliveryTerms
5. This is an "Indefinite Quantity Bid" pursuant to Section 3119(i)(2) of the 2 GAR Procurement Regulations. The quantities
reflectedareestimatedrequirementsprojectedwithinatwelve(12)monthperiod.Theseamountsmayincreaseduringthe
termofthisbid.However,regardlessofthefluctuationsofquantities,thisbidshallbesubjecttotheavailabilityoffunds.
6. Delivery.
Ninety(90)daysuponreceiptofpurchaseorder.Scheduletimeandquantitywillbecoordinatedbetweenthesuccessfulbidder
andtherequestingdepartmentonanas-neededbasis.Partialdeliverieswillnotbeaccepted.Allrequirementsspecifiedmust
beprovidedandinstalled.
7. ContractPeriod.
Thetermofthiscontractisforaperiodofone(1)yearonanas-neededbasisuponavailabilityoffunds.Withinthiscontract
period of one (1) year the contract shall be reviewed every 6 months supported by a written determination for continued
need.2GARDiv.43119(i)and6101(5)(b).
CustomsandQuarantineAgencyisrequiredtoorderitsactualrequirementsduringtheone(1)yearperiodfromtheawarded
bidder. 2 GAR Div. 4, 3119(i)(3); 5 G.C.A. 5235. The only exemptions to this actual-requirements assertion above are: A)
whentheagency'sProcurementOfficerapprovesafindingthatthesupplyorserviceavailableunderthecontractwillnotmeet
a nonrecurring, a special need of the procuringagency; or B) when supplies are procured incidental to the Government of
Guam'sownprogramsasmaybeavailablethatcansatisfytheneed.

8. AdditionalRequirement.
IfotheragencieswithintheGovernmentofGuamhavethesamerequirements,theeffectivepriceofsaidbidshallbeusedas
aconfirmedprice.Thisadditionalrequirementshallnotexceedthetermofthisbid.
9. FundingStatusandIDIQIntention.
Theusingagency may receiveadditionalfunding for similar purchasein thenear futureand thusintendsto utilize an IDIQ
requirement(s)contract.
Thegovernmentisinneedofanindefinitequantity("IDIQ")contractbecause,althoughexpected,additionalfundsforsimilar
and/oridenticalitemsisnotatthistimedefiniteanditwouldexpendunnecessarygovernmentresourcestopublish,solicit,
andanalyzeanadditionalIFBsimplybecauseoftheconfirmedinfluxoffundingwithinthisone(1)-yearIDIQperiod.Other
formsofcontractwillnotsufficebecausetheyarenottheofficialmethodforpurchasingadditionalidenticalitemsatthesame

ArticleIII-WarrantyTerms
10. Warranty.
TheAwardeeshallprovideaminimumwarrantyperiodofnotlessthanone(1)year,commencinguponfinalinspectionand
acceptancebytheusingagency,andshallexcludedamagefromnormalwearandtear.
ArticleIV-InvoicingandPayment
11. Invoicing.
TheAwardeeshallsubmitanaccurateinvoicereferencingtheapplicableContractNumberandPurchaseOrder.Eachinvoice
mustincludeadescriptionofgoodsorservices,quantities,andpricingconsistentwiththeapprovedcontractterms.
12. Payment.
Paymentshallbemadewithinthirty(30)daysafterreceiptandacceptanceofgoodsand/orservicesingoodconditionatthe
designateddeliverylocation.

solicitation.Nootherfactorsorcriteriashallbeusedintheevaluation.TherightisreservedastheinterestoftheGovernment
mayrequiretowaiveanyminorirregularityinbidreceived.TheChiefProcurementOfficershallhavetheauthoritytoaward,

and/ortestconductedbytheGovernmentatdestination.Ifinanycasethesupplies,materials,equipment,orservicesarefound
tobedefectiveinmaterial,workmanship,performance,orotherwisedonotconformwiththespecifications,theGovernment
shallhavetherighttoreject theitemsorrequirethattheybecorrected.Thenumberofdaysrequiredforcorrectionwillbe
determinedbytheGovernment.
28. [ ]MOTORVEHICLESAFETYREQUIREMENTS:TheGovernmentwillonlyconsiderBidsonmotorvehicleswhichcomplywiththe
requirementsoftheNationalTrafficandMotorVehiclesafetyActof1966(PublicLaw89-563)andCleanAirActasamended
(Public Law 88-206), that are applicable to Guam. Bidders shall state if the equipment offered comply with these
aforementionedFederalLaws.
29. [ ]SAFETYINSPECTION:AllmotorvehiclesdeliveredunderthiscontractmustpasstheGovernmentofGuamVehicleInspection
beforedeliveryatdestination.
30. [X]GUARANTEE:
a. GuaranteeofVehicleTypeofEquipment:
The successful bidder shall guarantee vehicular type of equipment offered against defective parts, workmanship, and
performance,foraperiodofnotlessthanone(1)yearafterdateofreceiptofequipment.Biddershallalsoprovideservice
totheequipmentforatleastone(1)year.Servicetobeprovidedshallinclude,butwillnotbelimitedtotuneups(change
ofsparkplugs,contactpointsandcondensers)andlubrication(changeofengineandtransmissionoil).Allpartsandlabor
shallbeattheexpenseofthebidder. Allpartsfounddefectiveandnotcausedbymisuse,negligenceoraccidentwithinthe
guaranteeperiodshallberepaired,replaced,oradjustedwithinsix(6)workingdaysafternoticefromtheGovernmentand
without cost to the Government. Vehicular type of equipment as used in this context shall include equipment used for
transportationasdifferentiatedfromtractors,backhoes,etc.
b. GuaranteeofOtherTypeofEquipment:Thesuccessfulbiddershallguaranteeallothertypesofequipmentoffered,except
thosementionedin30a,above,againstdefectiveparts,workmanship,andperformanceforaperiodofnotlessthanthree
(3) months after date of receipt of equipment. Bidder shall also provide service to the equipment for at least three (3)
months. All parts found defective within that period shall be repaired or replaced by the Contractor without cost to the
Government.Repairs,adjustmentsorreplacementsofdefectivepartsshallbecompletedbythecontractor withinsix(6)
workingdaysafternoticefromtheGovernment.
c. CompliancewiththisSectionisaconditionofthisBid.

aclaimforanadjustment.Laternotificationshallnotbarthecontractor'sclaimunlesstheterritoryisprejudicedbythedelay

(4)ClaimsBarredAfterFinalPayment.Noclaimbythecontractorforanadjustmenthereundershallbeallowedifnoticeisnot
givenpriortofinalpaymentunderthiscontract.
(5) Other Claims not Barred. In the absence of such a change order, nothing in this clause shall be deemed to restrict the

(l)OrdertoStopWork.TheProcurementOfficermay,bywrittenordertothecontractor,atanytime,andwithoutnoticetoany

periodnotexceeding90daysaftertheorderisdeliveredtothecontractor,unlessthepartiesagreetoanyfurtherperiod.Any
suchorder

shallforthwithcomplywithitstermsandtakeallreasonablestepstominimizetheoccurrenceofcostsallocabletothework
