1. INVITATION TO PROPOSE
The Town of Middlefield Parks & Recreation Department (the “Town”) is soliciting sealed
proposals from qualified contractors to provide grounds maintenance services, including
mowing, trimming, edging, athletic field maintenance, field lining, and limited vegetation
management, as described in this RFP.
Proposers are responsible for reviewing all requirements in this RFP and submitting a
complete response by the due date and time.
Minimum performance standards (required):
1. Follow-up service calls required due to unsatisfactory performance shall be at no
charge.
2. Contractor shall respond to Town-reported issues in a timely manner (proposer
shall state response time; Town preference is within one (1) business day for urgent
issues impacting safety or scheduled events).
3. Contractor shall report any property damage, personal property damage, or injury
resulting from the contractor’s operations to the Town within one (1) business day of
occurrence.

Late proposals may be rejected. The Town reserves the right to reject any or all proposals
and to waive informalities or minor irregularities when it is in the Town’s best interest.
3. GENERAL INSTRUCTIONS
1. Proposals must be signed by an authorized representative of the proposer.
2. Proposals must clearly identify any exceptions to the requirements of this RFP.
3. All questions must be submitted in writing to the Issuing Officer by the questions-
due deadline. Verbal questions and verbal responses are not binding.
4. The Town may request additional information, references, or an interview prior to
award.
5. The Town may terminate the contract for lack of performance or substandard
performance as determined by the Town.
6. Documentation: Contractor shall maintain an accurate record of work performed
and provide reports upon request.
PROPOSAL REQUIREMENTS & SUBMISSION CHECKLIST

3A. GENERAL CONDITIONS AND INSTRUCTIONS TO PROPOSERS (LEGAL /
PROCUREMENT TERMS)
The conditions below apply to this solicitation and will become part of the contract
resulting from an award, unless otherwise specified.
3A.1 Proposal forms and submission
1. Proposals shall be submitted in the manner stated in Section 2 and received by the
Town by the due date and time.
2. The proposer shall maintain one (1) copy of the proposal for their files.
3. The outer envelope or subject line (as applicable) shall clearly identify the RFP title
and proposal due date/time.
3A.2 Addenda
1. It is the proposer’s responsibility to check for addenda or clarifications issued by the
Town.
2. Any addenda issued shall become part of this solicitation.
3A.3 Late proposals
Proposals received after the date and time specified will not be considered, except as the
Town may allow at its sole discretion where permitted by law.
3A.4 Withdrawal of proposals
A proposal may be withdrawn by written request submitted to and received by the Town
prior to the time set for receipt/opening.
3A.5 Delivery and mailing risk
The proposer is responsible for ensuring timely delivery. The Town assumes no
responsibility for postal delays, delivery service delays, email delivery issues, or other
transmission failures.
3A.6 Opening of proposals
The Town may open proposals publicly or privately, and may tabulate pricing and
responsiveness after opening.
3A.7 Proposal completion and responsiveness

All information required by this RFP must be provided to constitute a proper proposal.
Failure to provide required information may result in disqualification.
3A.8 Town rights; rejection of proposals
The Town reserves the right to:
1. Reject any or all proposals, in whole or in part.
2. Waive minor informalities and irregularities.
3. Request clarifications or additional information.
4. Accept a proposal other than the lowest priced proposal if it is determined to be in
the Town’s best interest, to the extent permitted by law.
5. Award by section, by location, or by service element, or to make no award.
3A.9 Errors in proposals
Obvious clerical errors (such as arithmetic errors or misplaced decimals) may be corrected
by the Town following proposer verification. If a conflict exists between a unit price and an
extension, the unit price shall prevail.
3A.10 Taxes
The Town is exempt from Connecticut sales and use taxes and federal excise taxes.
Proposers shall not include such taxes in pricing.
3A.11 Bid/Proposal security; bonds (if required)
If the Town elects to require proposal security or bonds for this contract, the requirements
will be stated in an addendum or final contract documents, including any bid bond,
performance bond, and/or labor and materials bond.
3A.12 Debarment
The proposer certifies that neither the proposer nor its principals are currently debarred or
suspended from bidding on public contracts by any governmental entity, and that the
proposer is not acting as an agent for any debarred or suspended entity.
3A.13 Insurance requirements (minimums; subject to Town confirmation)
Prior to commencement of work, the successful contractor shall furnish certificates of
insurance evidencing coverage at least as follows (or such other levels as the Town
requires):

1. Commercial General Liability: $1,000,000 combined single limit per occurrence;
$2,000,000 aggregate.
2. Automobile Liability: $1,000,000 combined single limit (owned, hired, and non-
owned).
3. Workers’ Compensation: statutory Connecticut requirements.
4. Employer’s Liability: $500,000 per accident; $500,000 disease each employee;
$1,000,000 disease policy limit.
5. Umbrella/Excess Liability: $1,000,000 each occurrence; $1,000,000 aggregate.
Additional provisions:
• The Town of Middlefield, its officers, agents, officials, employees, boards, and
commissions shall be named as additional insureds on general and automobile
liability policies, except Workers’ Compensation.
• Contractor’s insurance shall be primary and non-contributory with any Town
insurance.
• Policies shall provide for 60 days written notice prior to cancellation, non-renewal,
or substantial change.
• If any policy is written on a claims-made basis, it shall be maintained and renewed
for at least two (2) years after completion of services or replaced with equivalent tail
coverage.
• Insurers shall have an A.M. Best rating of at least “A” or otherwise be acceptable to
the Town.
3A.14 Indemnification / hold harmless
To the extent permitted by law, the contractor shall indemnify and hold harmless the Town
of Middlefield and its officers, agents, and employees from and against claims, damages,
losses, and expenses (including reasonable attorney’s fees) arising out of or resulting from
the contractor’s performance of the work, except to the extent caused by the Town’s
negligence.
3A.15 Termination
The Town may terminate the contract:
1. For cause upon contractor non-performance, unsafe performance, or violation of
contract terms.
