NOTICE
PLEASE TAKE NOTICE, that the Clerk of the Schuyler County Legislature, will RECEIVE SEALED BIDS
for Generator and Uninterruptible Power Supply (UPS) Testing and Maintenance for Schuyler County
Buildings & Grounds. Bid documents and specifications may be obtained at the Buildings & Grounds office
located at 910 S. Decatur Street, Watkins Glen, NY 14891, on the Schuyler County website,
www.schuylercounty.us (Purchasing Dept / Bids & RFPs), or by emailing slafever@co.schuyler.ny.us
Bids shall be enclosed in a sealed envelope and marked “SEALED BID – GENERATOR AND
UNINTERRUPTIBLE POWER SUPPLY (UPS) TESTING AND MAINTENANCE” and be mailed or
delivered to the Clerk of the Legislature at 105 Ninth Street, Unit 6, Watkins Glen, NY 14891, no later than
10:00 a.m. on Thursday, December 11, 2025. Bids will be publicly opened at 10:15 a.m. that same day.
Acceptance or rejection will be done at a later date. The County of Schuyler reserves the right to accept or
reject any and all Bids.
INSTRUCTIONS TO BIDDERS
1. Bids must be submitted in a sealed envelope as set forth herein.
2. Bidders are responsible for submitting their Bids to the appropriate location prior to the time indicated in
the specifications. Bidders assume the risk of any delay when Bid is mailed. No Bids will be accepted
after the designated time indicated. Faxed and/or emailed Bids will not be accepted.
3. Questions about or clarifications of any technical specifications must be made in writing by sending an
email to: kthurston@co.schuyler.ny.us, at least seven (7) days prior to Bid opening. Verbal inquiries will
not be responded to.
4. Bidders shall indicate on the outside of the sealed Bid the following:
a. Company Name
b. “Sealed Bid – Generator and Uninterruptible Power Supply (UPS) Testing and Maintenance”
c. Date and Time Bid is Due – Thursday, December 11, 2025 at 10:00 am
5. Bids must be completed on attached Bid document; no other format will be accepted. Bids submitted on
another format or revised Bid schedule will be considered non-responsive. INCLUDE ONE (1)
ORIGINAL AND ONE (1) COPY OF BID DOCUMENT.
6. Bid will be awarded to the Bidder submitting the best value for all items requested on the Bid as per the
enclosed Bid specification.
7. The Schuyler County Legislature reserves the right to reject any or all of the Bids in full or part.
8. Each Bid must include the signed acknowledgment and affirmation contained on Page 3 of this Bid
Document.
9. Each Bid and any resulting contract shall incorporate by reference and include the attached Appendix A:
Standard Clauses for Schuyler County Contracts and Appendix B: Minimum Insurance Standards for
Schuyler County Contracts. Any Bid or response to this request which alters, amends or deletes either
Appendix shall be deemed non-responsive. For the purpose of Appendix B, the bidder shall be considered
a “Category II” Bidder.
10. “Information to Bidders” and “General Conditions” are incorporated herein, and into any resulting
contract.
11. This Bid process is governed by NYS General Municipal Law Sec. 103, as well as the County’s
purchasing policy and other applicable authority.

Information to Bidders
1 Each Bidder shall be prepared, if requested, to furnish evidence, including documentary evidence, to
establish proof of responsibility, insurance coverage and ability to perform the contract if awarded.
2 Acceptance of Bidder’(s) Bid shall obligate the Bidder(s) to provide the contracted services within the
specifications, and for the time period, described herein. Bids cannot be withdrawn after Bid opening.
3 Schuyler County reserves the right to cancel the contract at any time for any reason in whole or in part, with
thirty (30) days written notice to the successful Bidder. The County also reserves the right to immediately
cancel the contract for breach, non-performance, or in the event of Bidder’s inability to properly perform the
contracted services.
4 Cancellation due to Non-Appropriation of Funds – Schuyler County reserves the right to cancel the contract
in the event that the County Legislature, during the enactment of the County Budget, fails or declines to
appropriate money for the continuation of the contract(s). And if this agreement is funded in whole or in part
by state or federal grant funds, payment to the Bidder is contingent upon the receipt of such funds by the
County. If funding is reduced or eliminated during the term hereof, the County’s obligation shall be
proportionately affected. See, also, Schuyler County Appendix A.
5 Any Time & Material work that may result in the technician on site to be paid overtime must be approved by
the Schuyler County Buildings and Grounds designee.
6 The Specifications and instructions as set forth herein are complementary, are intended to provide for, and
include everything necessary for, the proper and orderly execution and completion of the service as specified.
Specifications that have omissions in reference to any material and/or service description which obviously
was intended under the Contract, shall not excuse or relieve the awarded Bidder from furnishing the same.
Materials described in words which have a generally accepted technical or trade meaning, shall be interpreted
by such customary and recognized standard of meaning.
7 A high level of quality service is expected of all awarded Bidders. The awarded Bidder shall work with the
designated County representative to determine mutually convenient application times, schedules, and any
other incidentals required to make sure the materials, products, and equipment requested are in accordance
with the needs of Schuyler County.
8 Each Bidder shall guarantee that the products specified in their Bid are of a quality equal to those requested
in the Bid specifications. The specific materials, products, and equipment ordered and delivered will not be
substituted unless agreed upon by the County.
9 Each Bidder is expected to be fully knowledgeable of the products to be furnished before submitting a Bid.
Acceptance of any Bid shall obligate the Bidder to provide the products within the Bid specifications for the
amount of the bid regardless of improper interpretation by the Bidder. Permission will not be given to
withdraw, modify, or explain any Bid after the time of the Bid opening.

General Conditions
1 All invoices must reference the Generator and Uninterruptible Power Supply (UPS) Testing and
Maintenance with appropriate charges as specified on the Bid Form and shall be clearly defined as to
location. Unclear, non-prices or otherwise unreadable invoices will be returned to the Bidder(s) for
clarification and may not be included in the current month’s audit. Bidder(s) shall supply invoices in
duplicate unless invoice has a tear off remittance stub.
2 No charge will be allowed for Federal, State, or Municipal sales, and/or excise tax. Schuyler County is
exempt from any such taxes.
3 Bid pricing shall remain in effect for the duration of the contract.
4 In cases where identical Bids are submitted, award of the Bid shall be at the discretion of the Schuyler
County Legislature.
5 Bidder should note that “Appendix A, Standard Clauses for Schuyler County Contracts” and “Appendix B,
Minimum Insurance Standards for Schuyler County Contracts”, attached hereto, are hereby expressly made
part of the Bid Document as if fully set forth herein. All such appendices shall be incorporated into any
resulting contract. Any response to this request that changes, amends or deletes either Appendix shall be
deemed non-responsive.
6 Upon acceptance of the Bid, the successful Bidder shall execute a completed contract in the sample form
annexed hereto and shall incorporate these Bid documents, and Schuyler County appendices. Upon
acceptance of a Bid and incorporation, references herein to “Bidder” or “Bidders” shall be deemed to also
refer to “Contractor” for purposes of the resulting contract documents.
7 The contract shall commence upon full execution by the legislature or upon such date as indicated in the
contract under “term.”
8 For purposes of “Appendix B, Minimum Insurance Standards for Schuyler County Contracts”, the Bidder
shall be deemed a “Category II” Bidder under the “County Insurance Requirements for All Contractors” and
shall maintain and provide proof of insurance in accordance with said standards, the terms and conditions of
this Bid Document and all appendices.
9 “Prevailing Wage Schedule,” PRC# 2025013456 is annexed hereto and incorporated by reference.
10 The winning Bidder shall coordinate work schedule with the Schuyler County Buildings and Grounds
designee. Arrangements can be made by calling (607)535-8111, Monday through Friday, between 8:00am
and 4:00pm.
11 All services shall be completed within the term of the resulting contract and billed within a reasonable time
thereafter.
12 Schuyler County reserves the right to cancel any contract award at any time by written notice, or in the event
of failure to meet the general conditions of the award by immediate written cancellation, mailed to the
address of the Bidder shown on the Bid documents.
