Dentrix Enterprise Licenses and Care Manager Subscription – Netsmart Technologies, Inc.

DCT intends to revise its agreement with Netsmart Technologies, Inc. (hereinafter “Netsmart”), to expand the scope of products and services provided. The additional products and services are provided by Netsmart for a one-time purchase. The current agreement provides software licensing, subscription services, advanced hosting, user monitoring, security services, and system maintenance of the multi-faceted electronic medical records system (hereinafter collectively “System”) that is used by DCT. The revision is necessary to add licenses for Dentrix Enterprise and a short subscription extension for Care Manager. These additional components assist with integrating patient dental records and communication through the System.

Dentrix Enterprise and Care Manager are two components that make up the System. The original licenses for Dentrix Enterprise were purchased from Netsmart. Due to contractual obligations between Netsmart and Henry Schein One, the owner of Dentrix Enterprise, all additional licenses for Dentrix Enterprise must be purchased through Netsmart for the term of the contract. Similarly, the Care Manager subscription is only provided by Netsmart and is not available from any third-party providers. For these reasons DCT has determined this to be a single source purchase.
