RFP 25-15R MEDICAL DIRECTOR SERVICES
INFORMATION AND INSTRUCTION TO PROPOSERS
Request for Proposals. The City of South Fulton, Georgia, through its Procurement Department,
is soliciting sealed Proposals from qualified firms or individuals to provide Medical Direction
Services for the Fire and Rescue Department in accordance with the requirements, terms,
conditions, and specifications set forth in this Request for Proposals, including all attachments,
appendices, exhibits, and any addenda issued by the City.
Solicitation Method: This solicitation is being conducted in accordance with all applicable
provisions of the City of South Fulton Purchasing Policy, codified in Sec. 1-9001 et seq of the City
of South Fulton Code of Ordinances. By submitting a Proposal in response to this solicitation, each
Proposer represents and warrants that it has reviewed the solicitation documents in their entirety,
understands the City's requirements, and agrees to be bound by all applicable federal, state, and
local laws, ordinances, regulations, and procurement requirements incorporated herein by
reference.
1. Minimum Qualifications: Each Proposer and team member shall have the minimum
experience set forth in this RFP.
2. Certificate of Authority to Transact Business in Georgia: Each Proposer must submit
documentation that demonstrates it is duly authorized to conduct business in the State of
Georgia with its Proposal. This requirement also applies to Joint Venture (JV) Team
Members, Sub-Consultants and Sub-Contractors.
3. Business License: Proposer is requested to submit a copy of its current, valid business
license with its Proposal. If the Proposer is a Georgia corporation, it must submit a current
and valid city of local business license. If the Proposer is a Joint Venture, each member
must provide a valid business license. For non-Georgia corporations, they must submit a
Certificate of Authority to Transact Business in Georgia, along with a copy of their current,
valid business license from their home jurisdiction.
4. Professional Licensure and Credentials: Each Proposer shall submit evidence
satisfactory to the City that the proposed Medical Direction is duly licensed and in good
standing to practice medicine in the State of Georgia and holds all certifications,
registrations, and authorizations required to lawfully perform the services contemplated by
this solicitation, including any DEA registration, ACLS certification, and other
professional credentials expressly required by this RFP. Failure to provide such evidence
may result in the Proposal being deemed non-responsive.

5. No Offer by City and Firm Offer by Proposer: This Solicitation is a Request for
Proposals only and does not constitute an offer by the City. Proposals shall remain firm for
ninety (90) calendar days following the Proposal Submission Deadline.
6. Order of Precedence: In the event of a conflict, ambiguity, or inconsistency among the
Solicitation documents or resulting Contract documents, the following order of precedence
applies, highest to lowest, unless expressly stated otherwise in writing.
6.1 Executed Contract, including all negotiated modifications.
6.2 Addenda issued by the City.
6.3 RFP and all Attachments, Appendices, and Exhibits.
6.4 The Proposer's Technical Proposal.
6.5 The Proposer's Price Proposal
7. Interpretation, Ambiguities: If an ambiguity remains after applying this order of
precedence, the ambiguity shall be resolved in accordance with applicable Georgia law and
the City's procurement authority.
8. Addenda Control: Only a written Addendum issued by the City modifies this Solicitation.
The Proposer is responsible for acknowledging receipt of all addenda and incorporating
requirements into its Proposal.
9. Electronic Signature and Electronic Notices: Electronic signatures and electronic
notices have the same legal effect as wet signatures and hard copy notices, consistent with
applicable State and Federal law. The Proposer is responsible for monitoring the designated
email and platform.
10. Proposal Submission Deadline: Responses to this RFP will be accepted online at
https://www.Proposalnetdirect.com/georgia/cityofsouthfulton until June 11, 2026, by 2:00
PM Eastern Time.
Proposals received after 2:00 PM on the stated deadline shall not be accepted.
11. Proposal Modification and Withdrawal: A Proposer may modify or withdraw its
Proposal before the Proposal Submission Deadline only through BidNet. After the Proposal
Submission Deadline, the Proposals shall remain firm and may not be withdrawn for ninety
(90) calendar days. Unauthorized withdrawal or modification after submission shall result

in disqualification and may impact future eligibility.
12. Non-Mandatory Pre-Proposal Conference: A Non-Mandatory Pre-Proposal Conference
has been scheduled for May 20, 2026, at 1:00 PM Eastern Time, and will be hosted
virtually by our staff and responsible person(s). Statements made during the conference
shall not modify the solicitation unless incorporated into a written addendum issued by the
City.

13. Solicitation Questions/Prohibited Contacts: Any questions and communications
regarding this RFP shall be submitted in writing by logging into
https://www.Proposalnetdirect.com/georgia/cityofsouthfulton on or before May 26, 2026,
by 3:00 PM Eastern Time. Questions received after the designated period may not be
considered. Any response made by the City will be posted online at
https://www.Proposalnetdirect.com/georgia/cityofsouthfulton by addendum. No Proposer
may rely on any verbal response to any question submitted concerning this RFP.
14. Exclusive Means of Clarification and Modification: This Solicitation may be modified
only by a written Addendum issued by the City. No interpretation, clarification,
explanation, oral statement, site discussion, conference statement, or other communication
from any person shall change the Solicitation unless expressly incorporated in a written
Addendum. Proposers rely upon the Solicitation documents and written Addenda at their
own risk and shall not rely upon any oral representation or unofficial communication.
15. Procurement Integrity, No Contact: From issuance of this RFP through final award by
City Council, the Proposer and its representatives shall not communicate regarding this
Solicitation with any City elected official, employee, evaluator, or agent other than the
Procurement Department contact identified in this RFP, unless the City authorizes such

contact in writing. Any attempt to influence the procurement process shall result in
disqualification, at the City's sole discretion, and placement on the ineligible source list.
The Proposer shall report any unauthorized contact to the Procurement Department within
24 hours.
16. Ownership of Proposals: Each Proposal submitted to the City will become the property
of the City, without compensation to a Proposer, for the City's use, in its discretion. The
City shall not be liable for any Proposal preparation costs incurred by Proposers.
17. Georgia Open Records Act and Confidential Materials: All proposals, records, and
materials submitted to the City are subject to the Georgia Open Records Act, O.C.G.A.
50-18-70 et seq. If a Proposer contends that specific information qualifies as a trade secret
or is otherwise exempt from disclosure, the Proposer must clearly mark the specific
information and submit any affidavit or supporting documentation required by applicable
law at the time of proposal submission. The City does not guarantee confidentiality and
will respond to records requests in accordance with applicable law.
18. Confidential Submittals: All materials submitted are subject to disclosure under the
Georgia Open Records Act. If Proposer contends any portion is exempt as a trade secret,
Proposer must submit, at the time of Proposal submission, a specific trade secret affidavit
and clearly mark each page claimed confidential. The City makes no guarantee of
confidentiality and will comply with applicable law.
19. Confidentiality, HIPAA, Data Security, and Breach Notification:
The awarded Proposer shall maintain the confidentiality of all nonpublic City information,
patient care records, quality assurance materials, operational data, clinical records, reports,
and other information received from, accessed through, or generated for the City. The
awarded Proposer shall not use, disclose, copy, transmit, retain, or release such information
except as necessary to perform the services, as authorized in writing by the City, or as
required by law.
To the extent the awarded Proposer receives, creates, accesses, maintains, transmits, or
stores protected health information or other legally protected information, the awarded
Proposer shall comply with all applicable privacy, security, confidentiality, and breach
notification laws, including HIPAA and HITECH to the extent applicable.
The awarded Proposer shall maintain appropriate administrative, technical, and physical
safeguards to protect City information from unauthorized access, use, disclosure,
alteration, loss, or destruction. The awarded Proposer shall notify the City in writing
without unreasonable delay, and in no event later than seventy-two (72) hours after

discovery, of any actual or suspected unauthorized access, disclosure, security incident, or
breach affecting City information.
If required by the City, the awarded Proposer shall execute a Business Associate
Agreement in a form acceptable to the City before accessing protected health information
or performing any service involving protected health information."
20. Sub-Consultants and Manufacturers: Proposers are required to submit, in writing, the
addresses of any proposed Sub-Consultants or equipment manufacturers listed in the
Proposal and may be required to submit other material information relative to proposed
Sub-Consultants. The City reserves the right to disapprove any proposed Sub-consultants
whose technical or financial ability, or resources, or experience are deemed inadequate.
21. Iran Divestment Certification: The Proposer certifies that they are not included on the
Iran Divestment List created under O.C.G.A. 50-5-85.1 and do not participate in
investment activities in Iran's energy sector.
22. Certification Regarding Boycotts of Israel: Proposers certify that they are not currently
engaged in and agree for the duration of the contract not to engage in a boycott of Israel as
defined in O.C.G.A. 50-5-85.1.
23. Record Retention: The Proposer must maintain all records, books, and documents
pertinent to this Agreement for at least five (5) years after completing the Services and
must make them available for inspection upon reasonable request by the City or its auditors.

24. Non-Discrimination: The Proposer agrees not to discriminate against any person based
on race, color, religion, national origin, sex, age, disability, veteran status, sexual
orientation, or gender identity in performing this Agreement.
25. Examination of Proposal Documents:
25.1 Each Proposer is responsible for examining with appropriate care the complete RFP
and all Addenda and for informing itself with respect to all conditions which might

in any way affect the cost or the performance of any Services. Failure to do so will be
at the sole risk of the Proposer, who is deemed to have included all costs for
performance of the Services in its Proposal.
25.2 Each Proposer shall promptly notify the City in writing should the Proposer find
discrepancies, errors, ambiguities, or omissions in the solicitation documents, or
should their intent or meaning appear unclear or ambiguous, or should any other
question arise relative to the RFP. Replies to such notices may be made in the form
of an addendum to the RFP, which will be issued simultaneously to all potential
Proposers. No oral responses are binding on the City.
25.3 The City may in accordance with applicable law, by Addendum, modify any provision
or part of the RFP at any time prior to the Proposal due date and time.
25.4 Each Proposer must confirm that all Addenda have been received and acknowledge
receipt by executing the Acknowledgment of Addenda form provided with each
Addendum.
25.5 The City may waive any technicalities and formalities in this solicitation.
Additionally, the City reserves the right to cancel the RFP in its entirety.
25.6 The City of South Fulton may disqualify Proposals as a result of, but not necessarily
limited to, the following reasons:
25.6.1 Failure to follow the City of South Fulton's Proposal schedule;
25.6.2 Failure to return applicable compliance and/or specification sheets;
25.6.3 Failure to return applicable Addenda;
25.6.4 Failure to provide information on alternates or equivalents, when allowed;
25.6.5 Failure of Proposer to sign all requested documents;
25.6.6 Failure to submit Proposal by deadline;
25.6.7 Failure to hold firm pricing;
25.6.8 Prices for services that exceed the department's budgeted amount allowed for
those items;

25.6.9 A Proposal which is non-responsive; and/or
25.6.10 A Proposal submitted by a Person whose pending litigation, claims history,
adverse findings, or demonstrated conduct presents a material risk to the City's
interests, procurement integrity, or the Proposer's responsibility, as determined
by the City based on documented facts and applicable law.
26. Award and Execution of Contract: A Notice of Intent to Award, recommendation of
award, or Council action authorizing award does not constitute a binding contract and does
not authorize performance.
26.1 No Contract shall exist unless and until the contract is fully executed by all required
parties and, where applicable, all required bonds, insurance certificates,
endorsements, affidavits, and other post award documents have been received and
accepted by the City.
26.2 In the event the City awards a contract pursuant to this Proposal, the City shall prepare
and transmit to the Proposer an unsigned contract for execution, substantially in the
form of the draft contract included in this RFP. The City reserves the right to modify
the contract to incorporate the Proposer's Proposals, Scope of Services, and Cost
Forms.
26.3 Upon City Council approval of the award, the City shall provide the Proposer with
an unsigned contract through Adobe Sign or another City-approved electronic
signature platform. The Proposer must execute and return the contract, along with all
required Insurance Certificates and any additional documentation specified in this
RFP (see Appendix A, 'Post Notice of Intent to Award Submittals') or requested by
the City, within ten (10) calendar days, unless extended in writing by the City. Failure
to comply shall result in withdrawal of the award, forfeiture of Proposal security (if
applicable), and award of the contract to the next lowest responsive and responsible
Proposer.
27. Illegal Immigration Reform and Enforcement Act: This RFP is subject to the Illegal
Immigration Reform and Enforcement Act of 2011 (Act), formerly known as the Georgia
Security and Immigration Compliance Act. Pursuant to Act, the Proposer must provide with
its Proposal proof of its registration with and continuing and future participation in the E-
Verify Program established by the United States Department of Homeland Security.
