NOTICE TO DEALERS/VENDORS

Any prices bid by dealer/vendor on any items offered to the City of Valdosta shall be the
price effective at the date of delivery.

No delivery date of "ASAP" (As Soon As Possible) shall be considered acceptable on items
that have a maximum delivery date listed in the specifications.

The City of Valdosta reserves the right to accept alternate bids on any or all items where
maximum delivery date, as listed in the specifications, is not met by dealer/vendor.

All shipping is to be FOB Valdosta, GA 31601 and included in total price unless otherwise
stated in the bid document.

GENERAL SPECIFICATIONS

It is the intent of these specifications to furnish the City of Valdosta with the following
requisitioned equipment, according to the attached. It is clearly understood that the following are
minimum specifications and are made in order to show the exact quality through specifications of
the equipment proposed.

The City of Valdosta reserves the right to accept any or all bids or to choose the bid considered to
be in their best interest.

The final decision of purchase will be made upon the award of the City of Valdosta Mayor and
Council if the item or items total are greater than $25,000.

Cooperative Procurement

By signing this bid package, Vendor agrees it will permit piggyback purchases to this
bid/contract for other government entities where governmental discounts apply such as city,
county, local authorities, agencies, non-profits, boards of education, or other governmental
agencies not listed offering the same prices, terms, and conditions offered to the City of
Valdosta. Piggybacking shall only be available where competition was used to secure the
contract and only for a period of 12 months following award date, or during renewals or
extension periods of the contract. Also, the piggybacking will only be for the item(s) in the
original bid/quote as they are specified with the exception of very minor changes. Changes such
as engine size, pump size, different body style, etc. will not be allowed. This provision shall not
apply to any contract where otherwise prohibited or mandated by state law.

NO BID WILL BE CONSIDERED IF RECEIVED AFTER THE DATE AND TIME
SPECIFIED.

INSTRUCTIONS TO BIDDERS

Proposals must be made upon the form of the proposal attached hereto. They must be enclosed in
a sealed plain envelope, with the bid number written on the outside and endorsed with the title of
the proposal, and must be filed with the Purchasing Agent of the City of Valdosta, located at 216
E. Central Ave 2nd floor. In the event you choose to mail your proposal, it should be mailed to
Teresa Davis, P.A., P.O. Box 1125, Valdosta, Ga. 31603.

No bidder will be allowed to withdraw his proposal for any reason whatsoever after the
bids have been opened.

The specifications represent the minimum general size, weight, capacity and performance
characteristics desired in the equipment to be purchased. These requirements are not
intended to prevent obtaining fair prices or to eliminate competition, but to insure, if
possible, that all bids submitted shall not be subject to correction or alteration after the bid
has been filed, opened, and publicly read. In view of an unusual wide disparity in details
of design and manufacture, complete descriptive literature and manufacturer specifications
must be submitted on each type of equipment offered. The City of Valdosta reserves the
right to evaluate any or all bids, particularly where there is a range in specifications. Special
consideration will be given to the ready availability of repair parts and service.

Federal or State taxes are not applicable to Georgia Municipalities under the United States
Code Title 26 and Georgia Exemption Certificate Number 3-465-686-300-1.

It is expressly understood by the bidder that written notice of the award or purchase order
by the City of Valdosta will constitute an agreement and consummate the transaction and
will serve together with the proposal, the advertisement, these instructions and the detailed
specifications, as the entire form of contract between the parties.

The bidder agrees that the City of Valdosta reserves the right to reject any or all proposals,
or to accept the part of the bid considered to be in the best interest of the City.

Specifications referred to minimum, therefore unless otherwise indicated by the bidder, the
City will assume proposals meet or exceed all specifications.

The names ofa certain brand, make or definite specifications are to demote quality standard
of the article desired, but do not restrict bidders to be specific brand, make or manufacturer
named; it is to set forth and convey to prospective bidders the general style, type, character
and quality of the article desired.

The award of the contract will be made to the lowest responsible bidder taking into consideration
quality performance and the time specified in the proposals for the performance of the contract.
The City of Valdosta reserves the right to reject all bids as appears in its own best interest and to
waive technicalities. In cases of a tie, the bid in the best interest of the City will be awarded.

SEMI-AUTOMATED REFUSE CONTAINERS
AGREEMENT

The City of Valdosta is accepting proposals for semi-automated refuse containers. Generally, the
City will order 400-500 containers at a time, two or three times a year. The City reserves the
right to order fewer than 400 if necessary. The City currently has a roll out container program in
place and the new containers will be used as replacements and newly arrived residents.
MANDATORY A SAMPLE CART MUST BE MAILED TO 1017 Myrtle Street Valdosta, Ga.
31601. If you have already mailed a sample with he first bid you will not need to mail another.

Following are detailed specifications of the type of roll out container desired by the City. Bidders
are requested to answer each question in the specification. Failure to do so can result in your bid
being rejected if deemed necessary by the Purchasing Agent. Furthermore, the city reserves the
right to verify each response given by each bidder. If the answer provided is found to be
incorrect or misleading, the bid can be deemed non-responsive.

Bidders must submit a list of exceptions, if any, and if more space is needed, list the deviations
on a separate page entitled "EXCEPTIONS" referencing the section and specification number on
company letter-head. It is understood that the bidder's price shall include delivery for each roll
out and figured into individual container pricing. They City will not pay any additional fuel or
delivery surcharges at any time during the contract period. The City does not guarantee any
quantities stated in this invitation to bid.

The successful bidder will agree to contract beginning after Mayor and Council approval
(anticipated July 1, 2026 start date or as soon after as possible) and ending on June 30, 2027
(two-year period) in which the profit margin over resin cost will not increase. The City reserves
the right to renew the contract for (4) four, additional (1) one-year periods if both parties are
agreeable and profit and delivery margin above resin costs does not increase. The Invitation to
Bid will be used as the binding contract document. The City reserves the right to cancel this
contract with thirty days written notice for any reason the City deems necessary without approval
from the successful contractor. If the contractor fails to perform under the terms and condition of
this contract and the contract is cancelled, the contractor will be removed from the City of
Valdosta bid list for a period of 10 years if deemed appropriate.

The proposed containers must meet all Federal, State, Local and any other issued guidelines that
are pursuant to collection for solid waste handling equipment. Contractor shall follow standard
practice and procedures acceptable within the field of solid waste handling in the construction,
delivery, and performance of the refuse containers.

AGREEMENT

It is the intent of these specifications to furnish the City of Valdosta with Brand New Semi-
Automated 95 Gallon Roll-Out Refuse Carts. These are minimum specifications and all
deviations should be marked. Please return the marked deviations along with your proposal to
this office.

GENERAL
Insurance and Indemnification

1) All insurance requirements apply to both the awarded contractor and all
subcontractors. The City must be listed on all forms as an additional insured except for
Workman' s Compensation Policies. All insurance forms must be submitted with the signed
bid document.

2) All coverage shall be with AM Best's rated A or better Insurance Companies only
authorized to do business in the State of Georgia. As evidence of such authorization, the
contractor shall submit with the insurance documents a copy of the Certificate of Authority
for each named provider.

3) All insurance submitted by the awarded contractor is subject to approval by the City
and must remain in full force for the duration of the contract. The contractor shall not
take any action under this contract until such approval is given by the City.

4) No acceptance and/or approval of any insurance by the City shall be construed as
relieving or excusing the Contractor or the contractor's surety from any liability or
obligation imposed upon either or both of them by the provisions of this contract.

5) All insurance policies subject to cancellation, non-renewal, or material reduction in
coverage shall be endorsed to provide written notice to the City no less than (30) thirty
days prior. The phrases "endeavor to" and "...but failure to mail such notice shall impose
no obligation or liability of any kind upon the insurer, its agents or representatives" are
to be eliminated from the cancellation provision or standard ACORD certificates of
insurance.

6) The contractor must disclose any policy or coverage with deductibles of
$5,000.00 or more.

) The dollar amounts listed are minimum limits. These limits and all insurance requirements
stated in this section are subject to any additions, deletions or revisions stated in the
Detailed Specifications.

a) Commercial General Liability Insurance or its equivalent for bodily injury, personal
injury and property damage including loss of use with the minimum limits of:

iii Uninsured/Underinsured motorist coverage at a limit no less than
statutory limits

c) Excess/Umbrella Insurance or its equivalent with minimum limits of:
i $1,000,000 per occurrence
ii $1,000,000 aggregate for other than products/completed operations and auto
liability
iii$1,000,000 products/completed operations aggregate

d) Workers Compensation Insurance_or its equivalent with statutory benefits as required
by any state or Federal law:

i $500,000 each accident for bodily injury by accident

ii$500,000 each employee for bodily injury by disease

iii$500,000 policy limit for bodily injury by disease

8) Bidder shall indemnify and hold harmless the City, the Mayor, Council, all employees
and professionals under contract harmless from and against all claims, suits or actions, and
damages or costs of every name and description to which the City may be subjected or
put by reason of injury to the person or property of another, or the property of the City, resulting
from negligent acts or omissions on the part of the contractor, the contractor's agents,
servants or subcontractors in the delivery of goods and services, or in the performance of the
work under this contract.

MATERIAL
1) The containers and plastic container components shall be made using hot

compounding and only injection molded process. Must be UV stabilized
for maximum protection no less than .5%

2) The container must be manufactured from virgin high density
polyethylene plastic that is 100% recyclable after the useful life has
occurred.

3) Bidder shall include an agreement to buy back resin at the end of the

useful life of the container as well as any other existing containers at
current market value. Please include program information with
pricing.

The container shall be designed to be dumped by both semi-automated
and fully-automated truck systems.

The container must be stable and self-balancing when in the upright
position either loaded or empty.

The empty container shall remain upright when the lids is opened or
released from an upright position.

The body of the container shall have a 1/2" min. we will accept % if
durable material molded-in wear strips to withstand abrasion and wear
associated with street contact during moving and lifting. Add-on wear
pads or abrasion strips that are concaved at the inside bottom of the
container are not acceptable.
