Region 20 Purchasing Cooperative will accept proposals for the purchase of Microcomputers, Peripherals, Office
Equipment, and Software Products, # ETC 23022C, as per the attached specifications, terms and conditions.
Proposals will be accepted at the office of Jim Metzger, Region 20 Purchasing Cooperative until 2:00 p.m. Thursday,
June 4, 2026, at which time they will be opened and tabulated for approval by the Executive Committee of the Region
20 Cooperative. Proposals must be plainly marked on the outside of the envelope: SEALED PROPOSAL #ETC

Faxed Proposals will not be considered. By submitting a proposal, vendor certifies to the best of his/her knowledge
that all information is true and correct. All proposals must be sealed and received prior to scheduled opening time at

Proposals must be submitted on the forms provided or proposal may be rejected. Only proposals received by the date
and time specified will be considered. Vendors are invited to be present at the opening of the proposals to be held at
ESC-20, Conference Center Building, 1314 Hines Avenue, on the above date. PRICE, QUALITY, AND
SUITABILITY: It is not the policy of Region 20 Purchasing Cooperative to purchase on the basis of low price alone,
quality and suitability to purpose are taken into consideration. Quote largest possible discounts after all term discounts
have been deducted.
Vendors who do not quote are requested to submit a "notice of no bid on proposal" to Region 20 Purchasing
Cooperative, in writing if they wish to receive future proposals. Failure to do so may result in their being deleted from
our vendor list. Proposals marked "subject to price change" or "price in effect on date of delivery" will not be
considered.

vendors must complete GENERAL INFORMATION - RESPONDING VENDOR section, ratify with original
signature on appropriate line, and return with proposal or proposal may be considered non-responsive.
* DEVIATION FROM PROPOSAL SPECIFICATIONS: Deviations and exceptions from terms, conditions or
specifications shall be described fully, on the vendor's letterhead, manually signed by vendor or authorized
delegate, and attached to the Proposal. Notice of such attachment must be indicated on the Deviation/Compliance
Section of the proposal document. (Page 80). Vendors must list all specifications for item(s) quoted that may differ
from any specifications/brands listed in proposal.
* In the absence of such statements, the vendor shall be held liable and the proposal will be accepted in strict
compliance with all terms, conditions and specifications. Vendors are cautioned to avoid making deviations and
exceptions to these specifications which may result in rejection of their proposal. The Executive Committee of the
Region 20 Purchasing Cooperative will be the sole judge to determine if deviations are acceptable in meeting the
needs of Region 20 Purchasing Cooperative members.

* By April 15th of each year Region 20 Purchasing Cooperative must receive a purchased velocity history
report listing the total dollar volume purchased for all co-op members. The total purchases (in dollars) from
September 1st through March 31st for all member districts must be included. This information will be used to
give Region 20 Purchasing Cooperative, its members and vendors a better picture of our purchasing
environment.

TERMS AND CONDITIONS OF INVITATIONS FOR PROPOSALS
Read Carefully
1. GENERAL CONDITIONS
Vendors are required to submit proposals under the following express conditions:
a) All contracts and agreements between vendors and Region 20 Purchasing Cooperative participating members
shall strictly adhere to the statutes as set forth in the Uniform Commercial Code as last amended in 1990 by
the American Law Institute in the National Conference of Commissioners on uniform state laws. Reference:
Uniform Commercial Code, 1990 Official Text, 2/Sales.
b) Vendors are advised that Region 20 Purchasing Cooperative contracts are subject to all legal requirements
provided for in the Texas Senate Bill 1, Subchapter B, Section 44.031 and/or applicable state and federal
statutes. Any proposal after being awarded becomes subject to the Open Records Act, Article 6252-17a
VTCS.
c) All parties agree that venue for any litigation arising from this contract shall lie in San Antonio, Bexar County,
Texas.
d) Region 20 Purchasing Cooperative reserves the right to extend purchasing contracts to all qualified school
districts including Regional Service Centers under subchapter B. General Inter-local Contracting Authority
791.011. Definition of school districts may be found in section 271.003 subsection (9) of the Texas Law
Bulletin. Each school district is responsible for approval of contracting authority by order of a duly authorized
resolution adopted by each participating entity. Vendors will be contacted by the Region 20 Purchasing
Cooperative as to which school districts or Regional Service Centers have recently joined the Region 20
Cooperative. Each vendor is then requested to extend all proposal prices to the new member(s) on contracts
that are currently in force. This will result in additional quantities of some items.
e) Patented or copyrighted protected items: Vendor agrees to protect Region 20 Purchasing Cooperative from
recourse and all claims arising from rights under patent, copyright, trademark or application infringement.
f) Failure of Region 20 Purchasing Cooperative to insist upon strict performance of any of the terms and
conditions hereof, or failure or delay to exercise any rights or remedies provided here in or by law or to properly
notify successful vendor in the event of breach, or the acceptance of or payment for any goods hereunder shall
not release successful vendor from any of the warranties or obligations or any purchase order, contract or
service agreement, and shall not be deemed to waiver any right Region 20 Purchasing Cooperative to insist
upon strict performance hereof or any rights or remedies as to any such goods, regardless of when shipped,
received or accepted, or as to any prior or subsequent default hereunder; nor shall any purported oral
modification or recession of a purchase order, contract or service agreement by Region 20 Purchasing
Cooperative operate as a waiver of any of the terms hereof.
g) New products or products in the same commodity class, not covered in the original proposal, may be added
to this contract under equal pricing terms and conditions at the discretion of Region 20 Cooperative.
h) Substitutions are not acceptable without prior approval of Region 20 Cooperative. Unauthorized substitutions
may delay payment of invoices and shipper shall be required to pick up incorrect items. Region 20 Purchasing
Cooperative shall not under any circumstances accept outdated materials, old stock, or obsolete products. If
items under contract are discontinued or become unavailable from any manufacturer during the duration of the
contract, Region 20 Purchasing Cooperative reserves the right to accept or reject substitutes, and in the case
of rejections Region 20 Purchasing Cooperative may cancel the item or items in question.
i) Equipment must be new with original manufacturer warranty and packaging. Individual packaging shall be
labeled showing the name of the manufacturer, brand name, name of product, quantity of contents and
complete directions for use. Labels and labeling shall conform to all federal regulatory requirements for
goods in interstate commerce and containers shall meet DOT requirements. Shipping packaging/cases shall
be marked to show name of supplier, name and address of receiving agency and agency purchase order
number, and must be delivered with material safety data sheets where required.

j) It is understood and agreed that Region 20 Purchasing Cooperative reserves the right to make minor
modifications to conditions of this proposal due to unforeseen circumstances, by mutual agreement with
selected supplier, both at the time of acceptance of the quotation offer as so modified, and subsequent thereto.
k) Region 20 Purchasing Cooperative reserves the option to purchase by other means bulk quantities of any items listed in
the proposal or catalog when determined to be in the purchaser's best interest and will be the sole judge as to both "bulk
quantities" and the "purchaser's best interest".
l) This proposal is effective for one year from September 1, 2026 to August 31, 2027.
If the product and/or service provided are not satisfactory to Region 20 Purchasing Cooperative, this agreement can be
terminated at any time upon a 30-day written notice.
m) TERMINATION FOR CONVENIENCE. Either party to this agreement may terminate this agreement upon 30 days
written notice of such termination.
n) TERMINATION FOR CAUSE. The District may at its option immediately terminate this agreement by giving 30 day
written notice of termination to the Contractor on the occurrence of any of the following.
(a) The willful breach of this Agreement by the Contractor in the course of engagement, unless by the District.
(b) The habitual neglect by the Contractor of its duties, unless waived by the District.
o) The Contractor may at its option immediately terminate this agreement by giving written notice of termination to the
District on the occurrence of any of the following.
p) KICKBACKS. It is a breach of ethics for any payment, gratuity or offer of employment to be made by or on behalf of a
subcontractor under a contract to the prime contractor or higher tier subcontractor for any contract of a school district,
or any person associated therewith, as an inducement for the award of a subcontract or order.
q) RIGHTS TO INVENTIONS. The Contractor agrees to be compliant with the Rights to Inventions
Made by Nonprofit Organizations and Small Business Firms Under Government Grants and Contracts.
r) CLEAN AIR ACT AND THE FEDERAL WATER POLLUTION CONTROL ACT. The Contractor agrees to
be compliant with the Clean Air Act and the Federal Water Pollution Control Act and their implementing regulations.
s) ENERGY POLICY AND CONSERVATION ACT. The Contractor agrees to be compliant with the Energy Policy and
Conservation Act pertaining to mandatory standards and policies relating to energy efficiency contained in the state
energy conservation plan.
t) DEBARMENT OR SUSPENSION. The Contractor certifies that neither they nor their subcontractor is debarred or
suspended from receiving federal funds.
u) LOBBYING CERTIFICATION AND DISCLOSURE OF LOBBYING (BYRD ANTI- LOBBYING
AMENDMENT). The Contractor certifies that it has not and will not use any federal funds to lobby. If non-
federal funds are used to lobby, the contractor must complete the Disclosure of Lobbying and forward the disclosure to
the next tier, who must forward it through each tier to the federal awarding agency.
v) COPYRIGHT. All contracts paid from state or federal grants administered by TEA must retain copyright for the Texas
Education Agency (TEA) and for the federal government (if a federally funded contract) unless otherwise negotiated in
writing with TEA. Pursuant to the provisions in 2 CFR 200.315, title to intangible property vests in the District as
long as such property is used for authorized purposes. However, TEA and the federal awarding agency reserve a
royalty-free, nonexclusive and irrevocable right to reproduce, publish, or otherwise use the work for federal purposes,
and to authorize others to do so.
w) SOLID WASTE DISPOSAL ACT AND ITS IMPLEMENTING REGULATIONS. The Contractor certifies that it is
compliant with section 6002 of the Solid Waste Disposal Act and its implementing regulations. 2 CFR 200.323.
x) PROFIT AS A SEPARATE ELEMENT OF PRICE. For purchases using federal funds in excess of $250,000, a
Cooperative member may be required to negotiate profit as a separate element of the price; 2 CFR 200.324.
y) EQUAL EMPLOYMENT OPPORTUNITY. 41 CFR 60-1.4(b) is hereby incorporated by reference.
z) DAVIS-BACON ACT. For all Cooperative member prime construction contracts/purchases in excess of $2,000,
vendor shall comply with the Davis-Bacon Act (40 USC 3141-3144, and 3146-3148) as supplemented by Department
of Labor regulations (29 CFR Part 5). Vendor further agrees to that it shall also comply with the Copeland "Anti-
Kickback" Act (40 USC 3145), as supplemented by Department of Labor regulations (29 CFR Part 3).

aa) CONTRACT WORK HOURS AND SAFETY STANDARDS ACT. For all contracts or purchases in excess of
$100,000 that involve the employment of mechanics or laborers, vendor agrees to comply with 40 USC 3702 and 3704
as supplemented by Department of Labor regulations (29 CFR Part 5).
bb) Compliance with Texas Government Code 2252 and 2270 - I, the vendor, am in compliance with all applicable
provisions of Government Codes 2252 & 2270. This code requires vendors agree to NOT boycott Israel or do business
with companies that boycott Israel. In addition vendor cannot do business with Iran, Sudan or a known terrorist
organization. By submitting a response to the proposal, vendor certifies compliance with this code.
cc) NON-COLLUSION STATEMENT. The vendor affirms that he/she *is duly authorized to execute a contract, that this
company, corporation, firm, partnership or individual has not prepared this proposal in collusion with any other
Proposer, and that the contents of this proposal as to prices, terms or conditions of said proposal will not be
communicated by the undersigned nor by any employee or agent to any other person engaged in this type of business
prior to the official opening of a proposal. The proposer also affirms that they have not given; offered to give, do not
intend to give at any time hereinafter any economic opportunity, future employment, gift, loan, gratuity, specified
discount, trip, favor, or service to a private service in connection with this contract.
dd) RECORD RETENTION. When federal funds are expended by Cooperative and all Cooperative members for any
contract resulting from this procurement process, the vendor certifies that it will comply with the record retention
requirements detailed in 2CFR 200.334. The vendor further certifies that vendor will retain all records as required by
CFR 200.333 for a period of three years after grantees or sub grantees submit final expenditure reports or quarterly or
annual financial reports, as applicable, and all other pending matters are closed.
ee) BUY AMERICAN ACT. Vendor certifies that vendor is in compliance with all applicable provisions of the Buy
American Act. Purchases made in accordance with the Buy American Act must still follow the applicable procurement
rules calling for free and open competition.
ff) BAN ON FOREIGN TELECOMMUNICATIONS - Code 200.216 prohibits use of Federal funds to purchase
equipment, services or systems that uses equipment or services from Huawei Technologies Company or ZTE
Corporation or any subsidiary or affiliate of such entities. This also includes video surveillance and telecommunications
equipment produced by Hytera Communications Corporation, Hangzhou Hikvision Digital Technology Company, or
Dahua Technology Company or any subsidiary or affiliate of such entities.
gg) LEGAL REMEDIES. Contracts for more than the simplified acquisition threshold currently set at $250,000 which is the
inflation adjusted amount determined by the Civilian Agency Acquisition Council and the Defense Acquisition
Regulations Council (Councils) as authorized by 41 U.S.C. 1908, must address administrative, contractual, or legal
remedies in instances where contractors violate or breach contract terms, and provide such sanctions and penalties as
appropriate. Pursuant to Federal Rules (A) above, when federal funds are expended by Cooperative and all Cooperative
members, Cooperative and all Cooperative members reserves all rights and privileges under the applicable laws and
regulations with respect to this procurement in the event of breach of contract by either party.
2. PREPARATION OF PROPOSALS
Proposals will be prepared in accordance with the following:
a) Vendors shall make all investigations necessary to thoroughly inform themselves regarding plant and facilities
for delivery of material and equipment as required by the proposal conditions.
b) An original signature must appear on all appropriate lines of the proposal or proposal may be considered non-
responsive.
c) To expedite evaluation, a listing of web catalog address) from which price will be determined for all sections
must accompany the proposal.
d) PROPOSALS MUST BE MADE ON THE ENCLOSED PROPOSAL SHEETS or proposal may be considered
non-responsive. All information required by the proposal form shall be furnished.
e) Proposed delivery time must be shown unless specified otherwise in the Proposal.
f) Vendors will not include federal taxes nor State of Texas limited sales, excise or use taxes in proposal prices
since the Region 20 Purchasing Cooperative members are exempt from payment of such taxes. An exemption
certificate will be signed where applicable upon request.

g) Vendors must guarantee that items proposed in conjunction with other equipment and/or software will work
properly without damaging it.
h) Deviations and exceptions from terms, conditions or specifications shall be described fully, on the vendor's
letterhead, manually signed by vendor or authorized delegate, and attached to the Proposal. Notice of such
attachment must be indicated on the Signature Page, Deviation or Compliance Notification & Felony
Notification Section of this proposal document (Page 78 ). Vendors must list all specifications for item(s)
quoted that differs from any specifications/brands listed in the proposal. In the absence of such
statements, the proposal will be accepted as in strict compliance with all terms, conditions and specifications
and the vendor shall be held liable. Vendors are cautioned to avoid making deviations and exceptions to the
specifications that may result in rejection of their proposal. Region 20 Purchasing Cooperative will be the sole
judge to determine if deviations are acceptable in meeting the needs of Region 20 Purchasing Cooperative
participating members.
i) The failure to adhere to accepted proposals will be deemed-reason for canceling purchase commitments and
for not accepting future proposals from defaulting contractors.
j) The transfer or assignment of contracts is prohibited.
k) All delivery charges and freight are included in proposal prices.
l) Some orders may require special handling or delivery to another location. These will be negotiated with the
vendor(s) awarded, i.e. individual packaging, multiple deliveries, palletizing, and delivery location.
m) Region 20 Purchasing Cooperative reserves the right to award to multiple or to primary and secondary
suppliers.
n) Award information will be furnished to all Region 20 Purchasing Cooperative members.
o) This proposal shall be awarded to the successful Vendor(s) by confirmation letter. Contracts for purchase
shall be put into effect by means of purchase order(s) executed by Region 20 Purchasing Cooperative
members after this proposal has been awarded.
p) Certificate of Interested Parties (Form 1295 - must be filled out electronically with the Texas Ethics
Commission's online filing application, printed out, signed, and returned)
ESC, REGION 20 is required to comply with House Bill 1295, which amended the Texas Government Code
by adding Section 2252.908, Disclosure of Interested Parties. Section 2252.908 prohibits ESC, REGION 20
from entering into a contract resulting from this RFP with a business entity unless the business entity submits
a Disclosure of Interested Parties (Form 1295) to ESC, REGION 20 at the time business entity submits the
signed contract. The Texas Ethics Commission has adopted rules requiring the business entity to file Form
1295 electronically with the Texas Ethics Commission. The following definitions apply:
(1) "Business Entity" means an entity recognized by law through which business is conducted, including a
sole proprietorship, partnership, or corporation. TEX. GOV'T CODE 2252.908(1).
(2) "Interested Party" means a person:
a) who has a controlling interest in a business entity with whom ESC, REGION 20 contracts; or
b) who actively participates in facilitating the contract or negotiating the terms of the contract, including
a broker, intermediary, adviser, or attorney for the business entity. TEX. GOV'T CODE 2252.908(3).
(3) "Controlling interest" means:
a) an ownership interest or participating interest in a business entity by virtue of units, percentage, shares,
stock, or otherwise that exceeds 10 percent;
b) membership on the board of directors or other governing body of a business entity of which the board
or other governing body is composed of not more than 10 members; or
