SOLICITATION PURPOSE: The City of South Fulton is soliciting
sealed bids from qualified bidders for the purchase, delivery, standard
manufacturer warranty, and standard manufacturer accessories for
building and site scanner equipment meeting the minimum specifications
stated in Attachment A. This solicitation is for goods only. Except as
expressly stated in Attachment A, the solicitation does not include
professional services, scanning services, surveying, point cloud
registration, BIM modeling, CAD drafting, digital twin production, UAV
flight services, hosted software implementation, or consulting services.

INFORMATION AND INSTRUCTIONS TO BIDDERS
1. Invitation to Bids: This Invitation to Bid ITB, 26-22, is issued by the City of South Fulton
for qualified bidders to furnish and deliver building and site scanner equipment and
standard manufacturer accessories in accordance with the specifications in Attachment A.
The term "Work" for purposes of this ITB means furnishing, delivery, assembly if required
by the manufacturer, standard manufacturer startup materials, warranty documentation,
and related incidental obligations expressly stated in this ITB.
2. Definition of Work: For purposes of this ITB, 'Work' means furnishing, delivery,
unloading, assembly, only if required by the manufacturer for initial operation, operational
testing only to confirm equipment operability, provision of manuals, and delivery of
warranty documentation. Work does not include professional scanning services, surveying,
point cloud registration, data processing, BIM modeling, CAD drafting, digital twin
production, hosted software implementation, or consulting services.
3. Solicitation Method: This solicitation is being conducted in accordance with all applicable
provisions of the City of South Fulton Purchasing Policy, codified in Sec. 1-9001 et seq of
the City of South Fulton Code of Ordinances. By submitting a Bid in reference to this
solicitation, a Bidder acknowledges that it is familiar with all laws applicable to this
solicitation, including, but not limited to, the City's Code of Ordinances, which rules are
incorporated into this ITB by reference.
4. Minimum Qualifications: Each bidder must be regularly engaged in the business of
supplying the equipment offered, must be authorized by the manufacturer to sell and
support the offered equipment, and must demonstrate the ability to provide the required
warranty, parts availability, and delivery. The City may deem a bidder non-responsible if
the bidder fails to demonstrate financial capacity, manufacturer authorization, satisfactory
performance history, or the ability to perform the contract requirements.
5. Certificate of Authority to Transact Business in Georgia: Each Bidder must submit
documentation that demonstrates it is duly authorized to conduct business in the State of
Georgia with its Bid. This requirement also applies to Joint Venture (JV) Team Members,
Service Providers, and Sub-Contractors.
6. Business License: Bidder must submit a copy of their current, valid business license with
the Bid. If the Bidder is a Georgia corporation, they must also submit a valid City or County
business license. If the Bidder is a joint venture, each joint venture member must hold a
valid business license. Suppose the Bidder is not a Georgia corporation. In that case, they
need to provide a Certificate of Authority to Transact Business in Georgia along with a
current, valid business license from their home jurisdiction.

7. Manufacturer Authorization. Each bidder shall submit documentation showing that it is
the manufacturer, an authorized reseller, or an authorized distributor of the equipment
offered. If warranty service is to be provided through a third party, bidder shall identify
that party and provide evidence of authorization.
8. Permits and Regulatory Compliance. Bidder shall be responsible for any permits,
approvals, or transportation compliance requirements applicable to the delivery of the
equipment. Bidder shall comply with all applicable federal, state, and local laws governing
the manufacture, sale, transport, and warranty of the equipment furnished under this ITB.
9. No Offer by City and Firm Offer by Bidder: This ITB is an invitation for bids only and
does not constitute an offer by the City. Each submitted bid constitutes a firm offer by the
bidder and shall remain irrevocable for ninety days after the bid deadline, except as
otherwise permitted by this ITB or applicable law.
10. Bid Duration: Bids submitted in response to this ITB must be valid for a period of Ninety
(90) calendar days from the Bid Submission Deadline and must be marked as such.
11. Bid Submission Deadline: Responses to this ITB will be accepted online at

made at the conference are informational only and are not binding. Only a written
addendum issued by the City may modify this ITB.
13. Solicitation Questions/Prohibited Contacts: All questions and communications

should rely on any verbal response to questions regarding this ITB. Any communication
concerning this solicitation outside the channels expressly authorized in this ITB may be grounds
for disqualification if the City determines that the communication undermined the fairness or
integrity of the procurement process.
13.1 Addenda Issuance and Cutoff: The City may issue written Addenda through
BidNet Direct at any time prior to the Bid Submission Deadline, Bidders are
responsible for monitoring BidNet Direct, downloading Addenda, and
acknowledging receipt as required by the solicitation, If the City determines an
Addendum is material, meaning it reasonably could affect price, scope, schedule, or
risk allocation, the City will extend the Bid Submission Deadline by written notice
through BidNet Direct, Oral statements, site remarks, and informal communications
do not modify the solicitation.

14. Local Bidders Preference Administration: Any local Bidder preference will be applied
only if and exactly as authorized by the City Code of Ordinances and applicable law, The
preference is for evaluation purposes only and does not change contract payment amounts,
A Bidder claiming a local preference shall submit with its Bid, a current City business
license, the physical address of its principal place of business within City limits, and an
affidavit certifying the address is the Bidder's principal place of business, The City may
verify eligibility and may deny the preference if documentation is incomplete, inaccurate,

Litigation and Claims Disclosure Each Bidder shall disclose material litigation, claims,
arbitrations, or governmental enforcement actions during the past five years that could
reasonably affect the Bidder's ability to supply the equipment, honor warranty obligations,
or perform the contract. The City may consider such matters only to the extent they bear
on bidder responsibility.

15. All Bidders, and/or representatives of Bidders, seeking an award of a City of South
Fulton Contract may not initiate or continue any verbal or written communications
regarding a solicitation with any City Officer, Elected Official, Employee or other City
representative other than the Department of Finance & Administrative Services employee
named in the solicitation, between the date of the issuance of the solicitation and the date
of the final Contract award by City Council, unless specified otherwise herein.
Attempting to influence the outcome of any Contract given before a recommendation of
award to the City Council is prohibited. The Director of Finance & Administrative Services
will review alleged violations of this prohibition. Suppose the Director of Finance &
Administrative Services determines that such a communication has compromised the
competitive process. In that case, the Bid submitted by that Bidder may be disqualified
from consideration for award, and that Bidder may, among other things, be placed on the
ineligible source list.
Violations of this prohibition may also be subject to prosecution under federal, state, or
local laws. City of South Fulton Employees, Officials, and their family members are
prohibited from seeking, requesting, or receiving any material payment, gift, job offer,
security, promise of future benefit, or any other tangible or intangible thing of value when
such receipt has the potential to influence a procurement decision or to gain unfair
advantage in a procurement competition, and as outlined in Sec. 1- 9004 (d) of the City of
South Fulton Code of Ordinances and all other applicable policies.
Ownership of Bids: Each Bid submitted to the City will become the property of the
City, without compensation to a Bidder, for the City's use, at its discretion. The City
must not be liable for any Bid preparation costs incurred by Bidders.
16. Litigation and Claims Disclosure: Each Bidder shall disclose material litigation, claims,
arbitrations, or governmental enforcement actions during the past five years that could
reasonably affect the Bidder's ability to supply the equipment, honor warranty obligations,
or perform the contract. The City may consider such matters only to the extent they bear
on bidder responsibility.
17. Georgia Open Records Act: Information provided to the City is subject to disclosure
under the Georgia Open Records Act, O.C.G.A. 50-18-70 et seq., in accordance with
O.C.G.A. 50-18-72(a)(34), which states, [a]n entity submitting records containing trade
secrets that wishes to keep such records confidential under this paragraph must submit and
attach to the records an affidavit affirmatively declaring that specific information in the
records constitutes trade secrets pursuant to Article 27 of Chapter 1 of Title 10 [O.C.G.A.

10-1-760 et seq.].
18. If the Bidder asserts a portion of its submission is exempt from disclosure, the Bidder shall,
at the time of submission, clearly mark each page or section as Confidential, provide a
redacted copy suitable for release, and provide the affidavit required by O.C.G.A. 50 18
72(a)(34). The City makes no representation that any record will be withheld and will
comply with applicable law. The Bidder shall indemnify the City for any claim arising
from the Bidder's failure to properly mark, redact, or support a confidentiality claim.
Pricing and Bid tabulations are not considered confidential and will be released
following the
award to avoid Bidders' Disputes.
19. Record Retention: The Bidder must maintain all records, books, and documents pertinent
to this Agreement for at least five (5) years after completing the work and must make them
available for inspection upon reasonable request by the City or its auditors. Address below:

20. Audit and Records Access: The City and its auditors may inspect Contractor records
related to this Contract for five years after final payment. The Contractor shall require all
Sub-Contractors, suppliers, and lower-tier entities performing Work or billing the City to
maintain and produce records consistent with this section. Contractor remains responsible
for ensuring access to such records upon request.
21. Debarment and Suspension Certification: The Bidder affirms that neither it nor any of
its principals is currently debarred, suspended, proposed for debarment, or declared
ineligible for contracts by any Federal or State agency.
22. Cost-Plus Prohibition: The City must not accept a cost-plus-a-percentage-of-cost Bidder
Contract. Any such pricing submitted must be considered non-responsive.
23. Non-Discrimination: The Bidder agrees not to discriminate against any person based on
race, color, religion, national origin, sex, age, disability, veteran status, sexual orientation,
or gender identity in performing this Agreement.
24. Bonding and Insurance Requirements: The Bonding and Insurance requirements for any
Contract that may be awarded pursuant to this ITB are outlined in Appendix A: Bonding
and Insurance Requirements. Bidder must provide a copy of a current certificate of
insurance evidencing any existing commercial general liability policies issued for Bidder,
if any. For purposes of this section, "Bidder" must mean an individual, corporation, or

other corporate entity submitting a Bid in connection with this solicitation, including each
Joint Venture partner if Bidder is a Joint Venture.
25. Manufacturers and Service Providers: If the bidder proposes to use a manufacturer,
distributor, or warranty service provider other than the bidder itself, the bidder shall
identify those entities in the bid. Bidder remains fully responsible for contract performance,
delivery, warranty administration, and compliance with all ITB requirements.
26. Product Verification: The City reserves the right to require the apparent low bidder to
submit additional manufacturer documentation, serializable product identification, or a
demonstration reasonably necessary to verify compliance with the ITB. Failure to provide
satisfactory verification within the time stated by the City may result in rejection of the bid
as non-responsive or a finding that the bidder is non-responsible.
27. Examination of Bid Documents: Each Bidder is responsible for monitoring BidNet Direct
and shall acknowledge all addenda as required by Section 13.1. Failure to acknowledge all
Addenda may render the Bid non-responsive
27.1. Each Bidder is responsible for examining with appropriate care the complete ITB and all
Addenda and for informing itself concerning all conditions which might in any way affect
the cost or the performance of any Work. Failure to do so will be at the sole risk of the
Bidder, who is deemed to have included all costs for performance of the
Work in its Bid.
27.2. Each Bidder must promptly notify the City in writing should the Bidder find
discrepancies, errors, ambiguities, or omissions in the solicitation documents, or should
their intent or meaning appear unclear or ambiguous, or should any other question arise
relative to the ITB. Replies to such notices may be made in the form of an addendum to
the ITB, which will be issued simultaneously to all potential Bidders. No oral responses
are binding on the City.
27.3. The City may, in accordance with applicable law, by Addendum, modify any provision
or part of the ITB at any time before the Bid due date and time.
27.4. Each Bidder is responsible for monitoring BidNet Direct and shall acknowledge all
Addenda as
required by Section 13.1. Failure to acknowledge all Addenda may result in Bid
rejection.
27.5. The City may waive any technicalities and formalities in this solicitation. Additionally,
the City reserves the right to cancel the ITB in its entirety

Addenda Responsibility All Addenda issued by the City shall be made available through
BidNet Direct. It is the sole responsibility of each Bidder to verify the issuance of any
Addenda prior to the Bid Opening. Failure of a Bidder to acknowledge receipt of all
Addenda on the Bid Form may result in the Bid being rejected as non-responsive.

27.6. Bid Security: Bid security is not required for this ITB unless required by written addendum
issued before the Bid Submission Deadline.
Responsiveness Standard. A bid is responsive only if it complies in all material respects
with the mandatory requirements of this ITB. The City may waive minor informalities that
do not affect price, quantity, quality, delivery, or competitive standing.
Responsibility Standard. Before award, the City may evaluate whether the apparent low
bidder has the financial capacity, manufacturer authorization, satisfactory performance
record, legal authority, and operational ability to perform the contract.

27.6.1. Failure of Bidder to sign all requested documents.
27.6.2. Failure to submit a Bid by the deadline.
27.6.3. Failure of Contractor to extend prices.
27.6.4. Failure to hold firm pricing.
27.6.5. Failure to meet specified delivery requirements.
27.6.6. The City reserves the right to reject all bids if all responsive bids exceed available
funding or if rejection is otherwise authorized by law and determined to be in the
City's best interest.
27.6.7. A Bid submitted by a Person on the Ineligible Source List.
27.6.8. a non-responsive Bid; and/or
27.6.9. A Bid submitted by a Person who has litigation pending against the City, or
anyone representing a firm or business in litigation against the City, not
arising out of the procurement process.
27.7. Addenda Responsibility: All Addenda issued by the City shall be made available through
BidNet Direct. It is the sole responsibility of each Bidder to verify the issuance of any
Addenda prior to the Bid Opening. Failure of a Bidder to acknowledge receipt of all
Addenda on the Bid Form may result in the Bid being rejected as non-responsive.
27.8. Order of precedence, arithmetic, and Extensions, In the event of a conflict among Bid
documents, Addenda control over the ITB, the ITB controls over Attachments, and
Attachments control over Exhibits, unless the City states otherwise in writing.
27.8.1. Arithmetic correction: The City may correct obvious clerical and arithmetic
errors. Unit prices govern over extended totals, and written words govern over
numeral unless the City determines that the intent is clearly contrary.
27.8.2. Bidder confirmation: The City may request written confirmation of corrected
pricing. Failure to timely confirm may result in rejection as non-responsive.
