Description Fulton County, Georgia, "County" seeks to engage a Disclosure Dissemination Agent for post-issuance municipal bond compliance services in order to facilitate, advise, file and post disclosure notices in accordance with applicable provisions of the County’s existing continuing disclosure agreements for publicly issued and all other applicable debt. SECTION 1 INTRODUCTION
1.1 PROJECT DESCRIPTION
Fulton County, Georgia (“County”) is soliciting Proposals to determine qualified Proposers for the
purpose of awarding a contract for Disclosure Dissemination Agent for post issuance bond compliance
services on an annual basis.
Through the issuance of this Request for Proposal (“RFP” and/or “Proposals”), the County is soliciting
Proposals from qualified Proposers for the Bond Dissemination Agent.
Proposals provided in response to this RFP that comply with the submittal requirements set forth in
Section 4.0, including all forms and certifications, will be evaluated in accordance with the criteria and
procedures described in Section 5.0. Based on the results of the evaluation, the County will award the
contract to the most advantageous Proposer based on the cost and the evaluation factors set forth in
the RFP.
METHOD OF SOURCE SELECTION: This procurement is being conducted in accordance with all
applicable provisions of the Fulton County Code of Ordinances and the specific method of source
selection for the services required in this Proposal is Code Section 102-375, Competitive Selection
Procedures for Professional and Consultant Services.
1.3 BACKGROUND
The County seeks to engage a Disclosure Dissemination Agent for post-issuance municipal bond
compliance services in order to facilitate, file and post disclosure notices in accordance with applicable
provisions of the County’s existing continuing disclosure agreements for publicly issued and all other
applicable debt. The County throughout 2019 utilized Baker Tilly, Inc. for filing these compliance filings
and notices to the Municipal Securities Rulemaking Board’s Electronic Municipal Market Access
“EMMA” website. Previously Digital Assurance Corporation was utilized, while earlier years saw the
County make these disclosures directly onto “EMMA”. The County seeks qualified firms for fiscal 2020
(January 1, 2020 through December 31, 2020), along with three other optional renewal periods for
fiscal 2021, 2022 and 2023. This firm would also work with the County’s other professionals such as
bond disclosure counsel to ensure our disclosures are proper in form, content, and timely as to date.
The County previously self-reported to the SEC pursuant to the Division of Enforcement's (the
"Division") Municipalities Continuing Disclosure Cooperation Initiative (the "MCDC Initiative"). The
County submitted an Offer of Settlement in April 2016 which the SEC accepted and which resulted in
an order being entered by the SEC on the matter on August 24, 2016 (the "MCDC Order"). Solely for
the purpose of the proceedings brought by or on behalf of the SEC under the MCDC Initiative, and
without admitting or denying the findings in the MCDC Order, except as to the SEC's jurisdiction over it
and the subject matter of the proceedings, which were admitted, the County consented to the entry of
the MCDC Order.
Compliance actions included establishing appropriate written policy and procedures to effect
compliance with existing securities laws, comply with existing disclosure undertakings, disclose terms
of the settlement in any final official statements for five years subsequent to the order. The County
complied with these provisions within the required 180 days, and provided supporting material as
required by August 24, 2017.

The County filed all required continuing disclosure obligations for the fiscal year ending December 31,
2018 in June 2019, and made a subsequent voluntary notice disclosure regarding the County’s tax
digest approvals by the Georgia Department of Revenue.
1.4 COUNTY OBJECTIVES
The following are the County Objectives for this project:
Engage and Interface with a Disclosure Dissemination Agent on matters of disclosing required notices,
events, filings, and any and all other applicable continuing disclosure obligations on behalf of Fulton
County to the MSRB’s website. Confirmation of these activities will ensure the County maintains
compliance with all applicable rules, including SEC requirements on continuing disclosure obligations
for applicable debt.
1.5 OBTAINING THE RFP

1.6 SUBCONTRACTING OPPORTUNITIES
Potential prime contractors submitting a bid on this project for Fulton County and are seeking
subcontractors and/or suppliers can advertise those subcontracting opportunities on the County’s
website, http://www.fultoncountyga.gov under “Subcontracting Bid Opportunities”.
1.7 PRE-PROPOSAL CONFERENCE
The County will hold a Pre-Proposal Conference, on January 29, 2020 at 2:00 P.M., in the Purchasing
Bid Conference Room of the Department of Purchasing, Fulton County Public Safety Building, Suite
1168, 130 Peachtree Street, S.W., Atlanta, Georgia 30303. Attendance at the Pre-Proposal Conference
is voluntary for responding to this RFP, however Proposers are encouraged to attend. The purpose of
the Pre-Proposal Conference is to provide information regarding the project and to address any
questions and concerns regarding the services sought by the County through this RFP.

1.8 PROPOSAL DUE DATE
All proposals are due in the Department of Purchasing of Fulton County located in the Public Safety
Building, Suite 1168, 130 Peachtree St, S.W., Atlanta Georgia 30303 on or before February 12, 2020
at 11:00 A.M., legal prevailing time. All submitted proposals shall be time and date stamped according
to the clock at the front desk of the Fulton County Department of Purchasing. Any proposals received
after this appointed schedule will be considered late and will be returned unopened to the Proposer.
The proposal due date can be changed only by addendum.
1.9 DELIVERY REQUIREMENTS
It shall be the sole responsibility of the Proposer to have his/her proposal delivered to the Fulton County
Department of Purchasing for receipt on or before the above stipulated due date and time. If a
