the Mobile County Commission, Mobile, Alabama, will receive bids on the following items:

NOTE: PRICES MUST REMAIN FIRM FROM OCTOBER 1, 2026, THROUGH SEPTEMBER 30, 2029.
Any questions Or comments concerning the bid requirements must be brought to the attention

All bidders shall furnish a five percent (5%) bid bond on any contract exceeding 630, 000. 00 :
provided that bonding is available for services, equipment or materials. Bid bond will -be
accepted in the form of a certified check, cashier' s check, or postal money order, etc.
Out of State Corporations shall furnish a Certificate of Authority to transact business in
the State of Alabama. Out of State limited liability companies shall furnish proof of
registration to transact business in this state. Alabama law requires that a successful
bidder, if it has employees in the State of Alabama, provide proof of enrollment in E-
Verify prior to the award of a contract. (See enclosed notice which must be completed,
signed and returned with your bid. )

PROJECT NAME: SERVICE CONTRACT - JANITORIAL SERVICES FOR THE
MOBILE COUNTY LICENSE COMMISSION

TERM OF AGREEMENT:
1. Term of this Agteement shall corninence on the date of wtitten Notice to Ptoceed, issued by
the Count5r and ending on Septembet 30, 2029.
COMPENSATION:
1. Monthly Fee: The Seivice Contractor agtees to charge, and the County agtees to pay the
monthly fee as determined by the agreed amount pricing as present on the Bid Form for the
term of the contract, fot the tequii:ed monthly janitorial services. Seivice Conttactot shall bill
tnonthly for set-vices rendered the preceding month. All invoices submitted shall consist of an
oiiginal and cleatly i:efetence the Bid Number and a sufficient description to identify se.i'vices
for which payment is i:equested.
2. Under Construction: When a room(s) or ai:ea(s) is under construction, being remodeled, or
otherwise taken out of sei'vice, for more than Thii:ty (30) continuous calendar days, Sei.'vice
Conttactor shall be relieved of all or part of the contract obligations foi: the area designated.
As the Seiice Contractor will not be perforining full service in those areas, the monthly
payments will be teduced by the actual numbet of squai:e footage that is taken out of sei'vice.
3. Ptesent Billing Rates: Any work not covered by the Scope of Woi:k of the conti:act shall be
billed at the Service Conttactor's Additional Rates as described in the Bid Form, all additional
sei.'vices will be invoiced separately from the monthly invoice.
4. Special and Emergency Event Seivices: At the i:equest of the Mobile County Coinmission's
Sei'irice Contract Adininisttatoi:, Special Event Serices and Emei:gency Event Seiv'ces will be
invoiced per the Additional Rates as described in the attached Bid Foi:m. An Invoices foi:
special and et'netgency services shall include the follotving attachments: Synopsis of hours
wotked, list of employees' names (last names only), Name and Date(s) of event, Location, and
attach email authorization. No claii'n for Work furnished by the Sei'vice Conttactor not
specifically provided fot herein shall be paid by Mobile County Cointnission.
INOUIRIES:

Responses to questions may be hanaed as an addendum if tlie tesponse provides clatification to
the requii:ements of the bid. All such addenda shan become pai:t of the contract documents.

FAMILIARITY WITH THE WORK
1. The Seiavice Contracto4 by submitting a bid, acknowledges full understanding of the extent and
character of the work tequii:ed and the conditions surrounding the petforinance thereof. The
County will not be responsible foi: any misunderstanding of the wotk to be furnished or
completed, or any of the conditions surrounding the perfoitnance thereof. It is understood that
execution of the Agi:eement by the Seiice Conttactot set-ves as the stated cornmitment
to fulfill all requitements and conditions referred to in this Agreement.
MANDATORY PRE-BID CONFERENCE AND SITE VISIT
1. All prospect've bidders shan have a i:epi:esentative present at a MANDATORY Pre-bid
Confetence that will be lield on Monday, June 29, 2026 ,at lO:OOam ,local time, on site at
the Mobile County License Commission at Michael Squai:e, 3925 Michael Boulevatd, Suite F,
Mobile, AL 36609. Any Sei'vice Contractors not having a i:epresentative at this meeting wilIl
be disqualified fi:om bidding on tl'ffls project.
INSURANCE REoUIREMENTS
1. Sersrice Conttactot, at its sole expense, shall obtain and maintain in full force the following
insurance to protect the Service Contractoi: and the Mobile County Commission (MCC) at
liinits and coverages specified herein. These liinits and covei:ages specified are the rninitnum to
be maintained and ate not intended to represent the correct insurance needed to fully and
adequately protect the Service Conttactot. If tequested by MCC, Service Conttactoi: will
ptovide copies of policies within 10 days of request.
2. An insurance shall be provided by insurei:s licensed to conduct business in the State of
Alabama and shall have a ininiinum A.M. Best rating of A- VII and must be acceptable to
MCC. Self-insuted plans and/or gtoup funds not having an A.M. Best rating must be
subinitted to &iCC foi: prior approval.
NO WORK IS TO BE PERFORMED UNTIL PROOF OF COMPLIANCE WITH
THE INSURANCE REQUIREMENTS HAS BEEN RECEIVED BY MCC.

The Coini'nercial General Liability policy shall name MCC as Additional Insured for
claiins arising out of the Service Conti:actoi:s and/ot any Subcontractots' work. The
ISO Foi:ms CG 20 07 04 and CG 20 37007 04 or a compatable form that is no mote
testrict've shall be required. The additional Insuted form MUST include the cui:i:ent
Operations and Ptoducts/Completed Operations of each conttactoi:. The naming of
the additional insured does not obligate the additional insui:ed to pay any pterniums
due.
Aggregate liinits to be on a "per project" basis.
c. Automobile Liability
Covei'ing all Owned, Non-Owned, and Hired vehicles with a Combined single limit
(bodily injui7 and ptopetty damage combined) of $1,000,000 foi: each accident .The
polig sliall name MCC as Additional Insui:ed.
d. Certificate of Insutance
A Certificate of Insurance evidencing the above minimum requii:ements must be
pi'ovided to and accepted by MCC, PRIOR to commencement of any work on the
contract .Each policy shan be endoi:sed to provide Thirt5 r(30 )days priot written notice
of cancellation to the MCC. A sample Certificate of Insurance is attached. see
Exhibit C.
CANCELLATION PROCEDURE
1. Tlie Sei'vice Contractor shall be notified in writing of any problems pertaining to the
petformance of the janitorial services. This notification will be written by the County's
Sei'v'ce Contract Adrninistratot as specified in the Agreement. A fonow-up letter will come
fi:om the Dii:ectot of Facilities and Maintenance. If no sat'sfactory corrections are made by
the Sei'vice Conttactoi: within Ten (10) working days, Mobile County Comtnission may, at its
disci:etion, cancel the Agteement imtnediately. If terminated, the Sei'vice Contractor will be
removed from the bid list. Cancellation procedui:es will be strictly enforced.
2 . The Sei'vice Contractor and/or the County may cancel the contract by giving written notice
of such, no less than Thirty (30) calendat days, notice of intent to cancel the contract. If the
Service Contractor initiates the cancelation, the Seivice Contractor must also forfeit Fifty
Percent (50o/o) of the charge for janitorial seivice for their last complete month of service. In
the event of cancellation by either party, proration of the custodial charge will be based on a
Thii:ty (30) day month.

MISCELL ANEOUS PROVISIONS
1. Indeinnify: To the fullest extent perinitted by law, the Sei.'vic eContractor sliall indemniJ7
and hold hai'i'nless the County, and its agents and employees fi:om and against all claims,
damages, losses, and expenses, inclug, but not limited to, attotneys' fees arising out of
or tesulting ftom the perfotmance of the Work.
2. Subcontractors: The Ser'vice Contractoi: shall not employ Subcontractors without the
express written permission of the County.
3. Unifoti'ns: Seivice Contractor's employees ate requii:ed to wear a unifotm or some type of
garment that will identify employees working for the company while on the pi:emises.
4. Conduct: Tlie Service Contractor shall require employees to comply with any and all
insttrictions pertaining to conduct and building tegulations issued by Setvice Conttact
Adrninistratoi: and Court Police Officers, if applicable. Tlie Service Conttactoi: shall
prohibit their employees from the following: distutbing papers on desks; opening desk
dtawers; opening file drawers or on any furnitui:e; using telephones or office equipment;
stealing/taking County property or personal property; using illegal dtugs, alcohol, ot
other prohibited substances; being under the influence of illegal dtugs or alcohol while on
County property; carrying or using guns, knives, ot other dangerous weapons; and/ot
unplugging computets or othei: equipment. Due to the security nature of the Mobile
County License Coininission at Michael Square, Sei'vice Contractor's employees shall be
issued County issued identification security cards, if applicable. The County shall reserve the
right to have any Sei'v'ce Contractor's pei:sonnel temoved, telocated, and/ or bai:i:ed from
access to die Mobile Coumy License Commission at Michael Squate at any time. Service
Contractoi' shall replace the employee ii'nmediately upon notification by the Service Conttact
Adi'nii'ffstrator. The Serice Contractor's personnel shall immediately return the County
issued identification security card, if applicable.
5. Criininal Recotd Check: Ser-vice Conttactoi: shan obtain ctiininal background checks, at its
expense, on all personnel at the start of this contract or upon employment. The critninal
background check is to include federal, state, and local including any location that the
employee l'ias resided within the past Five (5) years. Ten (10) days prior to the start of
work, Set'vice Contractor shan pi:ovide Sei'vice Conttact Administrator with
documeni:ation illustrating backgtound checks have been successfully completed. No
employee will be allowed to wotk at the Mobile County License Coininission at Michael
Square that 'has a ctin'ffial recoi:d/histor5r foi: the past Five (5 )years ,if applicable.
6. Qualifications of Employees: A fully qualified, and trained for their specific duties,
workforce shall be on board by the end of the first Thii:ty (30) days of the conti:act and
shan be maintained throughout the period of the contract.
7. All emplo)iees assigned by the Service Contractot to perform the work under this conttact
shall be pliysically able to do their assigned work and shall be in good health. It shall be
tlie Service Contractor's responsibility to ensure that all employees meet the physical
standatds needed to petform the work assigned. All personnel employed by the Service
Contracvor shall be trained and expetienced, qualified in this type of woi:k, fully aware of
theii: i:esponsibilities and duties.
8. Supei'vision of Employees: Ser'vice Conttactoi: shall at all times ptovide adequate on-site
supeivision (ininii'num of One (1) supei'visor/lead custodian pet shift) of employees to
ensure complete and satisfactory performance of all wotk in accordance with the
Agreemem. Tlie Serv'ce Conttactor's site supei-visor sliall be available on-site at all times

when tlie woi'k is being performed. The Service Contractor's supeivisors shall be fiilly and
adequately trained, w'th a ininii'nuin of Two (2) years of expeiience in cleaning supeiision,
sufficient iii scope to meet tlie appi:oval of the Sei'vice Contract Adininisttatot.
9. Contractor Qualifications: Seivice Contractor must have been in business at least Five (5)
consecutive years. Service Conttactoi: shall provide references to tecent janitotial service
experience in buildiiags equivalent to approximately 32,480 sq. ft. Failure to provide evidence
of at least Five (5) consecutive years in business ot tefetences will be cause to teject bid.
