TERM OF AGREEMENT:
1. Tei:m of this Agteement shall coini'nence on the date of written Notice to Pi:oceed, issued by
the County and ending on September 30, 2029.
COMPENSATION:
1. Monthly Fee: The Senrice Contractor agtees to cliarge, and the County agrees to pay the
monthly fee as detei:inined by the agreed amount priciiig as present on the Bid Form for the
term of the COnti:aCt, for tlie requited monthly janitorial services. Serice Contractor shall bill
monthly fot set's-ices rendered the pi:eceding month. All invoices submitted shall consist of an
original and shall clearly reference the Bid Number and a sufficient desci:iption to identify
sei'vices foi: wl'iicli payment is requested.
2. Undei: Constiuction: When a room(s) or area(s) is under consti'uction, being remodeled, or
otheiw'se taken out of sei-vice, for mote than Thirty (30) continuous calendat days, Serv'ce
Contractor shall be relieved of all or part of the contract obligations fot the ai:ea designated.
As the Service Conttactor will not be performing full seivice in those areas, the montbly
payments will be .teduced by the actual number of squai:e footage that is taken out of serv'ce.
3. Present Billing Rates: Any work not coveted by the Scope of WOI:k of the contract shall be
billed at the Sersrice Contractor's Additional Rates as desci:ibed in the Bid Form, an additional
setvaces will be invoiced separately from the monthly invoice.
4. Special and Emergency Event Ser-vices: At the request of tlie Mobile County Cominission's
Service Contract Adininisttatot, Special Event Sei'vices and Emergency Event Services wilIl be
invoiced per the Additional Rates as described in the attached Bid Foi:m. All Invoices fot
special and emergency services shan include the fonowing attachments: Synopsis of hours
worked, list of employee's names (last names only), Name and Date(s) of event, Location, and
attach email authorization. No claiin fot Work furnished by the Serv'ce Conti:actor not
specificany provided for hetein shan be paid by Mobile County Coininission.
INOUIRIES:
1. Questions regai:ding this project sliould be ditected to the Service Contract Administrator at
jamila.cartei:@mobilecountyal.gov no later than Three (3 )business days piior to the bid opening.
Responses to questions may be handled as an addendui'n if the response ptovides clarification to

FAMILIARITY WITH THE WORK
1. The Service Conttactot, by subinitting a bid, acknowledges full undei:standing of the extent and
chatactet of tlie work requited and the conditions stu:rounding the pei:for'i'nance thereof. The
County will not be responsible for any inisundetstanding of the work to be futnished oi:
completed, or any of the condit'ons surtounding the petfor'i'nance thei:eof. It is undetstood that
execution of the %eement by the Service Conttactoi: sei've sas the stated committnent
to fulfill all requirements and condit'ons tefetred to in this Agreement.
MANDATORY PRE-BID CONFERENCE AND SITE VISIT
1. All prospective bidders slian have a representative pi:esent at a MANDATORY Pre-bid
Confetence that will be held on Monday, July 6, 2026 ,at l:OOpm ,on site at the Bay Haas
Building, 1150 Government St, Mobile, AI, 36603. Any Service Conttactots not having a
representative at tbis meeting will be disqualified fi:om bidding on this pi:oject.
INSURANCE REoUIREMENTS
1. Service Conttactoi:, at its sole expense, shall obtain and maintain in full foi:ce the following
insui:ance to protect the Service Conttactor and the Mobile County Coininission (MCC) at
liinits and coverages specified herein. These limits and covei:ages specified are the minimum to
be maintained and are not intended to tep.tesent the cortect insui:ance needed to fully and
adequately ptotect the Service Conti:actor. If i:equested by MCC, Service Conttactor will
provide copies of policies within 10 days of request.
2. AL1 insutance shall be ptovided by insurers licensed to conduct business in the State of
Alabama and shall have a ininii'num A.M. Best rating of A- VII and must be acceptable to
MCC. Self-insured plans and/ or group funds not having an A.M. Best tating must be
subinitted to MCC fot prior apptoval.
NO WORK IS TO BE PERFORMED UNTIL PROOF OF COMPLIANCE WITH
THE INSURANCE REQUIREMENTS HAS BEEN RECEIVED BY MCC.

Tlie Coi'i'u'nercial General Liability policy shall name MCC as Additional Insuted for
claii'ns ai:ising out of the Serv'ce Contractors and/or any Subconttactors' woi:k. The
ISO Forms CG 20 07 04 and CG 20 37007 04 ot a comparable form that is no
longer resttictive shall be .tequited. The additional Insured fort'n MUST include the
curi:ent Opetations and Products/Completed Operations of each contractot. The
natning of the additional insured does not obligate the additional insui:ed to pay any
preiniums due.

e. Automobile Liability
Covering all Owned, Non-Owned, and Hired vehicles with a Combined single liinit
(bodily injur7 and ptopetty damag ecombined )of $1,000,00 0for each acciden t.The
policy shall name MCC as Additional Insuted.
d. Certificate of Insutance
A Cettificate of Insurance evidencing the above ininimum i:equirements must be
provided to and accepted by MCC, PRIOR to cornrnencement of any wo.tk on the
contract. Each policy shall be endotsed to provide Thitty (30) days prior written notice
of cancellation to the MCC. A sample Certificate of Insurance is attached, see
Exhibit C.
CANCELLATION PROCEDURE
1. The Sei'vice Contractor shall be notified in writing of any ptoblet'ns pertaining to the
performance of the janitorial seivices. Tl'ffls notification will be wi:itten by the County's
Seiice Contract Adininisttator as specified in the Agi:eement. A follow-up letter will come
fi:om the Director of Facilities and Maintenance. If no satisfactor7 corrections ate made by
the Sei'vice Contractor within Ten (10) workiiig days, Mobile County Cotnmission may, at its
discretion, cancel the Agreement imi'nediately. If terminated, the Seivice Conttactor will be
temoved from the bid list. Cancellation pi:ocedutes w'll be sttictly enforced.
2. The Sei'vice Conttactot and/or the County may cancel the contract by giving written notice
of such, no less than Thii:ty (30) calendar days, notice of intent to cancel the contract. If the
Ser'vice Conttactot initiates the cancelation, the Set's-ice Conttactor must also forfeit Fifty
Percent (50o/o) of the charge fot janitorial sei'vice for their last complete month of sei'vice. In
the event of cancellation by either party, ptotat'on of the custodial charge will be based on a
Thii:ty (30) day month.

MISCELLANEOUS PROVISIONS
1. Indemnify: To the fullest extent petinitted by law, the Seiice Conttactor shall indemnify and hold
Harmless the County, and its agents and employees from and against all claims, damages, losses
and expenses, including, but not liinited to attotneys' fees arising out of or resulting from the
petformance of the WOI:k.
2. Subcontractors: The Seiice Conttactoi: shall not employ Subconttactots without the express
written perinission of the County.
3. Unifoi:ms: Service Contractoi:'s employees ai:e required to weai: a uniform or some type garment
That will identify employees working for the company woe on the pi:emises.
4. Conduct: The Serv'ce Contractoi: shall require employees to comply with any and all insti'uctions
pei:taining to conduct and building regulat'ons issued by Project Manager and Court Police
Officers. The Sei'vice Conti:actor shall ptohibit theii: employees fi:om the following:
a. Disturbing papers on desks
b. Opening desk dtawers
c. Opening file drawets ot on any futi'iitui:e
d. Using telephones or office equipment
e. Stealing/taking County property or personal pi:opetty
f. Using illegal drugs oi: alcohol oi: other prohibited substances, or be under the iiifluence of
illegal drugs or alcohol while on Count7 pi:operty.
g. Cari7ing ot using guns ,knives, or other dangerous weapons
h. Unplugging computers or othet equipment
i. Due to the security nature of Govei:nment Plaza, Seivice Contractor's employees will be
issued a County identificat'on secui:ity card. The County shall resersre the right to have any
Sei'vice Conttactoi:'s pei:sonnel removed, relocated, and/or bati:ed ftom access to
Govetnment Plaza at any tii'ne. Seivice Conttactoi: will i:eplace the employee iintnediately
upon notification by the Project Manager. The Service Conttactor's personnel shall
iminediately return the County-issued identification security card.
5. Criininal Record Check: All Service Conttactot employees working in Government Plaza shall
have no crii'ninal i:ecoi:d/l'fflstory for the past five (5 )years. Ten (10 )days prioi: to the stai:t of
woi:k, Service Conttactot will pi:ovide Pi:oject Manager with list of names with infoi:mation and
a background check will be performed on each employee. No employee will be allowed to woi'k
at the Govetnment Plaza that has a ci:iininal recotd/histoi7 for the past five (5 )yeats.
6. Qualifications of Employees: A illy qualified, and trained foi: theii: specific duties, wotkfotce
shall be on-board by the end of the fitst 30 days of the contract, and shall be t'naintained
tmoughout the period of the Contract.
7. All employees assigned by the Service Contractor to pei:form the work undet this conti:act shall
be physically able to do theii: assigned work and shall be in good health. It shall be the Service
Contractols responsibilit5r to insu.te that an employees meet the physica lstandards neede dto
perform the woi:k assigned. All pei:sonnel employed by the Se.ivice Contractor shall be trained
and expe.tienced, qualified in this type of woi:k.
8. All pei:sonnel assigned and/o.t beginning woi:k on this Agteement shall be ti:ained and fully awai:e
of their tesponsibilities and duties.

9. Supetvision of Employees: Sei'vice Conttactoi: shall at all times provide adequate on-site
supei'vision (inii'iii'num of 1 supei'viso.t/lead custodian per shift) of employees to insure complete
and satisfactoi7 pei:fotmanc eof all woi:k in accordanc ewith the Agteement .The Sei'vice
Conttactor's site supeiisor sliall be available on-site at all tiines when the wotk of the
contract is being carried out. The Sei'vice Contractor's superv'so.ts shall be fully and adequately
ttained, w'th a ininii'nui'n of two yea.ts' experience in cleaning super'vision, sufficient in scope to
meet the appi:oval of the Pi:oject Manager.
10. Contractor Qualifications: Contractor must have been in business at least seven (7) consecutive
Years. Seivice Contractot shall provide references to tecent janitoi:ial sei'vice experience in multi-
Stor7 buildings equivalen tto 251,300 sq .ft. Failure to ptovide evidence of at leas tseven (7)
Consecutive years in busiiiess or tefetences will be cause to reject bid.
