the Mobile County Commission, Mobile, Alabama, will receive bids on the following items:

Out of State Corporations shall furnish a Certificate of Authority to transact business in
the State of Alabama. Out of State limited liability companies shall furnish proof of
registration to transact business in this state. Alabama law requires that a successful
bidder, if it has employees in the State of Alabama, provide proof of enrollment in E-

TERM OF AGREEMENT:
1. Term of tl'ffls Agreement sliall coini'nence on the date of written Notice to Proceed, issued by
the County and ending on September 30, 2029.
COMPENSATION:
1. Monthly Fee: The Sei-vice Conttactoi: agrees to cliai:ge, and the County agtees to pay the
monthly fee as detetinined by the agreed amount pi:iciiig as pi:esent on the Bid Form for the
tei:m of the contract, for the requited monthly janitorial seiv'ces. Ser'vice Contractot shall bill
monthly for services rendered the precediiig month. All invoices subinitted shall consist of an
original and clearly reference tube Bid Number and a sufficient descript'on to identify seiv'ces
fot wl'fflch payment is i:equested.
2. Under Construction: When a room(s) oi: atea(s) is undet consttuction, being i:emodeled, oi:
otherwise taken out of seiv'ce, for mote than Thirty (30) continuous calendai: days, Seiice
Contractot sliall be relieved of all oi: part of the conttact obligations for the area designated.
As the Seivice Contractot will not be pei:forining Eu!u set'vice in those ateas, the monthly
payments will be i:educed by the actual number of square footage that is taken out of service.
3. Pi:esent Billing Rates: Any wotk not covered by the Scope of Wotk of the contract shall be
billed at the Ser'vice Contractot's Additional Rates as described in the Bid Foi:m, an additional
sei'vices will be invoiced separately from the monthly invoice.
4. Special and Emergency Event Seivices: At the request of the Mobile County Commission's
Serice Conttact Adininisttatot, Special Event Ser'vices and Emergency Event Serv'ces will be
invoiced pei: the Additional Rates as described iii the attaclied Bid Form. An Invoices for
special and emergency sei'vices shall include the following attachments: Synopsis of hours
worked, list of employees' names (last names only), Name and Date(s) of event, Location, and
attach email authotization. No claii'n for Work furnished by the Seiice Conttactor not
specifically provided for herein sliall be paid by Mobile Countr Coinmission.

FAMILIARITY WITH THE WORK
1. Tlie Sei'vice Conttactor, by subinitting a bid, acknowledges full undetstanding of the extent and
cliatactei: of the woi:k requited and the conditions surtounding the perfoimance theteof. The
County will not be i'esponsible for any inisundei:standing of the work to be furnisl'ied oi:
completed, or any of the conditions surrounding tlie perfoi'i'nai'ice theteof. It is understood that
execution of the Agreement by the Sei-vice Contractor sei'ves as the stated commiti'nent
to fulfill all requii:ements and conditions refetred to in tl'ffs Agteement.
MANDATORY PRE-BID CONFERENCE AND SITE VISIT
1. j'Ul prospective biddei:s slian have a representative present at a MANDATORY Pre-bid
Confei:ence that will be lield oi'i Tuesday, Jt'ine 30, 2026 ,at IO:OOam ,local time, on site at
the Mobile County Anii'nal Sheltet ,7665 Howens Fert7 Road ,Mobile, AL 36618 . Any Service
Contractots not having a tepresentative at this meeting will be disqualified from bidding on
this project.
INSURANCE REOUIREMENTS
1. Service Contractor, at its sole expense, shall obtain and maintain in full force the following
insurance to protect the Setvice Conttacto.t and the Mobile County Cominission (MCC) at
liinits and coverages specified herein. These limits and coverages specified ai:e the tninii'num to
be maintained and ai:e not intended to represent the correct insurance needed to fully and
adequately protect tlie Setvice Conttactor. If requested by MCC, Service Contractor will
ptovide copies of policies within 10 days of i:equest.
2. All insurance shall be pi:ovided by insurets licensed to conduct business in the State of
Alabama and shall have a ininiinum A.M. Best i:ating of A- VII and must be acceptable to
MCC. Self-insuted plans and/or gi:oup funds not having an A.M. Best rating must be
subinitted to MCC fot prior apptoval.
NO WORK IS TO BE PERFORMED UNTIL PROOF OF COMPLIANCE WITH
THE INSURANCE REQUIREMENTS HAS BEEN RECEIVED BY MCC.

restrictive shall be required. Tlie additional Insured form MUST include the current
Opetations and Products/Completed Operations of eacli contractor. The nainiiig of
the additional insui:ed does not obligate the additional iiisured to pay any pteiniums
due.

c. Automobile Liability
Coveting all Owned, Non-Owned, and Hired vel'ffcles with a Combined single liinit
(boay iiijui'y and propei:ty damage combined) of $1,000,000 for each accident .The
policy sliall name MCC as Additional Insured.
d. Cettificate of Insurance
A Certificate of Insurance evidencing the above i'nii'iiinum requitements must be
ptovided to and accepted by MCC, PRIOR to coini'nencement of any woi:k on the
conttact. Eacli policy shau be endorsed to ptovide Tl'mty (30) days pi:ior written notice
of cancellation to the MCC. A sample Certi&ate of Insurance is attached, see
Exhibit C.
CANCELIATION PROCEDURE
1. The Sei'vice Contractor shall be notified in wtiting of any ptoblems pertaining to the
performance of the janitorial services. Tl'iis notification will be written by the County's
Ser'vice Contract Adininistrator as specified in the Agreement. A follow-up letter will come
from the Ditector of Facilities and Maintenance .If no satisfactoi7 coi:rections ai:e made by
the Service Contractor withjn Ten (10 )woi:king days ,Mobile Count-5 Cr ommission may ,at its
disctetion, cancel the Agi:eement imi'nediately. If tetininated, the Sei'vice Contractot will be
removed from the bid list. Cancellation procedures will be sttictly enforced.
2 . The Service Conti:actor and/or the County may cance lthe contract by giving written notice
of such, no less than Thirty (30) calendar days, not'ce of intent to cancel the contract. If the
Sei'vice Contractor initiates the cancellation, the Service Conti:actoi: t'nust also forfeit Fifty
Petcent (50o/o) of the cliatge for janitorial sei'vice fot theii: last complete month of service. In
the event of cancellation by either party, proration of the custodial charge will be based on a
Tl'iitty (30) day month.

MISCELLANEOUS PROVISIONS
1. Indeinnif5r :To the fullest extent perinitted by law, the Ser'vic eContractor sliall indemnify
and liold liarinless the County, and its agents and employees fi:om ai'id against all claims,
damages, losses, and expenses, including, but not liinited to, attoi:neys' fees arising out of
ot i:esult'ng fi:om the perfoi:mance of tbe Wotk.
2. Subconttactots: Tlie Ser'vice Contractor slian not employ Subconttactors without the
express wtitten perinission of the County.
3. Uniforms: Ser-vice Contractor's employees ate i:equired to wear a uniform or some type of
gatment that will identify employees working fot the company while on the pi:ei'nises.
4. Conduct: The Service Contractor shall require employees to comply with all instructions
pei:taining to conduct and building i:egulations issued by Service Contract Adrninistratoi:
and Coui:t Police Officers, if applicable. The Service Contractor shall pi:ohibit their
employees from tlie following: disturbing papei:s on desks; openiiig desk drawers; opening
file drawers or on any futnihire; using telephones or office equipment; stealing/ taking
Count7 ptopei:ty or pei:sona lptopetty; using illegal dtugs, alcohol, or other prohibited
substances; being undei: the influence of illegal di:ugs or alcohol while on County
propei:ty; catr7ing oi :using guns ,knives, oi :other dangei:ou sweapons ;and/ or unplugging
computers oi: othei: equipment. Due to the security natute of the Mobile County Animal
Shelter ,Sei'vice Conttactot's employees sliau be issued Count5 rissued identification secutity
cards, if applicable. The County shall reser've the right to have any Service Conttactols
personnel removed, relocated, and/ot bari:ed from access to the Mobile County Animal
Sheltei: at any tii'ne. Service Conttactot shall replace the employee immediately upon
notificat'on by tlie Sei'vice Conttact Adrnii'iisttator. The Service Contractor's petsonnel shall
iini'nediately tetutn the County issued identification security card, if applicable.
5. C.tiininal Reco.td Clieck: Set-vice Contractot shall obtain criminal backgtound checks, at its
expense, on an personnel at the start of tl'iis contract or upon employment. The ctiininal
background check is to iiiclude federal, state, and local iiicluding any location that the
employee lias resided witl'm the past Five (5) years. Ten (10) days prioi: to the start of
work, Service Conttactor sliall provide Service Conttact Adininistratot with
documentation illustrating background checks have been successfully completed. No
employee will be allowed to work at the Mobile County Aniinal Sheltet that has a crii'ninal
record/l'fflstory for the past Five (5) yeats, if appIlicable.
6. Qualifications of Employees: A ffilly qualified, and ttained fot theit specific duties,
wotkfotce shan be on boatd by the end of the first Tt5r (30 )days of the contract and
shall be maintained t&oughout tlie petiod of the conttact.
7. All employees assigned by the Service Conttactot to petfotm the woi:k undet this conttact
shall be physically able to do tlieii: assigned wotk and sliall be in good health. It shall be
the Setvice Contractor's responsibility to ensure that all employees meet the physical
standatds needed to petfoi:m tlie WOI:k assigned. All personnel employed by the Service
Contractor shall be trained and experienced, qualified in this type of work, fully aware of
theit responsibilities and drities.

8. Superision of Employees: Serice Contractor sliau at all tiines provide adequate on-site
supeivision (ininii'num of One (1) super'visot/lead custodian per shift) of employees to
ensure complete and satisfactoi7 petfotmance of all woi:k in accordanc ewith the
Agi:eement. Tlie Sei"ice Contractor's site super-visot sliall be available on-site at all tiines
wlien the work is being perfoi:med. The Sei'vice Contractot's superisors shan be y and
adequately trained, witli a ininii'nui'n of Two (2) years of expeiience in cleaning supei'vision,
sufficient in scope to meet the approval of the Ser'vice Conttact Admii'iistrator.
9. Contractot Qualifications: Sei'vice Contractor must have been in business at least Five (5)
consecutive yeai:s. Seiice Contractor shall provide i:efei:ences to recent janitotial service
experience in buildings equivalent to approxii'nately 10,450 sq. ft. Failure to pi:ovide evidence
of at least Five (5) consecut've years in business or refe.tences will be cause to reject bid.
