TERM OF AGREEMENT:
1. Tei:m of this Agi:eement shall coinmence on the date of written Notice to Proceed, issued by
the County and ending on September 30, 2029.
COMPENSATION:
1. Monthly Fee: Tlie Service Conti:actot agi:ees to chatge, and the County agrees to pay the
tnonthly fee as detettnined by the agi:eed amount pi:icing as ptesent on the Bid Fotm fot the
term of the conttact, fot the reqr-iited monthly janitorial sersrices. Set-vice Contractor shall bill
monthly for sersrices rendeted tlie preceding month. All invoices subinitted shall consist of an
o.i:iginal ai'id shall clearly reference the Bid Numbet and a sufficient desctiption to identify
sei'vices for which payment is i:equested.
2. Under Construction: When a room(s) ot area(s) is undei: construction, being remodeled, or
other'wise taken out of sersrice, fot moi:e than Tl'mty (30) continuous calendai: days, Sei'vice
Comtactot sliall be relieved of all or patt of the contract obligations foi: the area designated.
As the Sei'vice Conti:actor will not be petforming EuJl ser'vice in those ateas, the monthly
payments will be teduced by the actual numbet of square footage that is taken out of sei'vice.
3. Present Billing Rates: Any WOl'k not covered by tlie Scope of Work of the contract shall be
billed at the Seivice Contractor's Additional Rates as described in the Bid Fo.tm, all additional
sei'v'ces will be invoiced separately from the monthly invoice.
4. Special and Emetgency Event Sersrices: At the i:equest of the Mobile County Corninission's
Sei'vice Conti:act Adininisttator, Special Event Ser'vices and Emei:gency Event Ser-vices will be
invoiced per the Additional Rates as described in the attached Bid Form. All Invoices fot
special and emetgency seivices shall include the following attachi'nents: Synopsis of houi:s
wotked, list of employees' names (last names only), Name and Date(s) of event, Location, and
attach email authorization. No claii'n for Wotk furnislied by the Seiice Contractor not
specifically pi:ovided fo.t lierein sliall be paid by Mobile Corinty Coininission.
INOUIRIES:
1. Questions regarding tlffs project sliould be directed to the Serice Conttact Adtninisttatot at
jarnila.carterMmobilecountyal.gov no later than Thtee (3) business days ptiot to the bid opening.
Responses to questions may be handled as an addendum if the response pi:ovides clatification to
the i:equitements of the bid. Afl such addenda shan become part of the contract documents.

FAMILIARITY WITH THE WORK
1. anie Sei'vice Contractor, by subinitting a bid, acknowledges full understanding of the extent and
chai:actei: of the work required and the conditions surrounding the perforinance thereof. Tlie
County will not be responsible for any inisundetstanding of the work to be fui:nished or
completed, ot any of the conditions surrounding the perforinance thereof. It is understood tl'iat
execution of the Agreement by the Sei'vice Contractor sei'ves as the stated coinrnitment
to fulfill an requirements and condit'ons referi'ed to in tl'ffs Agreement.
MANDATORY PRE-BID CONFERENCE AND SITE VISIT
1. All prospective bidders shall have a i:epresentative present at a MANDATORY Pre-bid
Conference that will be held on Monday, June 29, 2026 ,at I:OOpm ,Local Time, on site at
Building Maintenance Complex, 554 South Royal Street, Mobile, AL 36603 Any Sersrice
Conttactors not having a representative at this meeting will be disqualified from bidding on
tl'iis ptoject.
INSURANCE REoUIREMENTS
1. Service Contractor, at its sole expense, shall obtain and maintain in full force the following
insurance to protect the Sersrice Contractor and the Mobile County Commission (MCC) at
liinits and covetages specified lierein. The liinits and coverages specified are the minimum to
be maintained and are not intended to represent the cori:ect insurance needed to protect the
Service Contractor fully and adequately. If requested by MCC, Ser'vice Conti:actor will provide
copies of policies witl'iin 10 days of request.
2. All insurance sliall be ptovided by insurers licensed to conduct business iii the State of
Alabama and slian have a ininimum A.M. Best tatiiig of A- VII and must be acceptable to
MCC. Self-iiisured plans and/or group fiinds not having an A.M. Best rating must be
subinitted to MCC fot prior approval.
NO WORK IS TO BE PERFORMED UNTIL PROOF OF COMPLIANCE WITH
THE INSURANCE REQUIREMENTS HAS BEEN RECEIVED BY MCC.

claiins arising out of the Serv'ce Contractors and/or any Subcontractoi:s' wotk. Tlie
ISO Forms CG 20 07 04 and CG 20 37007 04 or a comparable form that is no moi:e
resttictive shall be tequired. The additional Insuted form MUST include the curi:ent
Ope.tations and Ptoducts/Completed Opetations of eacli contractot. The narning of
the additional insuted does not obligate the additional insui:ed to pay any pterniums
due.

c. Automobile Liability
Covetiiig all Owned, Non-Owned, and Hired vehicles with a Combined single liinit
(bodily injur7 and property damage combined) of $1,000,00 0fot each accident .The
policy slian name MCC as Additional Insured.
d. Certificate of Insutance
A Cettificate of Insurance evidencing the above ininii'num requirements must be
provided to and accepted by MCC, PRIOR to coini'nencement of any work on the
conttact. Eacli policy shall be endorsed to ptovide Tl'iitty (30) days prioi: written notice
of cancellation to the MCC. A sample Certificate of Insutance is attached. see
Exhibit C.
CANCELLATION PROCEDURE
1. The Sersrice Conttactor shan be notified in wtiting of any ptoblems pei:taining to the
performance of the janitorial services. Tl'ffs notificat'on will be written by the County's
Seivice Contract Adininisttator as specified in the Agteement. A fonow-up letter win come
from the Directoi: of Facilities and Maintenance .If no satisfactor7 coi:rections are made by
the Service Contractor within Ten (10) working days, Mobile County Corninission may, at its
discretion, cancel the Agreement imi'nediately. If terminated, the Sei'vice Contractor will be
removed from the bid Ilist. Cancenation ptocedutes will be strictly enforced.
2. The Service Conttactor and/ot the County may cancel the conttact by giving written notice
of such, no less than Thirty (30) calendai: days, notice of intent to cancel the conti:act. If the
Seivice Contractor initiates the cancelation, the Seiice Conttacto.i: must also forfeit Fifty
Petcent (50'!/o) of the charge for janitorial service for their last complete month of seiv'ce. In
the event of cancellation by eithei: patty, proi:at'on of the custodial chai:ge will be based on a
Thirty (30) day month.

MISCELLANEOUS PROVISIONS
1. Indemnify :To the fulles textent permitted by law ,tlie Seiice Contractor shal lindemnif5 tand
liold harmless tlie County, and its agents and employees from and against an claims, damages,
losses and expenses, including, but not limited to, attorneys' fees arising out of or resulting
from tlie performance of the Work.
2. Subconii:actors: The Seiice Contractor shall not employ Subcontractots w'thout the express
wi:itten permission of the County.
3. Uniforms: Ser'vice Contractor's employees are required to wear a uniform or some type
gatmen tthat will identif3 remployee sworking for the company while on the premises.
4. Conduct: The Service Contractor shall require employees to comply with any and all
insti:uctions pertaining to conduct and building i:egulations issued by Service Contract
Adininistrator and Court Police Officers, if applicable. Tlie Set-vice Contractor shall prohibit
their employees frotn the follow'ng: disturbing papers on desks; opening desk dtawei:s;
opening file drawers or on any furniture; using telephones or office equipment;
stealing/taking Count5 rpropergr or persona lproperty; using illega ldrugs ot alcohol oi :other
prohibited substances ;being under the influence of illega ldrugs or alcohol while on Count7
propert5r; carrying or using guns ,knives ,or other dangerou sweapons ;and/or unplugging
computers or other equipment. The County shall reserve the right to have any Sei'vice
Conti:actor's personnel removed, relocated, and/or barred from access to the Building
Maintenance Complex at any tiine. Serice Contractor w'll replace the employee immediately
upon notification by tlie Service Contract Administrator. The Service Contractor's personnel
shall immediately return the County issued identification security card, if applicable.
5. Criminal Record Clieck: Sei'vice Contractor shall obtain criininal background checks, at its
expense, on all personnel at tlqe start of this contract or upon employment. The critninal
background check is to include federal, state, and local including any location that the
employee has resided within the past Five (5) years. Ten (10) days prior to the start of work,
Serv'ce Contractor shall provide Sei'vice Contract Adininistrator with documentation
illustrating background checks have been successfully completed. No employee will be
allowed to work at the Building Maintenance Complex that has a criminal record/ history for
tlie past Five (5) years, if applicable.
6. Qualifications of Employees: A fully qualified, and trained for their specific duties, workforce
shal lbe on-board by tlie end of the first Thirt5r (30 )days of the contract ,and shal lbe
maintained throughout the period of the contract.
7. All employees assigned by the Service Contractor to perform the work under this contract
shall be physically able to do their assigned work, and shall be in good health. It shall be the
Service Contractor's responsibility to ensure tliat all employees meet tl"ie physical standards
needed to perform the work assigned. All personnel employed by the Service Contractor shall
be trained and experienced ,qualified in this t5rp eof work.
8. All personnel assigned and/or beginning work on this Agreement shal lbe trained and fully
aware of their responsibilit'es and duties.
9. Supeiision of Employees: Seiice Contractor shall at all times provide adequate on-site
super'vision (minimum of One (1) superisor/lead custodian per shift) of employee sto insure
complete and sat'sfactor7 performance of al lwork in accordanc ewith the Agreement .The
Seivice Contractor's site supeivisor shall be available on-site at all times when the work is being
performed. The Set-vice Contractor's supei'visors shall be fully and adequately trained, with a
minimum of Two (2) years of experience in cleaning supei-vision, sufficient in scope to meet the
approval of the Sersrice Contract Administrator.

10. Contractor Qualifications: Sei'vice Contractoi: must liave been in business at least Five (5)
consecutive yeats. Sersrice Contractor sliall ptovide refetences to i:ecent janitoiial sei'vice
experience in buildings equivalent to appi:oxiinately 4,500 sq. ft. Failure to provide evidence
of at least Five (5) consecutive yeats in business or refetences will be cause to i:eject bid.
