ADDENDUM NO. 1
TO THE CONTRACT DOCUMENTS FOR
Town of Middlebury
South Street - Phase V Sewer & Stormwater Replacement
Your attention is directed to the following changes in, additions to, or deletions from the Contract
Documents for the Town of Middlebury South Street - Phase V Sewer & Stormwater
Replacement project. This complete Addendum, including attachments, shall be included within
the Contract Documents and shall take precedence in the case of any discrepancies.
BIDDER must acknowledge receipt of all ADDENDA on the BID or may be considered non-
responsive.
This Addendum consists of 10 (ten) pages.

Prebid Meeting Minutes
A. Project Overview
1. Introduction
a. Town

2. Attendance
a. Sign-in Sheet (attached to these meeting notes is the attendance roster)
b. Bidders should make sure their information is legible for accurate information
collection
3. What is the Project:
a. The project involves the replacement of approximately 600 LF of sanitary
sewer main, 7 Sewer Manholes, approximately 750 LF of Stormwater, and 6
catch basins, and the abandonment of multiple structures
b. The project contains:
i. Sewer Main Replacement
ii. Sewer Service Replacement
iii. Sewer Structure Installation
iv. Stormwater Main Replacement
v. Stormwater Structure Installation
vi. Abandonment of Structures
c. Bidder should review the Special Conditions and Measurement and Payment
to see how each item above will be paid
d. Bidder is recommended to review locations of exploratory excavation as it is
an essential part of the project scope
i. Bidders should review construction notes in the bid set and
understand the requirements
4. Bid Requirements
a. The contractor must provide 5% Bid Security in the form of a Certified check,
bid bond using form provided in Documents
b. A signed Bid Form
c. A completed Bid Schedule
i. Read the Measurement and payment to understand how each item is
going to be paid

ii. Understand what is included in each Item (i.e. Parts and Pieces)
iii. Bidders are encouraged to provide balanced bids
d. Authority to sign
e. Any Additional Forms stated in Article 7 of the Bid Form
f. Qualification statements are not required but may be requested by the Owner
after bids are opened
5. Bid Opening Information
a. Bids are due on the 4th of May at 10:00 a.m. local time
i. This may be modified via addendum
b. The bids are due to the Town of Middlebury
c. The bid opening location is 1020 Route 7 South, Middlebury, VT 05753
d. Bids must be submitted in person or via mail
i. Bidders shall consider travel time for packages when submitting their
bid by mail. Bids that arrive after the opening via mail will not be
accepted
6. Funding
a. The Project is funded by an ARPA CSO grant through the Vermont Clean Water
State Revolving Fund (CWSRF) and local Town funds
b. There are no special requirements of this ARPA grant
7. Current Permit Conditions
a. No outstanding permits for this project

B. Schedule
1. Project Start Date
a. The project is anticipated to start and finish this construction season
b. There is no expectation of winter shutdown for this project and there is a
requirement for final completion (final payment issued) by September 15, 2026.
c. This requirement for completion is to utilize the available ARPA grant
d. If this is unreasonable, bidders are encouraged to express their concerns
during the bidding process.
e. Discussion included notes that some of the funding is local (Town of
Middlebury) funds. This work could occur after September 15, 2026.
2. Phasing
a. Bidder is responsible for construction sequencing
i. It is the Contractor's responsibility to maintain wastewater capacity
throughout the duration of the project. This can be done through any
combination of bypass pumping, piping or sequencing to allow this
ii. Flows and pump station locations have been provided on the Drawings for
Contractor reference in understanding where the waste streams are
coming from and at what volumes
iii. A phasing plan is provided for the contractor to utilize, markup and
include during the submittal process, as outlined on the Construction
notes.
3. Working Hours
a. Monday through Friday, 7 AM to 5 PM
b. Bidder is not expected to work on the following Holidays:
i. New Year's Day (January 1st), Patriot's Day (Mass.) Memorial Day, Independence
Day (July 4th), Labor Day, Veteran's Day, Thanksgiving Day and Day Following,
Christmas Day (December 25th)
4. Contract Times
a. Substantial Completion: August 16, 2026
b. Final Completion: September 15, 2026

C. Contract Requirements
1. Bonds
a. Bidders must have the following bonding for the project
i. 100% Performance
ii. 100% Payment
2. Insurance
a. Levels of Coverage
i. Bidder should review Article 6 of the Supplemental Conditions
3. Special Provisions
a. Bidders should review the Measurement and payment along with the
Supplementary and Special Conditions before submitting their bid
b. The project will require full-time on-site representative (project superintendent)
from Bidder
4. Bid Alternatives
a. There are currently no bid alternatives
b. The Town is considering adding a bid alternative by addendum which would
replace an additional 500 feet or so of 8-inch sewer main and a manhole on south
street. Any changes will be addressed via addendum
c. Contract will be awarded by base bid price if bid alternative is added by
addendum. Alternative completion date will be separate from contract
completion date.
5. Temporary Facilities, Staging Area Locations
a. It is the responsibility of the Contractor for storage of materials and office trailers
b. Bidders are encouraged to enter Written Agreements with residents as to staging
and storing areas and to provide copies of the agreement to the Owner and
Engineer
6. Easements
a. All necessary easements have been acquired for this project
b. Easements have been outlined in the plans
7. Meetings
a. Bidders are required to coordinate with owner, engineer, and landowner to
discuss access and timeline when working on private property
b. Minimum of 7 days before starting of the work

D. Funding Requirements
Bidders are encouraged to look at the Supplementary Conditions and Special Conditions
for additional information on Funding requirements

All bidders are encouraged to reach out to DBE/MBE's they have worked with on past
projects and solicit pricing for this work.

E. Additional Items of Note
1. Engineers Estimate
a. The Engineer's estimate is $750,000.
2. Subcontract Majority
a. Bidder must inform the Town of Middlebury and Otter Creek Engineering if they
are subcontracting over 50% of the contract value
3. Submittals
a. Or equals
i. Otter Creek Engineering will examine as equals if requested by the bidder
ii. Requested substitutions must meet the same standards as outlined in the
specifications as the replaced item
iii. Or equals may not be accepted
b. Submittals must be provided before the work can start
4. Existing infrastructure
a. The existing water and wastewater systems need to remain intact for the entire
project
b. Change in existing infrastructure may only occur with direct written approval from
the Town of Middlebury with Engineer review.
c. Bidder will contact Dig safe to coordinate locating existing utilities
d. It is not the responsibility of Otter Creek Engineering to locate and mark existing
facilities outlined in the plans
e. Special Conditions outline what to do if contaminated soil is discovered
f. Electrical and communication is shown on the plans to the best of our knowledge,
Bidders should be aware of potential contact with unknown utilities
5. Test Pit Requirements
a. A test pit plan has been provided to show the location of where the Town would
like to perform exploratory excavations. The goal is to acquire location and depth
of critical utilities so that the Town can complete the final phase of design work on
this project, which would ultimately involve the replacement of nearly 3,000 feet
12-inch gravity sewer main on South Street.
b. Test pits are not part of the ARPA funding requirement to be completed by
end of September of 2026. If necessary, they can be pushed off until after
final completion date.

F. Questions?
Last day for questions will be 7 days before the bid opening, currently April 27th, 2026,
OCE encourages contractors to submit questions as they come up instead submitting
them in large groups.
The following questions were asked during the pre-bid meeting and site walkthrough:
QUESTION: Is an Engineers Office or Contractors field office required
ANSWER: No. OCE will confirm this has already been removed in the technical
specifications for the project.
QUESTION: Is tree clearing our responsibility?
ANSWER: Yes. Proposed limits are shown on the Drawings.
QUESTION: Do the test pits on South Street need to be completed by September 15th?.
ANSWER: The Town will allow for that work to happen after September 15th.
QUESTION: Are we required to provide traffic control?
ANSWER: Yes, when conditions necessitate it. Contractors are encouraged to
carry pricing for all traffic control in the Contract General Conditions
bid item.
QUESTION: What traffic control is required? Is Vermont Route 30 a state highway in
this location?
ANSWER: One way traffic must be maintained, refer to the Construction Notes.
This can be addressed with Stop and Go traffic and flaggers. No, this
section of Vermont Route 30 is maintained by the Town of
Middlebury.
QUESTION: This project will be disruptive to the landowners. What is our
responsibility for coordination / notification?
ANSWER: The Town has discussed the project with landowners. Contractor is
responsible for maintaining communication on schedule and
progress. Landowners will park on South Street or Route 30 when
conditions require. Contractor shall make provisions to allow for
emergency vehicle access, when necessary, quickly.
QUESTION: Do we need to maintain parking for the college property?
ANSWER: Yes, we will need to maintain parking. Temporary access road could
be constructed while working in the middle of the driveway if
necessary.
QUESTION: Do we need to replant shrubs along the building?
ANSWER: We will make adjustments / clarifications in the bid addendum on the
Contractors responsibility related to existing plantings and flowers.
