The Orange County Board of Supervisors is seeking competitive digital bids from qualified
vendors for vehicle upfitting products and installation services as well as decommission
services in accordance with the specifications set forth in this Invitation for Bid. This Invitation
for Bid and resulting contract shall be consistent with and governed by the Orange County
Procurement Policy and the Virginia Public Procurement Act.
All bids shall be emailed in PDF format and shall not exceed 15 megabytes, no later than
2:00 P.M. EST August 6, 2020 to Amanda Amos at aamos@orangecountyva.gov. Hard
copies will not be accepted. It is the Offeror’s sole responsibility to ensure all
information; including addendums are complete and delivered on time. Orange County
reserves the right to reject any and all proposals, to waive informalities, and to negotiate
with the successful Offeror(s). If the Owner closes its offices due to inclement weather
scheduled receipt of proposals will be extended to the next business day, same time.

1. Purpose
a. The purpose of this Invitation for Bid is to solicit bids to establish a contract
through competitive bidding from qualified firms for vehicle upfitting and
decommission primarily for the Orange County Sheriff’s Department, however,
other departments may also use the services in this solicitation and subsequent
contract. This solicitation is issued by the Procurement Coordinator on behalf of
the Orange County Board of Supervisors, herein referred to as “Owner”.
b. Any communications pertaining to the scope of work, the preparation or submittal
of a bid, and all other communications with the County referred to in this IFB,
must be made in writing to:

2. Background
a. Orange County is located in Central Virginia at the foothills of the Blue Ridge
Mountains. The County serves an area of 355 square miles with a population of
approximately 33,885. The County Seat is located in the Town of Orange with its
County Administration Building located at 112 West Main Street. The County’s
fiscal year begins on July 1 and ends on June 30. The County has approximately
1,077 full-time and part-time employees.
3. Contract Period
a. The Purchasing Agent shall award the contract to the lowest responsive and
responsible bidder complying with all provisions of the IFB, provided the bid price
is reasonable and it is in the best interest of the Owner to accept it. The
Purchasing Agent reserves the right to award a contract by individual items, in
the aggregate, or in combination thereof, or to reject any or all bids/proposals
and to waive any informality in bids received whenever such rejection or waiver is
in the best interest of the Owner. The Owner also reserves the right to reject the
bid if a bidder is deemed to be a non-responsible and/or non-responsive bidder.
b. The winning Bidder will be awarded contract for a term of one (1) year. The
Owner shall have the option to renew the contract for additional four (4) one (1)
year terms. Any adjustments to the pricing matrix shall be submitted by the
Contractor to the Owner no later than thirty (30) days prior to renewal. All
negotiations and adjustments in pricing must be agreed upon in writing prior to

the renewal of the contract. Automatic contract renewals are prohibited. Orange
County reserves the right to extend and/or reject any and all contract extensions.
4. Scope
a. Specific brands and specifications shall be met as identified in Appendix I. To
provide for safety and smooth continuity of use NO substitutions of products
shall be permitted. The County reserves the right to substitute, replace or
amend product and/or product placement as needed with written notice to
Contractor. Successful bidder is subject to on site tour and production overview
by the County.
b. Quantities:
i. There are approximately seven (7) or more Sheriff’s Office vehicles
(SUVs, trucks, sedans, etc.) that may be outfitted under this contract
annually. The County has roughly 28 upfits and decommissions a year
but can vary. The County currently uses the following Sheriff’s Office
vehicles: Ford Utility Police Interceptor, Dodge Chargers, and the Ford
F150 extended cab. The Contractor is required to supply and install all
the necessary hardware to complete the installation of both the County
supplied and Contractor supplied equipment in each vehicle. The
Contractor shall review the equipment and detail packages with the
County prior to upfitting.
ii. In addition, this solicitation may also provide for the equipment and
upfitting of other vehicles from the Department of Fire & EMS and other
County fleet vehicles such as the need to provide/install/replace radios,
antennas, light bars, decals, etc. The work shall be completed under the
same hourly labor rate and product unit cost as provided in any and all
subsequent contracts pertaining to this bid for Sheriff’s Office vehicles. If
the fixed rate estimate is deemed unreasonable, the County reserves the
right to have work accomplished through other sources.
iii. The Owner routinely orders once (1) a year or as needed. No order
quantities or schedules are guaranteed. The quantities specified in this
Contract are estimates only and may not indicate the actual quantity
which will be ordered, since such volume will depend upon requirements
which develop during the Contract period.
iv. Quantities shown shall not be construed to represent any amount which
the County shall be obligated to purchase under the Contract, or relieve
the Contractor of its obligation to fill all orders placed by the County.
c. Unit Prices

i. Unit prices shall include the Contractor’s cost to supply and install
Contractor and County provided equipment including but not limited to: all
products listed in Appendix I, all hardware and supplies such as wires,
cables, terminals, connectors, wraps, grommets, labels, sealants, shop
supplies, all related costs, overhead and profit. Services shall be
provided on an as needed basis.
ii. The extended total of all line items within each package shall be added to
arrive at a total package cost. The cost for each individual line item shall
remain firm in the event there is a requirement for the installation of
individual piece equipment.
iii. During the contract period and any renewals, the County may add,
delete or substitute items from the packages. The Contractor will then
provide a written individual unit cost for the items added or substituted for
the County’s consideration. Once approved by the County, the total
package cost will be adjusted accordingly. Prices shall be firm fixed for
the duration of the Contract, unless otherwise changed by the County due
to additions, substitutions, or deletions approved by the County.
d. It is the County's intent that this IFB permits competition. It shall be the Bidder’s
responsibility to advise the Financial Management Specialist in writing if any
language, requirement, specification, etc., or any combination thereof,
inadvertently restricts or limits the requirements stated in this IFB to a single
source. Such notification must be received by the Financial Management
Specialist no later than fifteen (15) days prior to the date set for bids to close.
e. Bidders must demonstrate that they have the resources and capability to provide
the materials and services as described herein. All bidders must submit the
documentation indicated below with their bid. Failure to provide any of the
required documentation shall be cause for bid to be deemed non-responsible and
rejected. The following criteria shall be met in order to be eligible for this
Contract:
i. Proof of a minimum five (5) years’ experience providing emergency
vehicle upfitting.
ii. Have in place and maintain for the duration of the Contract a full service
shop within a hundred (100) mile radius of the Orange County
Administration Building located at 112 W. Main Street Orange, VA 22960.
f. The Contractors shall install Upfitting Packages and Decommission on Orange
County vehicles, on an as needed basis. The Contractor shall complete each
vehicle upfitting and decommission within fifteen (15) working days of receipt.
