REQUEST FOR COMPETITIVE SEALED BIDS
FOR THE POTENTIAL SALE OF REAL PROPERTY
The Board of Trustees of the Seguin Independent School District (“Seguin ISD”) hereby
serves notice that it will accept sealed bids for the below referenced real property and any
and all related improvements.
INSTRUCTIONS TO BIDDERS
1. Read these instructions and the attached Sealed Bid Form(s) carefully. You must
submit a complete bid or it may be deemed unresponsive and cause it to be disqualified.
2. Complete the Sealed Bid Form for the property you are bidding on in its entirety.
3. Sign and date the Sealed Bid Form(s).
4. Enclose with the Sealed Bid Form a deposit of $5,000.00 (Five Thousand and
No/100 Dollars), payable to the Seguin Independent School District (“the District”) in the
form of a certified check, cashier’s check or money order. The submission of a personal
or business check will automatically disqualify your bid.
5. Complete, sign, and date the Felony Conviction Notification and Conflict of
Interest Questionnaire.
6. Place your completed and signed Sealed Bid Form(s), Felony Conviction
Notification, Conflict of Interest Questionnaire, and $5,000.00 deposit(s) in a sealed
envelope.
7. On the exterior of the sealed envelope, legibly write the following:
“SALE OF REAL PROPERTY”

9. All Sealed Bids must be received on or before March 18, 2019, at 2:00 p.m. All
Bids received by the District are time and date stamped upon receipt. Bids received after
the bid closing date and time will be returned unopened.
10. All Sealed Bids will be publically opened and read aloud promptly at 2:00 p.m.,
March 18, 2019. The pubic opening will take place at 1221 E. Kingsbury St., Seguin, TX

78155. You may, but are not required to be present at the bid opening for your bid to be
considered.
11. There is no minimum bid amount. In evaluating bids the following considerations
will be taken into account for award recommendations: the dollar amount of the bid, the
overall suitability and value to the District, of the intended purpose for the property of the
Bidder, and the Bidder’s history, reputation and ability to purchase the property. The
District will not be limited to the above considerations or to the bid documents in
evaluating any criteria except the dollar amount of the bid.
12. The District reserves the right to cancel this offer, and rebid, or not bid, to waive
any technicalities or irregularities, or to take any other action deemed by the District to be
in its best interests, without penalty at any time before the Board of Trustees formally
accepts a bid.
13. If at any time after the Board of Trustees formally accepts a bid, the Bidder fails,
in the sole judgment of the District, to fulfill or abide by the terms, conditions, or
specifications of this Bid Document or any applicable contract or District policy, the
District reserves the right to cancel the sale upon ten (10) days written notice without
penalty to the District.
14. In the event that any changes to this Bid Document occur subsequent to the
mailing or other delivery of the original Bid Document, the changes or corrections to this
Bid Invitation will be made by addendum. It is the Bidders responsibility to request and
obtain any addenda that may pertain to this Bid Document.
15. Sale of the surplus property is conditioned on the approval of the District Board of
Trustees. The Board of Trustees reserves the right to accept or reject any and/or all
proposals, bids and offers, and to waive any and all irregularities and formalities, and to
award this bid or take any other action it determines to be in the best interest of the
District.
16. It is the intention of the District Administration to submit a recommendation to its
Board of Trustees for action within 20 days of the bid closing date.
17. A Purchase and Sale agreement, and related documents, are included in this Bid
Package as Exhibit “C”. The District will consider proposed changes to the form of the
Purchase and Sale Agreement; however, the District reserves the right to reject any
proposed changes that materially change the terms of the sale.

GENERAL BID CONDITIONS
1. Bidders may obtain complete sets of the Bid Documents by any of the following
means:

2. Bidders shall use complete sets of Bid Documents in preparing Bids; the District
assumes no responsibility for any errors or misinterpretations which result from the use
of incomplete sets of Bid Documents.
3. Bidders shall promptly notify the District of any omission, ambiguity,
inconsistency or error which they may discover upon examination of the Bid Documents.
4. Bidders requiring a clarification or interpretation of the Bid Documents shall
make a written request stating the precise question to be answered. Any such question
must be received by the District at the address stated above at least ten (10) calendar days
prior to the deadline for the submission of Bids. Email questions to:

5. Any interpretation, correction, or change of the Bid Documents will be made by
written Addenda which will be available on the District website, as well as, the District
Office from which Bid Packages are obtained. Interpretations, corrections or changes of
the Bid Documents made in any other manner will not be binding upon the District, and
Bidders shall not rely upon such interpretations, corrections or changes.
6. Prior to submitting a Bid, each Bidder shall ascertain that all issued Addenda have
been obtained, and their receipt shall be acknowledged in the Bid. Each Bidder is also
responsible for checking to determine whether any Addenda have been issued prior to the
deadline for Bid submission.
7. No officer or employee of the District shall have a financial interest, direct or
indirect, in any contract with the District, or shall be financially interested, directly or
indirectly, in any proposed transaction, except on behalf of the District as an officer or
employee. Any willful violation of this section shall constitute malfeasance in office, and
any officer or employee guilty thereof shall be subject to removal from his office or
position. Any violation of this section, with the knowledge, express or implied, of the
person, corporation or other legal entity bidding or contracting with the District shall
render any subsequent Bid accepted on the basis of any such Bid voidable by the District.
8. The period between the deadline for submitting Bids through and including the
Bid opening, evaluation, posting and consideration by the District’s Board of Trustees

shall be the period during which a Bid shall be an irrevocable firm offer by Bidder to
purchase the Property on the terms specified in the Bid Documents. This period shall, in
no event, exceed 60 days from the date of bid opening.
9. If any part of the Property is damaged or destroyed by fire or other casualty after
the time a bid is submitted and prior to Closing and the cost of restoration of the
improvements following such casualty is less than $25,000.00, all bids shall remain in
full force and effect. If the District has not repaired the Property to substantially its
condition prior to such casualty by the Closing Date, the District shall assign to Bidder its
rights in any insurance proceeds it is entitled to receive and Bidder shall acquire the
Property for the bid price, with the assignment of such proceeds and subject to such
damage or destruction of the Property. In addition, Bidder shall receive a credit to the bid
price at Closing in the amount of any deductible under the District’s insurance policy for
the loss. If the amount required to be expended to repair or restore the damage or
destroyed Property or portion thereof following such casualty is in excess of $25,000.00,
the District shall so notify Bidder in writing, and Bidder shall have the option, as its sole
and exclusive remedy, to withdraw its bid, by giving the District written notice of such
withdrawal within five (5) business days following receipt of such notice from the
District, where upon the deposit will be returned to Bidder and neither the District nor
Bidder shall have any further obligation or liability to the other hereunder, except as
otherwise expressly provided herein. If Bidder does not elect to withdraw its bid, it shall
remain in full force and effect, and in such event, at Closing, the District shall assign to
Bidder its rights in any insurance proceeds it is entitled to receive (but not to exceed the
bid price) and Bidder shall acquire the Property for the bid price, with the assignment of
such proceeds and subject to such damage or destruction of the Property. In addition,
Bidder shall receive a credit to the Purchase Price at Closing in the amount of any
deductible under the District’s insurance policy for the loss, provided, however, that the
amount of such deductible plus the insurance proceeds assigned to Bidder shall in no
event exceed the Purchase Price.
10. Bidder agrees, if the bid is accepted by the District, to enter the Purchase and Sale
Agreement in a form substantially similar to the one included in this Bid Package as
Exhibit “B” within five (5) calendar days of written notice of acceptance of the bid by the
District. Bidder’s failure to execute the Purchase and Sale Agreement within such five (5)
day period is deemed a default by Bidder, Bidder will forfeit the earnest money, and the
District will have no obligation to such bidder.
After execution of the Purchase and Sale Agreement by the Bidder, if the Bidder
terminates the contract pursuant to any right to terminate contained in the Purchase and
Sale Agreement, except Seller’s default, Bidder will not recover the earnest money.

TOURS OF THE PROPERTY AND PRE-BID CONFERENCE
1. The District will conduct a tour of the property for all interested bidders, who may
be accompanied by engineers, architects, or other professionals, at Juan Seguin School,
450 Dolle Ave, on February 27, 2019, at 1:00 p.m.
2. A pre-bid conference will be held by the District on February 27, 2019, at 3:00
p.m. (Central Daylight Time) at 1221 E Kingsbury St., Seguin, TX 78155, to allow
interested bidders to ask questions about the Property. All interested Bidders are invited
to attend.
