I. DEFINITIONS/ ACRONYMS
A. Definitions: Whenever used in this solicitation or in the contract documents, the following terms have the
meanings indicated, which are applicable to both the singular and plural and the male and female gender
thereof:
1. Claim: Any and all claims, disputes, disagreements, causes of action, demands, suits, proceedings,
damages, injuries, liabilities, obligations, losses, costs and expenses.
2. Contract: An agreement enforceable by law, between two or more competent parties, to do or not to
do something, not prohibited by law, for consideration. When used in this solicitation, an agreement
executed by VDOT and the Offeror(s) selected to be the Contractor(s) to provide the goods or services
described in this RFP.
3. Contract Administrator: Someone who has a vested interest in the procurement and who will be
responsible for the adherence to all Contract specifications by the Contractor.
4. Contract Effective Date: The date the Contract is awarded.
5. Contractor: An individual or firm that has entered into an agreement to provide goods or services to
the Commonwealth of Virginia. The Offeror awarded the Contract to supply goods or services
described in this solicitation is referred to as a “Contractor”.
6. Contractor Personnel: Any Person who is an agent, employee or subcontractor of Contractor and any
Representative of any of them.
7. Department: The Virginia Department of Transportation, an agency of the Commonwealth of Virginia,
is referred to as “Department” or “VDOT”.
8. Key Personnel: Those individuals, whether employed by the Contractor or Contractor Personnel, who
are in management and leadership positions that are responsible for delivery of statewide or regional
services.
9. Notice to Proceed: A written notice given by the VDOT to the Contractor fixing the date on which the
Contract time will commence for the Contractor to begin the prosecution of the work in accordance
with the requirements of the Contract documents.
10. "Nutrient credit" or "credit" means a nutrient reduction that is certified and expressed in pounds of
phosphorus or nitrogen either (i) delivered to tidal waters when the credit is generated within the
Chesapeake Bay Watershed or (ii) as otherwise specified when generated in the Southern Rivers
watersheds. "Nutrient credit" does not include point source nitrogen credits or point source phosphorus
credits.

11. Offeror: A person, or firm, who makes an offer in response to a Request for Proposal. Each proposal
submission is referred to as an “Offeror”.
12. Offeror: A person, or firm, who makes an offer in response to a Request for Proposal. Each proposal
submission is referred to as an “Offeror”.
13. Owner: The Commonwealth of Virginia, i.e., an agency, institution, or department, with whom the
Contractor has entered into a Contract and for whom the work or services is to be provided.
14. Proposal: An offer made by one party to another as a basis for negotiations, prior to the creation of a
contract. A submittal in response to the VDOT request for such proposals under Section V of this RFP,
including supplements, if any.
15. Representative: The VDOT Contract Administrator or designee who will manage all facets of the
Contract to assure the Contractor’s total performance is in accordance with the contractual
commitments and the obligations of the Contractor under the terms and conditions of the Contract.
16. Subcontractor: Any entity that has a contract to supply labor or materials to the Contractor to whom
the Contract was awarded or to any other subcontractor in the performance of the work provided for
in the Contract.
17. Task Order: A specific scope of work, contractor fee proposal, and schedule for services, requested by
VDOT and agreed to by the Contractor and VDOT under the terms of the Contract.
18. Turnkey Project Delivery: A program, project, solution, or system where the Contractor agrees to
undertake the entire responsibility from site selection, negotiations, space planning, construction
coordination, final installation or completion, and performance, including, but not limited to, DEQ
approval of project concept and crediting in advance, all applicable permits, land acquisition, delivered
credits and long term maintenance, for transfer to VDOT of the nutrient and sediment credits achieved
by the final product. The Contractor and VDOT must agree to all terms of the turnkey project delivery
proposal through written agreement via the issuance of a Notice to Proceed by VDOT in response to
a proposed Scope of Work, Schedule and Fee provided by the Contractor.
19. Vendor’s Manual: Procurement manual published by the Virginia Department of General Services
pursuant to the authority of Section 2.2-1111 of the Code of Virginia of 1950, as amended.

II. PURPOSE:
The Virginia Department of Transportation (VDOT), an Agency of the Commonwealth of Virginia, is issuing
this Request for Proposal (RFP) to solicit sealed proposals from qualified firms or a team of firms offering as
a single entity for the development and implementation of projects to meet applicable Total Maximum Daily
Load (TMDL) Action Plans (AP) in support of VDOT’s Municipal Separate Storm Sewer (MS-4) Program
and related services.
NOTE: There are five (5) separate and distinct scopes of work issued within this single RFP. Offerors
may respond with sealed proposals to one (1) or more of the scopes of work. VDOT, in its sole
discretion, may award contracts for each distinct scope of work (i.e., could be five (5) contracts) and
may make multiple awards for each distinct scope of work (i.e., could be ten (10) contracts, or more or
less), based upon the responses received. In summary, and in an effort to make the procurement process
efficient, VDOT has issued one (1) RFP, in-lieu of issuing five (5) separate and distinct RFP’s.
