The U.S. Department of Energy ("DOE") has a requirement for a Master Servicer to monitor and oversee loan servicing by administrative agents and collateral agents appointed by lenders in connection with loans supported by loan guarantees issued by the DOE under Title XVII of the Energy Policy Act of 2005, as amended by the American Recovery and Reinvestment Act of 2009. This Invitation is not subject to the Federal Acquisition Regulation and will not be funded with Federal appropriated funds. Consistent with market practice in commercial financings, each borrower shall be solely responsible under all circumstances for paying the fees of DOE's Master Servicer pursuant to the terms and conditions of a Master Servicer Fee Letter entered into at closing between each Borrower and the Master Servicer in connection with its applicable guaranteed loans. All work shall be performed in accordance with the Statement of Work.
