ADJUSTABLE RESIN/SLING STACKING CHAISE LOUNGE

BID OPENING: Monday, March 10, 2008, 10:30 A.M.SCOPE:

The City of Hazelwood Public Works Department, Parks & Recreation Division, is receiving bid proposals for the purchase of ninety-six(96) adjustable resin/sling stacking chaise lounges for use in a commercial waterpark environment. The City intends for VENDORS to supply, deliver and unload the stacking lounge chairs at the Hazelwood Community Center, located at 1186 Teson Road, Hazelwood, MO 63042.

Sufficient printed material, pictures, and descriptive information must be attached to the bid proposal for review to determine the chaise lounge chairs best suited for the purpose intended by the Parks & Recreation Division, inclusive of manufacturer € s technical specifications for each, product warranties, and product liability. Other items to be included in this determination include, but are not limited to:

1. Quality and type of materials. (Made in America preferred.)
2. Manufacturer € s Warranty.
3. Delivery and lead time of product.


BIDDER REQUIREMENTS

1. All bids shall contain a Bid Bond, Cashiers Check or Money Order in the amount of ten percent (10%) of the submitted bid. All money will be returned to the unsuccessful bidders by the City of Hazelwood.
2. Bidder is required to list unit cost of equipment specified, total cost, a model number and descriptive literature.
3. Bidder shall attach to the Bid Form manufacturer € s standard warranty and standard maintenance requirements.
4. The successful bidder shall submit with the equipment delivered a list of replacement parts for the unit with costs.
5. All deliveries must be coordinated with the City as specified and installation costs submitted on the BID FORM for ADJUSTABLE RESIN/SLING STACKING CHAISE LOUNGE . Any questions concerning this equipment should be directed to Doug Littlefield, 314-731-0980 or by TDD 1-800-735-2966.

6. The Vendor by submitting his BID represents he has carefully read the specifications and all other contract documents. NO ALLOWANCES whatsoever will be made to any VENDOR due to lack of such examination or knowledge.

TERMS AND CONDITIONS OF SALE
1. ENTIRE AGREEMENT. These terms and conditions together with the invitation to bid and such other documentation as are made part hereof, shall constitute the entire present agreements between the parties.
2. MODIFICATIONS. No change in, addition to, or waiver of the terms, conditions and specifications contained herein shall be a binding obligation to the City unless approved in writing by the City.
3. RISK OF LOSS. Responsibility of the goods herein described shall not pass until said goods have actually been received by the City or its consignee, notwithstanding an agreement to the contrary, including, but not by way of limitation, any agreement to pay freight, express or other transportation to insurance charges. Risk of loss prior to such actual receipt by the City or its consignee shall be borne by Vendor. Nothing herein contained, however, shall be construed as depriving the City of its interest, or limiting such interest in the goods herein described prior to such actual receipt.

4. INSPECTION. All material and workmanship shall be subject to inspection and test by the City. The City reserves the right to reject any goods that contain defects in material or workmanship or which fail to meet the specifications contained herein or MANUFACTURER'S/VENDOR'S warranties (expressed or implied). Rejected goods shall be removed at the expense of the VENDOR, including transportation both ways, promptly after notification of rejection. As to rejected goods, VENDOR shall bear all costs, inspection and all risk of loss.
5. PAYMENT, PURCHASE PRICE. Payment by the City for goods supplied hereunder shall not constitute acceptance thereof if subsequent inspection discloses defects in materials or workmanship or failure to meet the specifications contained herein. In no event shall the City be charged a higher price than charged to VENDOR'S other customers for goods of like grade and in substantially the same quantities.
6. REJECTION AND CANCELLATIONS. The City reserves the right to reject goods and to cancel any part of this Purchase if the VENDOR fails to deliver any part of the goods described in the Invitation to Bid in accordance with the terms, conditions and specifications contained herein. Acceptance of any part of the goods covered by the Invitation to Bid shall not obligate the City to acceptance theretofore given. If VENDOR ceases to conduct its operations in the ordinary course of business (including inability to meet its obligations as they mature) or if any proceeding under bankruptcy or insolvency laws is brought by or against VENDOR, or if a receiver for VENDOR is appointed or applied for, or if any assignment for the benefit of credits is made by VENDOR, the City may cancel this order without full liability except for deliveries previously made or for goods covered by the Invitation to Bid then completed and subsequently delivered in accordance with the terms, conditions and specifications contained herein.
7. WAIVERS. The City waiver of any breach or failure to enforce any of the terms, conditions and specifications of the Invitation to Bid shall not in anyway affect, limit or waive the City's right thereafter to enforce and compel strict compliance with every term, condition and specifications hereof.
8. WARRANTIES. VENDOR makes the following warranties to the City and its customers and the users of the goods herein described: 1) It will, at the date of delivery, have good title to any and all goods supplied hereunder and said goods will be free and clear of any and all liens and encumbrances. 2) Any and all goods supplied hereunder will be factory original in current production, and not of previous ownership for the particular use intended, will be free from defects, whether patent or latent, in material or workmanship, and will be in full conformity with the specifications contained herein. VENDOR agrees that the foregoing warranties shall be in addition to any warranties of additional scope given to the City by VENDOR and/or the Manufacturer.

9. PATENT INFRINGEMENT. VENDOR agrees to indemnify and hold harmless the City, its successors, assigns, customers, and users of the goods herein described against any and all loss, damage or injury arising out of a claim or suit for alleged infringement of any letters or patent granted by the United States, or any foreign government relating to the goods herein described. VENDOR agrees that it will assume the defense of any and all such suits and pay all costs and expenses incidental thereto.
10. APPLICABLE LAWS. VENDOR represents and agrees that the goods herein described have not been or will not be manufactured, sold, priced or transported in violation of any federal, state or local law or any lawful order, rule or regulation issued thereunder.
11. GOVERNING LAW AND ASSIGNMENTS. The contract formed pursuant to the terms, conditions and specifications herein and the obligations thereby imposed on VENDOR and the City shall be governed by and construed according to the laws of the City of Hazelwood. The VENDOR shall not assign such contracts without written consent of the City.
12. OTHER TERMS AND CONDITIONS. Any terms and conditions of the Purchase not set forth herein shall be as set forth in the Written Agreement.
13. DELIVERY SCHEDULE. The play system Vendor is required in bidder € s response to include the anticipated delivery time of the specified equipment upon receipt of the proposal by the City. Any variances from this date are to be agreed upon by the VENDOR and the City with the agreed date specified on the purchase order issued upon acceptance of the bid by the City.
INSTRUCTIONS AND GENERAL CONDITIONS OF BIDDING
1. Bidders must use the BID FORM provided, give unit prices, extended totals, sign bid by authorized officer, partners, or owner, and include complete name, mailing address and telephone number of organization submitting bid. Bids shall be submitted in a sealed, opaque envelope, clearly marked, " ADJUSTABLE RESIN/SLING STACKING CHAISE LOUNGE. €
2. All bidders shall familiarize themselves with the intended use of the equipment. Any questions concerning this equipment should be directed to the Superintendent of Parks and Recreation, Doug Littlefield, 314-731-0980 or TDD 1-800-735-2966.
3. All bids shall include equipment delivered and unloaded price.
4. Successful bidder is to supply to the City all materials and equipment specified with no defects in materials and/or workmanship.

5. All bids shall be exempt from Federal Excise and Sales Tax. Exemption Certificate will be furnished if required.
6. DISCOUNT: Show cash discount, if any, on space provided on Bid Form. It will be considered in determining award of bid.
7. VARIATIONS OF SPECIFICATIONS: For purpose of evaluation, the bidder must indicate any variances from the specifications, terms, and/or conditions no matter how slight. If variations are not stated in the bid, it will be assumed that the products fully comply with specifications, terms and conditions.
8. The bidder shall complete the Bid in accordance with the Bidder Requirements, General Specifications, Specifications, Terms and Conditions of Sale, Instructions and General Conditions of Bidding. The bidder may include additional documentation to support his proposal and file same with the Office of the City Manager, Hazelwood City Hall, 415 Elm Grove Lane, Hazelwood, MO 63042, no later than 10:30 p.m., Monday, March 10, 2008, at which time all bids will be publicly opened. FAXED BIDS WILL NOT BE ACCEPTED. Please contact the Superintendent of Parks and Recreation at 731-0980, Monday through Friday, 8:00 a.m. through 4:30 p.m. or TDD 1-800-735-2966, before 2:30 p.m. to communicate accommodations due to a disability prior to the 10:30 a.m., March 10, 2008, bid opening.
9. LATE BID INFORMATION: Any bid received by the City Manager after the stated opening time shall not be honored by the City. There will be NO EXCEPTION.
10. BID WITHDRAWAL OR MODIFICATION: Any bidder may withdraw or modify his bid at any time prior to the scheduled closing time for receipt of bids. However only telegrams, letters or other written requests for modifications or corrections of a previously submitted bid that are addressed in the same manner as the Bid and are received by the City prior to the scheduled closing time for receipt of bids will be accepted. The Bid, when opened, will then be corrected in accordance with such written requests, provided that the written request is contained in a sealed envelope which is plainly marked "Modification of ADJUSTABLE RESIN/SLING STACKING CHAISE LOUNGE ." Modifications or corrections of bids cannot be submitted after the closing time for receipt of bids.
11. The City reserves the right to cancel all or any part of the bid if materials and equipment is not made as specified or an acceptable agreement cannot be reached between the VENDOR and the City.
12. Failure to comply with any of the requirements, instructions and general conditions of bidding will disqualify the bidder.
13. The City expressly denies responsibility for ownership of any item until same is accepted by the City Manager.
14. CERTIFICATE OF NON-COLLUSION: The Bidder must read, sign and have notarized the attached non-collusion affidavit and submit it with the BID FORM.
15. Bid shall remain valid for a minimum of ninety (90) days from the date of bid opening.
16. ADDENDUM: An interpretation of the proposed documents will be made by addendum duly issued. The City will not be responsible for any other explanations or interpretations.
17. The City of Hazelwood reserves the right to accept or reject any or all bids or parts of bids, to waive irregularities and technicalities, and to request re-bids on all or parts of required materials. The City also reserves the right to award the bid in full or in part as the City deems will best serve its interests. The City also reserves the right to waive minor variations to the specifications. (Interpretation of minor variance will be made by applicable City personnel.) All information obtained may be utilized in determining the suitability of equipment and will be shared with any other agencies desiring the results of this bid invitation.
